RESOLUTION NO. 97 -039
WHEREAS, the City Council of the City of Paris did heretofore, on the 1st day of
August, 1979, in Resolution No. 1924, approve the execution of a Lease Agreement with F.
Andrew Fasken, Harley Wagnon and Loma Alto Corporation for hangar space at Cox Field
Airport, Paris, Texas; and,
WHEREAS, the leased premises has been partitioned and partially assigned, resulting in
Billy Winters and wife, Donna Winters, being assigned the north hangar space accessible from
the east and the office space adjacent thereto, being in the northwest corner of the hangar building;
Russell Gifford being assigned the center hangar space accessible from the west; and Loma Alto
Corporation being assigned the south hangar space accessible from the east and the adjacent
storage area lying in the southwest corner of the hangar building; and,
WHEREAS, during the term of the lease, the hangar has fallen into disrepair due to the
elements, and the lessees expressed a desire the extend the term of the lease and make all
necessary repairs and renovations to the leased premise at their own expenses; and,
WHEREAS, the City Council of the City of Paris did heretofore, on the 7th day of
November, 1996, in Resolution No. 96-122, authorize the execution of the First Amended Lease
Agreement with Russell Gifford, Loma Alto Corporation, and Billy Winters and wife, Donna
Winters; and,
WHEREAS, Billy Winters and wife, Donna Winters, Pave expressed their desire to assign
their interest in the lease to Russell Gifford, and Russell Gifford has expressed his desire to accept
such assignment; and,
WHEREAS, it is deemed appropriate that the form of the Assignment of Lease from Billy
Winters and wife, Donna Winters, attached hereto as Exhibit A, be, in all things approved, and
that the City Manager, Michael E. Malone, be authorized to acknowledge approval of said
assignment by signing the same; NOW, THEREFORE,
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF PARIS, that the
form of the Assignment of Lease from Billy Winters and wife, Donna Winters, to Russell Gifford,
attached hereto as Exhibit A, for hangar space at Cox Field Airport. be, and the same is hereby,
approved; and,
BE IT FURTHER RESOLVED, that the City Manager of the City of Paris, Michael E.
Malone, be, and he is hereby, authorized and directed to acknowledge approval, on behalf of the
City of Paris, of the Assignment of Lease from Billy Winters and wife, Donna Winters, to Russell
Gifford by signing the same.

We, BILLY W. WINTERS and DONNA J. WINTERS, of Paris, Lamar County, Texas,
for and in consideration of the sum of TEN AND NO/IOO DOLLARS ($10.00) and other good
and valuable consideration to us in hand paid by RUSSELL GIFFORD of Lamar County, Texas,
the receipt and sufficiency of which is hereby acknowledged, do hereby assign, transfer, and
convey unto RUSSELL GIFFORD the north hangar space shown on Exhibit B to the First
Amended Lease Agreement dated November 7, 1996, by and between the City of Paris, Paris,
Texas, and Loma Alto Corporation, Russell Gifford, and Billy Winters and wife, Donna Winters,
a copy of which is attached hereto as Exhibit A, together will all of our rights, obligations, and
responsibilities thereunder.
To have and to hold the described hangar space for and during the remainder of the term
of said lease attached hereto as Exhibit A.

ACCEPTANCE OF ASSIGNMENT
I, RUSSELL GIFFORD, Assignee in the above assignment, do hereby covenant and agree
to assume and accept the obligations and responsibilities of Assignors above for their proportionate
share of maintenance expenses, costs of repairs and renovations, and rent of the hangar building
described in Exhibit "B" of Exhibit A to the above Assignment, and I acknowledge that I do
become guarantor of the proportionate payment of all such expenses and rents as stated in Exhibit
A to the above Assignment.

LESSEES will not rcnt the premiscs, or any part thereof, for aircraft storage unless
a permit under Article II, Chapter 6 of the Code of Ordinances of the City of Paris has been issued.
