RESOLUTION NO.
97-104
WHEREAS, the City of Cooper, Cooper, Texas, has requested animal control services
from the City of Paris, and the City Council is agreeable to providing the same; and,
WHEREAS, the form of the Intergovernmental Agreement, attached hereto as Exhibit A,
should, in all things, be approved, and the Mayor of the City of Paris, Eric S. Clifford, should
be authorized to execute the same; NOW, THEREFORE,
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF PARIS, that the
form of the Intergovernmental Agreement with the City of Cooper, attached hereto as Exhibit A,
for animal control services, be, and the same is hereby, approved; and,
BE IT FURTHER RESOLVED, that the Mayor of the City of Paris, Eric S. Clifford, be,
and he is hereby, authorized and directed to execute, on behalf of the City of Paris, the
Intergovernmental Agreement with the City of Cooper under the terms and conditions and in the
form shown in Exhibit A, attached hereto.

KNOW ALL MEN BY THESE PRESENTS:
THAT, the CITY OF PARIS, PARIS, TEXAS, a municipal corporation, acting by and
through its Mayor, Eric S. Clifford, duly authorized, hereinafter called PARIS, and the CITY OF
COOPER, COOPER, TEXAS, a municipal corporation, acting by and through its Mayor, Richard
C. Huie, duly authorized, hereinafter called COOPER, do hereby contract and agree as follows:
1. PARIS agrees to provide small animal control services, limited to cats and dogs,
to COOPER.
2. For and in consideration of such services, COOPER agrees to pay to PARIS as
follows:
5-day fee for animals held
for adoption (euthanasia
included, if necessary)
$30.00 per animal
Euthanasia fee for animals
delivered for immediate
destruction under either of
the following conditions:
$10.00 per animal
a. Under the same rules and regulations governing the animals collected
within the City of Paris by the City of Paris Animal Control Division.
OR
b. Upon certification by City of Cooper personnel that the holding period for
adoption has been satisfied by the City of Cooper.
3. COOPER shall defend, indemnify, save, and hold whole and harmless PARIS and
all of its past, present, and future officers, elected officials, employees, agents,
insurers, and attorneys against any and all claims, lawsuits, judgments, settlements,
costs, and expenses for personal injury (including death), property damage, or other
harm for which recovery or damages is sought suffered by any person or persons that
may be occasioned by, or arise out of, PARIS's performance of any of the terms or
provisions of this Agreement, or by any negligent or strictly liable act or omission by
COOPER, its past, present, and future officers, elected officials, employees,
agents, insurers, and attorneys in the performance of its duties, It is understood that
it is not the intention of the parties hereto to create liability for the benefit of third
