1996-082-RES WHEREAS, CITY COUNCIL DID HERETOFORE IN RESOLUTION NO 1440 ON THE 9TH DAY

WHEREAS, the City Council of the City of Paris did heretofore, in Resolution No.
1440, on the 9th day of August, 1971, authorize the execution of an Agreement of Option to
Lease with Agpro, Inc.; and,
WHEREAS, the City Council of the City of Paris is in receipt of an Exercise of Option
from Agpro, Inc., the form of which is attached hereto as Exhibit A, for a ten (10) year
extension of said agreement dated August 9, 1971; and,
WHEREAS, the City Council deems it appropriate to grant the exercise of option to
Agpro, Inc. for ten (10) years, which will extend the term of said lease from August 9, 1996,
to August 8, 2006, and the City Manager, Michael E. Malone, should be authorized to
acknowledge acceptance of said Exercise of Option by signing the same; NOW, THEREFORE,
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF PARIS, that the
Exercise of Option by Agpro, Inc., the form of which is attached hereto as Exhibit A, be, and
the same is hereby, granted for a period often (10) years, beginning August 9,1996, and ending
August 8, 2006; and,
BE IT FURTHER RESOLVED, that Michael E. Malone, City Manager of the City of
Paris, be, and he is hereby, authorized and directed to acknowledge acceptance, on behalf of the
City of Paris, of said Exercise of Option by signing the same.

EXERCISE OF OPTION
THE STATE OF TEXAS S
COUNTY OF LAMARS
KNOW ALL MEN BY THESE PRESENTS, That Agpro, Inc., did heretofore lease
approximately 400 acres of land, less 10,2 acres released back to the City of Paris for runway
extension, form the City of Paris Cox Field Airport property. Said options for lease being granted
as an inducement for the location of Agpro, Inc.'s manufacturing facility adjacent to Cox Field,
Paris, Texas.
Agpro, Inc" does hereby, prior to the expiration of the primary term of said lease, execute
its option for the 1 0 year period beginning August 9, 1996, and ending August 8, 2006.
