1994-124-RES WHEREAS, CITY COUNCIL DID IN RESOLUTION NO 584 DATED FEBRUARY 25 1955
RESOLUTION NO. 94-124
WHEREAS, the City Council of the City of Paris did, in Resolution No. 584, dated
February 25, 1955, authorize the execution of a long term lease with the Texas Department of
Transportation, formerly known as Highway Department of the State of Texas, for a six acre
tract of land on North Main Street in the City of Paris; and,
WHEREAS, the Texas Department of Transportation desires to execute a Bill of Sale
with TU Electric for property as shown in Exhibit A to the Bill of Sale, attached hereto as
Exhibit A, and has requested that the City of Paris, as Lessor, approve the same; and,
WHEREAS, it is deemed to be in the best interest of the City of Paris that the Bill of
Sale between the Texas Department of Transportation and TV Electric be approved; and,
WHEREAS, the form of agreement for such Bill of Sale, attached hereto as Exhibit A,
should, in all things, be approved, and City Manager, Michael E. Malone, should be authorized
to sign the same, showing the approval of the City of Paris as Lessor; NOW, THEREFORE,
BE IT RESOLVED BY THE CITY COUNCIL 01<' THE CITY OF PARIS, that the
form of the Bill of Sale, attached hereto as Exhibit A, be, and the same is hereby, approved;
and,
BE IT FURTHER RESOLVED, that the City Manager of the City of Paris, Michael
E. Malone, be, and he is hereby, authorized and directed to approve, on behalf of the City of
Paris, the Bill of Sale between the Texas Department of Transportation, Paris District, and TU
Electric, in the form shown in Exhibit A attached hereto.

called "Grantor"), whose street address is 1365 North Main (P.O. Box 250 75461-0250). for and in
consideration of the sum of ONE DOLLAR ($1.00) and other good and valuable consideration to it
in hand paid, the receipt and sufficiency of which are hereby acknowledged, has BARGAINED, SOLD,
GRANTED and CONVE,YED, and by these presents does BARGAIN, SELL, GRANT and CONVEY
unto TEXAS UTILITIES ELECTRIC COMPANY, a Texas corporation (herein called "Grantee"), whose
street address is 1601 Bryan Street, Dallas, Texas 75201, the property, improvements, fixtures,
equipment and/or facilities described on Exhibit "A" attached hereto and incorporated herein for all
purposes.
TOGETHER WITH, all and singular, the rights, benefits, privileges, easements, tenements,
hereditaments and appurtenances in anywise appertaining hereto.
TO HA VE AND TO HOLD the foregoing property unto Grantee and Grantee's successors and
assigns, forever, free and clear of all liens and encumbrances; and Grantor does hereby bind itself
and its successors and assignees to WARRANT and FOREVER DEFEND all and singular such
property unto said Grantee and Grantee's successors and assigns, against every person whomsoever
lawfully claiming or to claim the same or any part thereof.
Grantor and Grantee acknowledge that it is Grantor's intent to herein convey to Grantee, Grantor's
entire right, title and interest in and to the aforementioned property and that despite Grantor's good
faith efforts to describe such property herein in its entirety, there may be errors, omissions or
discrepancies in such description. If any errors, omissions or discrepancies in such description are
discovered by Grantee, Grantor shall execute and deliver any instrument reasonably necessary to
remedy or correct such error, omission or discrepancy, and, on condition that Grantor does so, such
errors, omission or discrepancies shall not constitute a breach by Grantor of its warranty of title
herein.
