WHEREAS,theCityof, Paris, Texas ("City")isagasutilitycustomerofAtmos EnergyCorp.,Mid-TexDivision("AtmosMid-Tex"or"Company"),andaregulatoryauthority withaninterestintheratesandchargesofAtmosMid-Tex;and WHEREAS,theCityisamemberoftheAtmosCitiesSteeringCommittee("ACSC"),a coalitionofsimilarly-situatedcitiesservedbyAtmosMid-Tex("ACSCCities")thathavejoined togethertofacilitatethereviewof,andresponseto,naturalgasissuesaffectingrateschargedin theAtmosMid-Texservicearea;and WHEREAS,ACSCandtheCompanyworkedcollaborativelytodevelopanewRate ReviewMechanism("RRM")tariffthatallowsforanexpeditedratereviewprocessbyACSC CitiesasasubstitutetotheGasReliabilityInfrastructureProgram("GRIP")processinstitutedby 1 theLegislature,andthatwillestablishratesfortheACSCCitiesbasedonthesystem-widecost ofservingtheAtmosMid-TexDivision;and 2018; WHEREAS,thecurrentRRMtariffwasadoptedbythe City in arate ordinance in and WHEREAS,onaboutApril1,2019,AtmosMid-Texfiledits2019RRMraterequest withACSCCitiesbasedonatestyearendingDecember31,2018;and WHEREAS,ACSCcoordinateditsreviewoftheAtmosMid-Tex2019RRMfiling throughitsExecutiveCommittee,assistedbyACSC'sattorneys and consultants, to resolve issuesidentifiedintheCompany'sRRMfiling;and WHEREAS,theExecutiveCommittee,aswellasACSC'scounselandconsultants, recommendthatACSCCitiesapproveanincreaseinbase ratesforAtmosMid-Texof$35.4 millionapplicabletoACSCCities;and WHEREAS,theattachedtariffs(ExhibitA)implementingnewratesareconsistentwith therecommendationoftheACSCExecutiveCommittee,areagreedtobytheCompany,andare just,reasonable,andinthepublicinterest;and WHEREAS,thesettlementagreementsetsanewbenchmarkforpensionsandretiree medicalbenefits(ExhibitB);and WHEREAS,thesettlementagreementestablishesanamortizationscheduleforregulatory liability(ExhibitC);and WHEREAS,theRRMTariffcontemplatesreimbursementof ACSC's reasonable expenses associatedwithRRMapplications; NOW,THEREFORE,BEITORDAINEDBYTHECITYCOUNCILOFTHE CITYOF PARIS,TEXAS: 2 Section1.ThatthefindingssetforthinthisOrdinanceareherebyinallthingsapproved. Section2.That,withoutprejudicetofuturelitigationofanyissueidentifiedbyACSC, theCityCouncilfindsthatthesettledamountofanincreaseinrevenuesof$35.4million for ACSCCitiesrepresentsacomprehensivesettlementofgasutilityrateissuesaffectingtherates, operations,andservices offeredbyAtmosMid-Texwithinthemunicipallimitsarising from AtmosMid-Tex's2019RRMfiling,isinthepublicinterest,andisconsistent withtheCity's authorityunderSection103.001oftheTexasUtilitiesCode. Section3.ThattheexistingratesfornaturalgasserviceprovidedbyAtmosMid-Texare unreasonable.ThenewtariffsattachedheretoandincorporatedhereinasExhibitA,arejustand reasonable, andaredesignedtoallowAtmosMid-Textorecoverannuallyanadditional$35.4 millionfromcustomersinACSCCities, overtheamount allowed under currently approved rates. Suchtariffsareherebyadopted. Section4.Thattheratemakingtreatmentforpensionsandretireemedicalbenefitsin AtmosMid-Tex'snextRRMfilingshallbeassetforthonExhibitB,attachedheretoand incorporatedherein. Section5.Thatamortizationofregulatoryliabilityshallbeconsistentwiththeschedule foundinattachedExhibitCattachedheretoandincorporatedherein. Section6.ThatAtmosMid-Texshallreimbursethereasonableratemakingexpensesof theACSCinprocessingtheCompany's2019RRMfiling. Section7.Thattotheextentanyresolutionorordinancepreviouslyadoptedbythe CouncilisinconsistentwiththisOrdinance,itisherebyrepealed. 3 Section 8.That the meetingatwhichthisOrdinancewas approvedwasinallthings conductedinstrictcompliance withtheTexas OpenMeetingsAct,TexasGovernmentCode, Chapter551. Section9.ThatifanyoneormoresectionsorclausesofthisOrdinanceisadjudgedto beunconstitutionalorinvalid,suchjudgmentshallnotaffect,impair,orinvalidatetheremaining provisionsofthisOrdinance,andtheremainingprovisionsoftheOrdinanceshallbeinterpreted asiftheoffendingsectionorclauseneverexisted. Section10.ThatconsistentwiththeCityOrdinancethatestablished theRRMprocess, thisOrdinanceshallbecomeeffectivefromandafteritspassagewithratesauthorizedbyattached tariffstobeeffectiveforbillsrenderedonorafterOctoberI,2019.
