AGENDA
1. Call meeting to order — Tim Hernandez, Chairman
2. Invocation
3. Citizens' Input
a. (Persons desiring to address the Paris EDC Board must limit their presentation to no more
than two minutes. Unless an item is posted on the Agenda, the Texas Open Meetings Act
prohibits the Board from responding to any comments other than to refer the matter to a
future agenda, to an existing policy, or to a staff person with specific factual information.
Claims against the Paris EDC, Board Members or employees are not appropriate for citizens'
input.)
b. If necessary, the Paris Economic Development Corporation may convene into Executive
Session under Chapter 551 of the Texas Government Code regarding any item on this agenda.
4. Discuss and possibly approve Minutes of the January 20, 2020, Monthly Meeting and the January 30, 2020,
Special Meeting.
5. Discuss and possibly approve November 2019 Financials
6. Discuss and possibly approve January 2020 Financials.
7. Discuss and possibly approve an executive search firm for the purpose of selecting an Executive Director.
8. Discuss and possibly approve the Lionshead Specialty Wheel performance agreement.
9. Discuss and possibly approve the bid from BottomLine for Rail Restoration and Replacement Services.
10. Discuss and possibly approve items concerning status of PEDC offices, specifically including but not limited
to:
• the installation of furniture and redecoration of main PEDC lobby,
• the renovation and installation of furniture to convert the larger office upstairs into a conference room,
• the conversion of the smaller office upstairs to an office for the PEDC Chair,
• the installation of new furniture and communications equipment in the Community Room,
• the construction of restrooms inside the main PEDC office, or
• review possible construction of new 2,200 square foot building at an estimated cost of $100 per
square foot - $220,000.
11. Discuss and possibly approve the purchase of iPads for the dissemination of agenda packets to the Board of
Directors.
12. Convene into Executive Session:
Convene into closed session under Texas Government Code Sec. 551.071 to receive legal advice from an
attorney about (1) pending or contemplated litigation or a settlement offer, or; (2) on a matter in which the
duty of the attorney to the governmental body under the Texas Disciplinary Rules of Professional Conduct
of the State Bar of Texas clearly conflicts with Chapter 551 of the Texas Government Code.

13. Reconvene into Open Session and possibly take action on item(s) discussed in Executive Session.
14. Discuss Future Agenda Items.
