WHEREAS, the form of Lease Agreement for such new and/or
used vehicles is attached hereto as Exhibit B, should be
approved, and the City Manager, should be authorized to
execute the same; NOW, THEREFORE,
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF
PARIS, that OPTION II on tbe Bid Form of Capps Rent A Car,
Inc., attached hereto as Exhibit A, for the Leasing of new
and/or used vehicles is hereby accepted and let conditioned
upon said dealer meeting all of the terms and specifications
included in the bid documents; and,
BE IT FURTHER RESOLVED, that the form of Lease Agreement
attached hereto as Exhibit B, is hereby approved, and that
the City Manager of the City of Paris, Michael E. Malone, be,
and he is hereby authorized and directed to execute on behalf
of the City of Paris the Lease Agreement with Capps Rent A
Car, Inc., for the leasing of new and/or used vehicles, upon
the terms and conditions and in the form shown in Exhibit B
attached hereto.

All 1991 model units will be replaced FOB Dallas by January 1992.
liability, physical damage and comprehensive insurance is to be provided
by your organization. Letter of self insurance Is acceptable.
Mileage allowance is 2,500 per month per unit. Excess mileage will be
charged at .20 per mile.
Your organization is responsible for all routine maintenance, such as, oil
changes, tires and minor repairs not covered by factory warranty. Minor
repairs are defined as being $50.00 or less.
Any repair that is determined Capps' responsibility is to be approved prior
to repair.
Normal "wear and tear" Is acceptable. Abnormal wear"and tear, or sub-
standard body repairs that h'ave been made, are chargeable at Authorized
Dealer rates. Labor to repair holes that have been drilled will also be
charged. Windshields that have been chipped or cracked are to be re-
placed at your expense, repaired windshields are not acceptable.
At least 30 days prior to each vehicle return, we will need to be notified In
writing, fax messages are acceptable.
Our rates, of course, include all applicable sales and use taxes, license and registra-
tion fees.

LEASE AGREEMENT
This Agreement, made and entered into this 12th day of
August, 1991, and executed in triplicate originals, each
executed copy constituting an original, it is contracted and
agreed by and through its Ci ty Manager, by and between the
City of Paris, a municipal corporation of Lamar County,
Texas, hereinafter referred to as CITY: and Capps Rent A Car,
Inc., hereinafter referred to as CAPPS, do contract and agree
as follows:
1. THAT CAPPS agrees to lease to CITY a maximum of
five (5) automobiles in accordance with the specifications
described in Exhibit A attached hereto.
2. THAT CITY agrees to pay for fuel and oil, and
liability insurance.
3. THAT CAPPS agrees to provide all maintenance,
vehicle registration, and State inspection.
3. THAT the term of this lease is one (1) year and is
automatically renewable unless notice is given by either CITY
or CAPPS on or before June .1, 1991, or any year thereafter
during the term of this agreement.
4. THAT any written notice required under the terms of
this Agreement shall be given and be deemed to have been duly
served if either 1) delivered in person, or 2) deposited
certified mail, return receipt requested, postage prepaid in
the United States mail,

5. THAT if any term or provision of this Agreement
shall be declared unconstitutional or void by any court of
competent jurisdiction, tbe constitutionality and validity of
the remainder of said Agreement shall not be affected
thereby, and to this end the terms and provisions of said
Agreement are declared to be severable.
6. THAT nothing contained in this Agreement shall be
deemed or construed to create the relationship of principal
and agent, partnership, joint venture, landlord and tenant,
or any relationship or association whatsoever between CITY
and CAPPS, other than as expressly set forth herein.

SPECIFICATIONS FOR LEASED VEHICLES
1. Maximum (5) new and/or used vehicles to be available at all times.
2. Vehicles may be exchanged or rotated with bidders current inventory
every 6 months.
3. Bidders to provide all maintenance, vehicle registration, and state
inspection.
4. Initial vehicles to be provided should meet the following
guidelines:
1. One (1) full size 4 door Sedan with Air Cond., am/fm Cassette
Stereo.
2. ' Two (2) mid-size or compact 2 Door Vehicles with Air Cond.,
am/fm Cassette stereo.
3. Two (2) full or mid-size pickups, two or four wheel drive, Air
Cond., am/fm Cassette stereo.
5. Vehicles should be in a well maintained condition and ready for
road use.
6. Maximum age of vehicles will be three (3) years: 1988 or newer.
