1989-020-RES WHEREAS, CITY COUNCIL IN ORD NO 84-039 PASSED ON 11TH DAY OF JUNE RESOLUTION 89-020 WHEREAS, the City Council did heretofore in Ordinance No. 84-039, passed on the 11th day of June, 1984, grant a franchise to McCaw Midwest Communications, Inc.; and, WHEREAS, McCaw Midwest Communications, succeeded by McCaw South Central Communications, Inc. , Inc. ; has and, been WHEREAS, McCaw South Central Communications, Inc., has been succeeded by Cooke CableVision, Inc.; and, WHEREAS, pursuant to Section l6(b) of Ordinance No. 84-039, Cooke CableVision, Inc., the present holder of the community antenna television franchise rights throughout the City of Paris, has applied for consent to the transfer its assets from Cooke CableVision, Inc., to Texas Community Antennas, Inc., a wholly owned subsidiary of TCA Cable TV, Inc., a Texas corporation; and, WHEREAS, said franchise is presently in full force and effect and Cooke CableVision, Inc. is in compliance with and not in default with the terms and conditions of said franchise. WHEREAS, it appears to the City of Paris that Texas Community Antennas, Inc., is qualified to own and operate the community antenna television franchise rights within the corporate limits of the City of Paris; NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF PARIS, That Cooke CableVision, Inc., successor to McCaw South Central Communications, Inc., is hereby granted authority to transfer ownership of the community antenna television franchise rights granted in Ordinance No. 84-039 to Texas Community Antennas, Inc. BE IT FURTHER RESOLVED, That Texas Community Antennas, Inc., be, and it is hereby authorized to assign its interest, when received from Cooke CableVision, Inc., for security purposes only to such financial institutions as may be selected to finance the acquisition and operation of the community antenna television system. This Resolution shall become effective only upon completion of the sale of all of Cooke CableVision, Inc. 's assets to Texas Community Antennas, Inc., and if such sale is not consummated, this Resolution shall be of no force or effect. Passed and adopted this 13th day of March, 1989. ~~~ Eric S.
