1989-054-RES WHEREAS, CITY COUNCIL IS ON RECORD AS BEING IN FAVOR OF POLICE TRAINING
RESOLUTION NO. 89-054
WHEREAS, the City Council of the City of Paris is on record
as being in favor of police training; and
WHEREAS, the law enforcement television network will be
providing law enforcement training programs which would augment
locally conducted training; and,
WHEREAS, in order to qualify for waiver of installation fee,
it was necessary to sign an Installation Agreement no later than
the 20th day of April, 1989, and such was executed by Charles G.
Whitley, Chief, Paris Police Department, a copy of which is
attached hereto as Exhibit A, which execution should be ratified;
and,
WHEREAS, in order to receive the training service it is
necessary to enter into a Subscription Agreement for a period of
12 months which provides for the payment of a monthly service
fee, which Subscription Agreement as amended by Addendum No. 1
should be approved and Charles G. Whitley, should be ordered to
execute the same, NOW THEREFORE,
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF PARIS,
That the form of Installation Agreement dated April 20, 1989,
attached hereto as Exhibit A, with Law Enforcement Television
Network, Inc., executed by Charles G. Whitley, Chief, Paris
Police Department is in all things approved and ratified.
BE IT FURTHER RESOLVED, That Charles G. Whitley, Chief,
Paris Police Department, be, and is hereby authorized and
directed to execute on behalf of the City of Paris the
Subscription Agreement attached hereto as Exhibit B, with Addendum
No.1, attached hereto as Exhibit C, each dated May 8, 1989
providing law enforcement training services.

INSTALLATIOI'4 AGREEMENT
The undersigned Agency hereby authorizes law Enforcement Television Network, Inc. ('lETN') to install certain
equipment upon the following terms and conditions:
1. Services, Agency and lETN have executed a Subscription Agreement, providing for the transmission via
lETN's network to Agency of programs concerning law enforcement ('Programs').
2. Equipment. Agency authorizes lETN to install all equipment necessary 10 receive the satellite signal for the
Programs ('Equipment') at the AgenCy's installation. address below on this Installation Agreement. Agency
acknowledges and agrees that LETN owns all righ.. t, title, and intere~t in the EquiPm.ent and that Agenc~ ,;

3. Installation Fee. Agency shall pay LETN ~or LETN's serVices hereunder due a~d payable upon execution
of this Installation Agreement.
4. Additional Hook-Ups. Upon Agency's request, LETN will install additional television locations within the agency
to receive LETN's satellite signal (Hook-Ups). Agency shall be billed, upon installation, $57.50 for each additional
Hook-Up within 100 feet of the original Or primary Hook-Up location. Hook-Ups In excess of 1 00 feet shall be billed

{.!~,.r!!!. SUBSCRIPTION AGREEMENT
The undersigned Agency agrees to subscribe to certain services from Law Enforcement Television Network, Inc.
("LETN') upon the following terms and cond~ions:
1. Services. Agency subscribes to LETN's programs concerning law enforcement via the LETN network
('programs'). LETN agrees 10 provide an average of at least 400 hours of broadcasting per month. .
2. Term. The term of this Agreement will begin upon (a) installation of equipment to receive LETN programming
and (b) the broadcast by LETN of 400 hours of programming per month and shall end 12 months from such date
('Initial Term'), unless extended as provided herein, At the end of the In~ial Term and any Additional Term, this
Agreement shall automatically be extended for an additional 12-month period ('Additional Term'), uniess, 60 days
prior to such date, e~her party gives notice in wr~ing of ~s intent to terminate this Agreement.

3. Service Fee. Agency shall pay LETN $488.00 per month for its services under this Agreement ('Service Fee').
Included in the Service Fee are five Program Guides valued at $1 per guide per month. As soon as the Initial Term
begins, Agency shall pay the Service Fee monthly in advance.

4. Equipment. LETN agrees to provide Agency wit.hin 90 days of the date hereof equipment necessary to receive
the signal for the Programs for one television set ('Equipment'). Agency acknowledges that LETN owns all right,
title, and interest in the Equipment and lhat Agency is to provide ~s own television set.

5. Maintenance, Agc,,;:;y agrees to use ~s best efforts 10 keep lhe Equipment in good working condition and to
use the Equipment only as provided in this Agreement. Agency agrees to notify LETN as soon as possible if the
Equipment requires any repairs or services. LETN shall be responsible for providing and paying for all such repairs
or services, provided, however, that Agency shall reimburse LETN for the cost of any repairs or services to the
Equipment which were required as a resuit of misuse by Agency.
6; Covenants of Aqencv. Agency agrees that LETN programming will be viewed only by Agency personnel and
lhat it will use the Programs only at the installation address set forth below Agency's signature on this Agreement.
Agency will not retransmit any Program 10 or reuse any Program at any other location.
7, Successors and Assiqns. The terms and conditions ofthis Agreement shall inure to the benefit of and be binding
upon the respective successors and assigns of the parties hereto. LETN may discontinue providing the services
under this Agreement immediately if Agency defauits in any of ~s agreements herein.

KNOW ALL MEN BY THESE PRESENTS That this Addendum Number One
to Subscription Agreement Between Law Enforcement Television
Network, Inc., and City of Paris, Paris, Texas, made this the
8th day of May, 1989, by and between Law Enforcement Television
Network, Inc., and the City of Paris, Paris, Texas, acting by and
through its Chief, Paris Police Department, Charles G. Whitley,
duly authorized,
WITNESSETH:
It is hereby mutually agreed by and between Law Enforcement
Television Network, Inc., and City of Paris, Paris, Texas that
the following paragraph number eight be added to the aforesaid
subscription agreement:
"8. Voidance of Agreement.
It is expressly agreed and understood by and
between the parties hereto that in the event the budget
for the City of Paris for the fiscal year beginning
October 1, 1989, and September 30, 1990, fails to
authorize an expenditure for police training of
sufficient magnitude to fund this subscription
agreement, then and only in that event this agreement
shall become null and void and of no binding effect on
the parties hereto."
IN WITNESS WHEREOF, the parties hereto have executed this
Addendum as of the 8th day of May, 1989.
