WHEREAS, the City Council of the City of Paris did
heretofore in Ordinance No. 84-039, passed on the 11th day
of June, 1984, grant a franchise to McCaw Midwest Communica-
tions, Inc.; and,
WHEREAS, McCaw Midwest Communications, Inc., has been
succeeded by McCaw South Central Communications, Inc.; and,
WHEREAS, pursuant

WHEREAS, it appears to the City Council of the City of
Paris that Cooke CableVision, Inc., is qualified to control
McCaw South Central Communications, Inc., which company will
continue to construct, own, operate and maintain the system
it is acquiring in conformity with Ordinance No. 84-039;
and,
WHEREAS, it appears to the City of Paris that Cooke
CableVision, Inc., is qualified to control the community
antenna television franchise rights within the corporate
limits of the City of Paris; NOW, THEREFORE,
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF
PARIS, That McCaw South Central Communications, Inc.,
successor to McCaw Midwest Communications, Inc., is hereby
granted authority to transfer control of the community
antenna television franchise rights granted in Ordinance No.
84-039 to Cooke CableVision, Inc.
BE IT FURTHER RESOLVED, That, Cooke CableVision, Inc.,
be, and it is hereby authorized to assign its interest, when
received from McCaw South Central Communications, Inc., for
security purposes only to such financial institutions as may
be selected to finance the acquisition and operation of the
community antenna television system.
This Resolution shall become effective only upon
completion of the sale of all of McCaw South Central Commun-
ications, Inc. 's stock to Cooke CableVision, Inc., and if
such sale is not consumated, this Resolution shall be of no
force or effect.
