1987-036-RES WHEREAS, the City Council of the City of Paris did heretofore in Resolution No. 87-006 authorize the
RESOLUTION NO. 87-016
WHEREAS, the City Council of the City of Paris did
heretofore in Resolution No. 87-006 authorize the leasing of
certain fairground property to the Red River Valley Fair
Association, Inc.; and,
WHEREAS, it has been brought to the attention of the
City Council of the City of Paris that the insurance market
is such that the cost to the fairground Lessee and
Sub-Lessees individually is prohibitive and therefore it
was deemed appropriate for the City of Paris to procure
insurance with said Lessee and Sub-Lessees bearing the cost
of the same and the Red River Valley Fair Association,
Inc. 's Lease contract with the City of Paris should be so
amended; and,
WHEREAS, it is right and proper that said Lease Agree-
ment be amended in the form of Addendum Number One attached
hereto as Exhibit No.1; NOW, THEREFORE,
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF
PARIS, That the amendment to the Red River Valley Fair
Association, Inc.'s, Lease dated January 12, 1987, in the
form of Addendum Number One attached hereto as Exhibit No. 1
be, and the same is hereby approved; and,
BE IT FURTHER RESOLVED, That Billy Joe Burnett, Mayor
of the City of Paris, be, and he is hereby authorized and
directed to execute on behalf of the City of Paris Addendum
Number One to the Red River Valley Fair Association, Inc. 's,
Lease dated January 12, 1987, in the form of Addendum Number
One attached hereto as Exhibit No.1.

KNOW ALL MEN BY THESE PRESENTS That this Addendum
Number One to Red River Valley Fair Association, Inc. 's,
Lease, made the 12th day of January, 1987, by and between
Red River Valley Fair Association, Inc., and the CITY OF
PARIS, PARIS, TEXAS, acting by and through its Mayor, Billy
Joe Burnett, duly authorized,
WITNESSETH:
It is hereby mutually agreed by and between Red River
Valley Fair Association, Inc., and CITY OF PARIS, PARIS,
TEXAS, that Paragraphs 3 and. 8 of said lease be changed to
read as follows:
"3. That Lessee will pay to Lessor the annual
cost of insurance, to keep all buildings and other
insurable improvements on the leased premises
insured against loss by fire, lightning and all
risks included in the term "extended coverage" to
the full extent of their insurable value.
8. Lessee will pay to Lessor the annual cost of
insurance to indemnify, save, keep and hold
harmless Lessor from and against any and all
demands, debts, liabilities, suits, claims and
causes of action of every kind and character
whatsoever for damage or injuries to persons
and/or property occurring on the leased premises
resulting from Lessee's use, Lessee's sub-lessee's
use or any tenant of Lessee's use, and from its
employees, invitees, patrons, licensees, or
visitors due to the buildings or other structures
thereon being improperly constructed or being or
becoming out of repair."
