WHEREAS, the City Council of the City of Paris, did
heretofore at a regular council meeting on the 12th day of
November, 1984, authorize the purchase of a municipal
application software package specially designed for an IBM
System 36 hardware configuration and the negotiation of a
contract for the same with Municipal Software Consultants,
Incorporated; and,
WHEREAS, the City has need for the agenda indexing
package available through Municipal Software Consultants,
Incorporated under Application Software Contract, and it
should be purchased; and,
WHEREAS, the Application Software Contract with Munici-
pal Software Consultants, Incorporated attached hereto as
Exhibit A, should be approved; NOW, THEREFORE,
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF
PARIS, That the Application Software Contract with Municipal
Software Consultants, Incorporated attached hereto as
Exhibit A, be, and the same is hereby approved; and,
BE IT FURTHER RESOLVED, that the Mayor of the City of
Paris, Billy Joe Burnett, be, and he is hereby authorized
and directed to execute on behalf of the City of Paris the
agreement in the form of Exhibit A, attached hereto, with
Municipal Software Consultants, Incorporated.

THIS COPYRIGHT CONTRACT, made and entered into this 29th day
of April, 1987, by and between the City of Paris, hereinafter
called "City, and Municipal Software Consultants, Inc., Grapevine,
in the State of Texas, hereinafter called "MSCI".

With consideration of the mutual covenant and conditions
hereinafter contained, the City does hereby accept the
copyright conditions which follow.

LicensinQ
1. ALL MUNIS packages are the licensed copyright materials of
Municipal Software Consultants, Incorporated and shall not
be duplicated, used, or disclosed in whole or in part for
any purpose other than operation of the computer system of
the City unless written approval is obtained from MSCI,
The application software proposed herein is designed for an
IBM System/36 hardware configuration. Although the
application software may be adapted and used on other

compatible hardware configurations of the City, under
the terms of this contract, MSCI does not warrant the
feasibility of adapting the application software to
hardware configurations other than the IBM System/36.
2, Ownership of the system's application software will be
retained by MSCI.
The City may utilize the application
software in any way deemed necessary so long as the
application software is limited to the City's computer
system,
Original source code and documentation is provided.
3, The Application Software shall consist of the following

4. For and in consideration of the services to be rendered by MSCI,
the City shall pay, and MSCI shall receive, compensation as
follows:
A. Application Software License Fee shall be due and payable
upon acknowledgement of said CONTRACT.
B, This CONTRACT shall be effective upon execution by the City
and MSCI.
C, Installation and training hours will be billed on an as
incurred basis at the rate of $50,00 per hour.
D. Travel and Per Diem expenses will be billed on an as incurred
basis, and held to a reasonable level not to exceed $100.00.
5. MSCI certifies that the software provided does not infringe upon
other's patents, rights, etc.
IN WITNESS WHEREOF, the City and MSCI has executed this agreement
on the date first above written,
