RESOLUTION CALLING BOND ELECTION AND NOTICERESOLUTION CALLING A BOND ELECTION AND NOTICE OF ELECTION A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF PARIS, TEXAS, CALLING A BOND ELECTION IN THE CITY OF PARIS, TEXAS; ESTABLISHING THE DATE OF THE ELECTION; PROVIDING FOR EARLY VOTING; DESIGNATING POLLING PLACES; APPOINTING ELECTION OFFICIALS; PROVIDING FOR NOTICE OF THE ELECTION; AUTHORIZING AN AGREEMENT WITH THE LAMAR COUNTY ELECTIONS ADMINISTRATOR FOR ELECTION SERVICES; APPOINTING AN EARLY VOTING BALLOT BOARD; FINDING AND DETERMINING THAT THE MEETING AT WHICH THIS RESOLUTION WAS PASSED COMPLIED WITH THE TEXAS OPEN MEETINGS ACT; MAKING OTHER FINDINGS AND PROVISIONS RELATED TO THE SUBJECT; AND PROVIDING AN EFFECTIVE DATE. WHEREAS, this City Council of the City of Paris, Texas, Texas (the "City ") deems it advisable to call the election hereinafter ordered; and WHEREAS, it is hereby officially found and determined that holding the hereinafter called election on the date set forth below is in the public interest; and that the meeting was open to the public, and public notice of the time, place and purpose of the meeting was given, all as required by Chapter 551, Texas Government Code. NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF PARIS, TEXAS: Section 1. The findings set out in the preamble to this resolution are hereby in all things approved and adopted. Section 2. An election be called for and held on May 6, 2017, between the hours of 7:00 a.m. and 7:00 p.m., at which election the following PROPOSITIONS shall be submitted in accordance with law: PROPOSITION NO. 1 Shall the City Council of the City of Paris, Texas, be authorized to issue the bonds of the City, in one or more series or issues, in the aggregate principal amount of $9,500,000, with the bonds of each such series or issue, respectively, to mature serially within not to exceed 20 years from their date, and to be sold at such prices and bear interest at such rates as shall be determined within the discretion of the City Council, for the purpose of constructing, improving, extending, expanding, upgrading and developing streets and roads, bridges and intersections including, utility relocation, landscaping, sidewalks, traffic safety and operational improvements, the purchase of any necessary right -of -way, drainage and other related costs, and shall the City Council be authorized to levy and cause to be assessed and collected annual ad valorem taxes in an amount sufficient to pay the annual interest on the bonds and provide a sinking fund to pay the bonds at maturity? PROPOSITION NO.2 Shall the City Council of the City of Paris, Texas, be authorized to issue the bonds of the City, in one or more series or issues, in the aggregate principal amount of $500,000, with the bonds of each such series or issue, respectively, to mature serially within not to exceed 20 years from their date, and to be sold at such prices and bear interest at such rates as shall be determined within the discretion of the City Council, for the purpose of improving and equipping parks, trails and recreational facilities, and shall the City Council be authorized to levy and cause to be assessed and collected annual ad valorem taxes in an amount sufficient to pay the annual interest on the bonds and provide a sinking fund to pay the bonds at maturity? Section 3. The official ballots for the election shall be prepared in accordance with the Code so as to permit the electors to vote "FOR" or "AGAINST" the aforesaid PROPOSITIONS, with the ballots to contain such provisions, markings and language as required by law, and with such PROPOSITIONS to be expressed substantially as follows: PROPOSITION NO. 1 FOR ) THE ISSUANCE OF $9,500,000 TAX BONDS FOR AGAINST ) STREET AND ROAD IMPROVEMENTS AND RELATED INFRASTRUCTURE. PROPOSITION NO.2 FOR ) THE ISSUANCE OF $500,000 TAX BONDS FOR AGAINST ) PARK IMPROVEMENTS AND PARK EQUIPMENT. Section 4. All persons legally qualified to vote according to the laws of the State of Texas and the Charter of the City of Paris, Texas, shall be entitled to vote in the election. Section 5. The election shall be held and conducted and the returns thereof made in accordance with the Texas Election Code, the Charter of the City of Paris, Texas, and all other applicable statutes of the State of Texas and ordinances and resolutions of the City of Paris, Texas. The election materials enumerated in Sections 272.001, et seq., Texas Election Code, shall be printed and furnished in both English and Spanish for use at each polling place on election day and for early voting. Section 6. Voting in the election on May 6, 2017 shall be conducted for all voters at the following polling places: Voting Locations: Districts 3, 4, 5, 6 and 7 Lamar County Courthouse Annex Old County Courtroom 231 Lamar Avenue Paris, Texas Districts 1 and 2 Red River Valley Fairgrounds Event Center 1875 Fitzhugh Street Paris, Texas Section 7. The following persons are hereby appointed and named as the election officers for the election: Judges and Alternate Judges: Lamar County Courthouse Annex Dorothy Ritchey, Election Judge Eva Easley, Alternate Judge Red River Valley Fairgrounds Thelma Dangerfield, Election Judge Paula Henderson, Alternate Judge Section 8. Early voting shall be conducted by personal appearance and by mail at: Location to Vote In Person Address to Request Ballot by Mail Lamar County Courthouse Annex Tricia Johnson Old County Courtroom Lamar County Elections Administrator 231 Lamar Avenue 231 Lamar Avenue Paris, Texas Paris, Texas 75460 The early voting period for the election is April 24, 2017 through May 2, 2017, except no early voting will be held on Saturdays, Sundays and legal state holidays during that period. On April 24, 2017 and April 25, 2017, the hours designated for early voting by personal appearance shall be from 8 a.m. to 8 p.m. On all other days of early voting, the hours designated for early voting by personal appearance shall be from 8 a.m. to 5 p.m. The Early Voting Clerk shall keep said early voting place open during such hours for early voting by personal appearance. The Early Voting Clerk for the election shall be Tricia Johnson. Section 9. In accordance with provisions of the Texas Election Code, this resolution calling the election (the "Resolution "), as it may be modified in a manner that is consistent with the election notice requirements applicable to the election, shall serve as proper notice of the election (the "Notice of Election "). The Council hereby directs the City Clerk to post and publish the Notice of Election and the Resolution as follows: (a) The Notice of Election shall be published in both English and Spanish on the same day in each of two (2) successive weeks in a newspaper of general circulation in the City, the date of the first publication to be not more than thirty (30) or less than fourteen (14) days prior to the date set for the Election; (b) The Resolution shall be posted on the bulletin board used for posting notices of meetings of the City Council, and at three other places in the City, not later than the twenty -first (21 st) day prior to the date set for the Election; (c) The Resolution shall be posted on election day and during early voting by personal appearance, in a prominent location at each polling place; and (d) The Resolution shall be posted during the 21 days before the date of the election, on the City's Internet website. Section 10. Tricia Johnson is hereby appointed to serve on the date of the election as the presiding judge of a three (3) member Early Voting Ballot City Council, the other two members of which are to be appointed by said judge in accordance with the provisions of Chapter 87 of the Texas Election Code, as amended. Section 11. The City Manager or the Mayor is hereby authorized and directed to execute an agreement with the Lamar County Elections Administrator, as approved by the City Attorney, to allow the Lamar County Elections Administrator to provide services in regards to the May 7, 2017 election. Section 12. In all respects, the election shall be conducted in accordance with the Code. Pursuant to the federal Help America Vote Act ( "HAVA ") and the Code, at each polling place there shall be at least one voting system that is equipped for disabled individuals, and each such voting system shall be a system that has been certified by the Texas Secretary of State as compliant with HAVA and the Code. Section 13. In accordance with the provisions of Section 3.009(b), Texas Election Code, it is hereby found and determined that: (a) The proposition language that will appear on the ballot is set forth in Section 3 hereof. (b) The purposes for which the bonds are to be authorized are set forth in Section 2 hereof. (c) The principal amount of the debt obligations to be authorized is set forth in Sections 2 and 3 hereof. (d) As set forth in Sections 2 and 3 hereof, if the bonds are approved by the voters, the City Council will be authorized to levy annual ad valorem taxes, on all taxable property in the City, sufficient, without limit as to rate or amount, to pay the principal of and interest on the bonds and the cost of any credit agreements executed in connection with the bonds. (e) Based upon the bond market conditions at the date of adoption of this resolution, the maximum interest rate for any series of the bonds is estimated to be 4% as calculated in accordance with applicable law. Such estimate takes into account a number of factors, including the issuance schedule, maturity schedule and the expected bond ratings of the proposed bonds. Such estimated maximum interest rate is provided as a matter of information, but is not a limitation on the interest rate at which the bonds, or any series thereof, may be sold. (f) As set forth in Section 2 hereof, if the bonds are approved, they may be issued in one or more series, to mature serially, over a period not to exceed 20 years. (g) The aggregate amount of the outstanding principal of the City's debt obligations as defined in Section 3.009, Texas Election Code (all of which are secured by a limited tax levied for debt service purposes), as of the beginning of the City's 2016 -17 fiscal year is $43,215,000. (h) The aggregate amount of the outstanding interest of the City's debt obligations as defined in Section 3.009, Texas Election Code (all of which are secured by a limited tax levied for debt service purposes), as of the beginning of the City's 2016 -17 fiscal year is $16,180,890.13. (i) The ad valorem debt service tax rate for the City for the 2016 -17 fiscal year is $0.07752 per $100 of taxable assessed valuation. Section 14. The meeting at which this Resolution was passed was conducted in strict compliance with the Texas Open Meetings Act, Texas Government Code Chapter 551. Section 15. This Resolution shall be effective immediately from and after its passage. RESOLUCION QUE CONVOCA UNA ELECCION DE BONOS Y AVISO DE ELECCION UNA RESOLUCION DEL CONSEJO MUNICIPAL DE LA CIUDAD DE PARIS, TEXAS, QUE CONVOCA UNA ELECCION DE BONOS EN LA CIUDAD DE PARIS, TEXAS; ESTABLECIENDO LA FECHA DE LA ELECCION; PROVEYENDO PARA LA VOTACION ANTICIPADA; DESIGNANDO LUGARES DE VOTACION; NOMBRANDO OFICIALES DE ELECCION; PROVEYENDO AVISO DE LA ELECCION; AUTORIZANDO UN ACUERDO CON EL ADMINISTRADOR DE ELECCIONES DEL CONDADO DE LAMAR PARA SERVICIOS DE ELECCION; NOMBRANDO UN CONSEJO DE VOTACION ANTICIPADA; ENCONTRANDO Y DETERMINANDO QUE LA JUNTA EN LA QUE ESTA RESOLUCION FUE APROBADA CUMPLIO CON EL ACTA DE TEXAS DE JUNTAS ABIERTAS; HACIENDO OTRAS CONCLUSIONES Y DISPOSICIONES RELACIONADAS AL SUJETO; Y PROPORCIONANDO UNA FECHA EFECTIVA. CONSIDERANDO QUE, este Consejo Municipal de la Ciudad de Paris, Texas, (la "Ciudad ") juzga conveniente convocar la elecci6n que en adelante se ordena; y CONSIDERANDO QUE, por la presente se encuentra y determina oficialmente que la realizaci6n de la llamada elecci6n en la fecha establecida a continuaci6n es de interes publico; y que la junta fue abierta al publico, y se dio aviso publico de la hora, lugar y prop6sito de la junta, todo de conformidad con el Capitulo 551 del C6digo de Gobierno de Texas. Se convocara una elecci6n y se llevara a cabo el 6 de mayo de 2017, entre las 7:00 a.m. y las 7:00 p.m., en cuya elecci6n las siguientes PROPOSICIONES deberan ser presentadas de acuerdo con la ley: PROPOSICI6N NO. 1 Z Debera el Consejo Municipal de la Ciudad de Paris, Texas, estar autorizado para emitir bonos de la Ciudad, en una o mas series o emisiones, en el monto total de capital de $9,500,000, con los bons de cada una de dichas series o emisiones, respectivamente, a expirar en serie dentro de un plazo que no exceda de 20 aiios a partir de su fecha de emisi6n, y para ser vendidos a tales precios y generar intereses a tales tasas como se deba determinar dentro de la discreci6n del Consejo Municipal, con el prop6sito de construir, mejorar, extender, expandir, modernizar y desarrollar calles y carreteras, puentes a intersecciones, incluyendo reubicaci6n de servicios piublicos, ajardinamiento, aceras, seguridad de trafico y mejoras operacionales, la compra de cualquier derecho a paso necesario, drenaje y otros costos relacionados, y debera el Consejo Municipal estar autorizado para recaudar impuestos y causar que se tasen y cobren impuestos anuales de acuerdo a su valor en la cantidad suficiente para pagar el interes anual de los bons y proporcionar un fondo de amortizaci6n para pagar los bons a su fecha de vencimiento? PROPOSICI6N NO.2 ZDebera el Consejo Municipal de la Ciudad de Paris, Texas, estar autorizado para emitir bonos de la Ciudad, en una o mas series o emisiones, en el monto total de capital de $500,000, con los bons de cada una de dichas series o emisiones, respectivamente, a expirar en serie dentro de un plazo que no exceda de 20 afios a partir de su fecha de emisi6n, y pars ser vendidos a tales precios y generar intereses a tales tasas como se deba determinar dentro de la discreci6n del Consejo Municipal, con el prop6sito de mejorar y equipar parques, senderos e instalaciones recreativas, y debera el Consejo Municipal estar autorizado para recaudar impuestos y causar que se tasen y cobren impuestos anuales de acuerdo a su valor en la cantidad suficiente para pagar el interes anual de los bons y proporcionar un fondo de amortizaci6n para pagar los bons a su fecha de vencimiento? Secci6n 3. Las boletas oficiales para la elecci6n deberan ser preparadas de acuerdo al C6digo para permitir a los electores votar "A FAVOR" o "EN CONTRA" de las PROPOSICIONES anteriormente expuestas, y las boletas deberan contener dichas clausulas, marcas y lenguaje como to requiere la ley, y con dichas PROPOSICIONES para expresar sustancialmente to siguiente: PROPOSICI6N NO. 1 A FAVOR ) LA EMISION DE $9,500,000 DE BONOS DE EN CONTRA ) IMPUESTOS PARA MEJORAS A LAS CALLES Y A LAS CARRETERAS E INFRAESTRUCTURA RELACIONADA. De acuerdo con las clausulas del C6digo de Elecci6n de Texas, esta resoluci6n que convoca la elecci6n (la "Resoluci6n "), como pueda ser modificada en una manera que sea consistente con los requerimientos de aviso de elecci6n aplicables a la elecci6n, deberan servir como aviso apropiado de la elecci6n (el "Aviso de Elecci6n "). El Consejo por este medio dirige al Secretario de la Ciudad a exponer y publicar el Aviso de Elecci6n y la Resoluci6n como sigue: (a) El Aviso de Elecci6n debera ser publicado tanto en ingles como en espafiol el mismo dia en cada una de dos (2) semanas sucesivas en un peri6dico de circulaci6n general en la Ciudad, la fecha de la primera publicaci6n debera ser no mas de treinta (30) o menos de catorce (14) dias antes de la fecha establecida para la Elecci6n; (b) La Resoluci6n debera ser expuesta en el tablero de anuncios usado para exponer avisos de juntas del Consejo Municipal, y en tres otros lugares en la Ciudad, a mas tardar veintiun (2 1) dias antes de la fecha establecida para la Elecci6n; (c) La Resoluci6n debera ser expuesta el dia de la elecci6n y durante la votaci6n anticipada por medio de presencia fisica personal en una ubicaci6n prominente en cada lugar de votaci6n; y (d) La Resoluci6n debera ser expuesta durante los 21 dias antes de la fecha de la elecci6n en el sitio de Internet de la Ciudad. Secci6n 10. Tricia Johnson es por este medio nombrada para servir en la fecha de elecci6n como el Juez que Preside de un Consejo Municipal de las Boletas de Votaci6n anticipada de tres (3) miembros, los otros dos miembros deberan ser nombrados por dicho juez de acuerdo con las clausulas del Capitulo 87 del C6digo de Elecc16n de Texas, como ha sido modificado. Secci6n 11. El Administrador de la Ciudad o el Alcalde deberan ser autorizados y dirigidos para ejecutar un acuerdo con el Administrador de Elecciones del Condado de Lamar, aprobado por el Abogado de la Ciudad, para permitir al Administrador de Elecciones del Condado de Lamar proporcionar servicios relacionados a la elecci6n del 7 de mayo de 2017. Secci6n 12. En todos los aspectos, la eleccion se debera llevar a cabo de acuerdo con el C6digo. De conformidad con el Acta Federal de Ayuda a America a Votar ( "HAVA" por sus siglas en ingles) y el C6digo, en cada lugar de votaci6n debera haber por to menos un sistema de votacion que este equipado para personas discapacitadas, y tal sistema de votacion debera ser un sistema de votacion que haya sido certificado por el Secretario del Estado de Texas de conformidad con HAVA y el C6digo. Secci6n 13. De acuerdo con las clausulas de la Secci6n 3.009(b) del C6digo de Elecci6n de Texas, por este medio se encuentra y se determina que: (a) El lenguaje de la proposici6n que aparecera en las boletas es establecido en la Secci6n 3 de este documento. (b) Los fines pars los cuales los bons deben ser autorizados son establecidos en la Secci6n 2 de este documento. (c) El monto principal de las obligaciones de deuda a ser autorizadas se establece en las Secciones 2 y 3 de este documento. (d) Como se establece en las Secciones 2 y 3 de este documento, si los bonos son aprobados por los votantes, el Consejo Municipal estara autorizado para recolectar impuestos anuales de acuerdo a su valor a toda propiedad sujeta a impuestos, suficientes, sin limite de tasa o cantidad, pars pagar el principal y los intereses sobre los bons y el costo de cualesquiera acuerdos de credito ejecutados en conexi6n con los bons. (e) En base a las condiciones de mercado de los bons a la fecha de adopci6n de esta resoluci6n, la tasa maxima de interes para cualquier serie de bonos se estima que sea 4 %, calculada de acuerdo con las leyes aplicables. Dicha estimaci6n toma en cuenta un numero de factores, incluyendo el calendario de emisi6n, el calendario de fechas de vencimiento, y la calificaci6n de bonos esperada de los bons propuestos. Dicha tasa maxima de interes estimada es proporcionada de manera de informaci6n, pero no es una limitaci6n a la tasa de interes a la que los bonos, o cualquier serie de los mismos, puedan ser vendidos. (f) Como se establece en la Secci6n 2 de este documento, si los bonos son aprobados, podran ser emitidos en una o mas series, para expirar en serie durante un periodo que no exceda de 20 arios. (g) El monto total del principal pendiente de pago de las obligaciones de deuda de la Ciudad como se define en la Secci6n 3.009 del C6digo de Elecci6n de Texas (todos los cuales estan garantizados por un impuesto limitado cobrado para fines del servicio de la deuda), a principios del ano fiscal 2016 -17 de la Ciudad es $43,215,000. (h) El monto total del interes pendiente de pago de las obligaciones de deuda de la Ciudad como se define en la Secci6n 3.009 del Codigo de Elecci6n de Texas (todos los cuales estan garantizados por un impuesto limitado cobrado para fines del servicio de la deuda), a principios del ano fiscal 2016 -17 de la Ciudad es $16,180,890.13. (i) La tasa de impuestos del servicio de deuda de acuerdo a su valor para la Ciudad para el ano fiscal 2016 -17 es $0.07752 por $100 de valuaci6n fiscal gravable. Secci6n 14. La junta en la que esta Resoluci6n fue aprobada fue llevada a cabo en estricto cumplimiento con el Acta de Juntas Abiertas de Texas, Codigo de Gobierno de Texas, Capitulo 551. Secci6n 15. Esta Resoluci6n debera entrar en vigor imnediatamente despues de su aprobaci6n.
