1985-028-RES WHEREAS, the City of Paris and Lamar County Water Supply District, hereinafter referred to as LCWSD,
RESOLUTION NO. 85-028
WHEREAS, the City of Paris and Lamar County Water
Supply District, hereinafter referred to as LCWSD, have
reached agreement mutually beneficial to the City of Paris
and LCWSD, wherein the City of Paris sells water to LCWSD at
agreed minimum delivery pressure, particular flow rate, and
volume in excess of 1.5 million cubic feet per month; and,
WHEREAS, it is deemed to be in the best interest of the
citizens of Paris that such agreement in the form of Exhibit
A attached hereto and made a part hereof, be in all things
approved; NOW, THEREFORE,
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF
PARIS, That the Agreement with LCWSD, for water service and
establishing the consideration for the same prescribed in
Exhibit A attached hereto be, and the same is hereby
approved and accepted.
BE IT FURTHER RESOLVED, that the Mayor of the City of
Paris, Joe Graham, be, and he is hereby authorized and
directed on behalf of the City of Paris to execute the Water
Service Agreement attached hereto as Exhibit A.

B. However, it is unders toad and agreed that a
portion of che quantities of water hereinafter set out
cannot be furnished by the City ac the initiation of this
contract. Those quantities hereinafter set out shall not
become effective until the LCWSD has its contemp1aced ground
storage facilities near the City Water Treatment Plant
constructed and the City has its proposed Water Treatment
Plant improvenencs in operation. It is agreed that if for
any reason either party does not have these new or improved
facilities in use by July 1, 1987, and the parties are not
mutually agreeable to an extension of time for their com-
pletion, this contract shall terminate and the provisions of
the July 17, 1967, contract will be restored, except that if
only the City shall have failed to have such facilities in
operation the quantities available to LCWSD shall be
increased by 25%. However, each party agrees to exercise
its best good faith effort to accomplish these improvements
by July 1, 1987.
II.
WATER AVAILABILITY AND COSTS
DURING INTERIM PERIOD
A. During the period of cime between the initi-
ation of this contract and the complecion of the llew or

COUNTY OF LAllAR
KNm, ALL MEN BY THESE PRESENTS tha t the CITY OF
PARIS, Paris, Texas, a municipal corpora cion . hereinafter
called "City", holds certain vlater rights to water at Pat
Mayse Reservoir, a regional reservoir located in North Lamar
Coun:~y, and Lake Crook Reservoir and LAl1AR COUNTY WATER
SUPPLY DISTRICT, a !1unieipal Utility District. hereinafter
called "LCIVSD", holds the right to purchase not to exceed
50,000,000 gallons of water per month from the City under a
contract dated July 17. 1967. vlith the City and each of the
parties desire to amend said contract but said contract to
remain in full force and effect throughout the time of the
anended contract except as herein amended.
Therefore, it is agreed by and between the parties
that a new contract be entered into modifying the July 17,
1967, contract as hereinafter staced, upon the following
terms and conditions:

of Paragraph 1-B above, whichever occurs first, the Cicy
agrees to furnish LCWSD ac the points of delivery and
subject to the Flow limit.ations as show.n by Exhibi.t f1A"
attached hereto, potable treated water in such quantities as
may be required by LCHSD to a maximum of 750,000,000 gallons
1D any consecutive twelve (12) month period. Such water to
be taken at a uniform rate noc to exceed 2050 gallons per
minute, in accordance with Schedule shown on Exhibit "A"
hereto attached.
B. Durblg this interim period of time the charge
for water from cho City to LCWSD shall be the accual cost of
water production operation and maintenance, water dis-
tribution operation and maintenance, 57.4% of the annual
i,nterest on and fiscal agent fees associat,,,d \-lith City of
Paris, T(~xas 1Jaterworks and Sewer System Revenue Refunding
Bonds Series 1983, and 62.0% of the annual interest on and
fiscal agent fees associated with City of Paris, Texas
Combination Tax and Utility System Revenue Certificates of
Obli.gatton, Series 1984 multiplied by the percentage that
water taken by LCWSD is of the cotal treated water sold by
the City of Paris plus 6.5% of the sum of such actual costs.
Tho method of computing such charges shall be the same as
illustraced and comply with subparagraphs 5, 6 and 7 of
Paragraph V and is illustrated in Exhibit "B" attached
hereto.

III.
'VJATER AVi\ILABILITY FOLLOIHNG
INTERIH PERIOD
A. FollovJi,ng the interim period set ouc above,
this contract shall continue in force and effect until the
3J.st dRY of March, 2025.
B. During this period of time the service area
of water for the parties hereto shall be as follows:
1. LCWSD may sell and serve water in Lamar
County in accordance with the service area set out
in the July 17, 1967, contract and have che right
to sell water purchasC'd undC'r this Concract in
De1t<l, Fannin and Red River Counties, Texas, and
cl1C' Norclwrnmost 10 miles of Hopkins, Hunt and
Fr':lnklin Counties, Texas.
2. The City shall have an exclusive right
to sell 'dater to industrial heavy manufacturing
users as described herein and incorporated cities
in excess of ::000 population according to the 1980
census in the service area of LC'^,SD which do not
purchase water from LCWSD as of the effective date
of this contracc.
Such exc 1 us ive right may be
relinquished and transferrC'd to LCWSD.
3. The City may make a surcharge that does
not exceed 200% for treated water provided end
I,
users by LC'Y1SD engaged in industrial heavy man-
ufacturing activity not purchasing waCer from
LCWSD as of the effective date of this contract in
the event that the consumption of such water by
such end user exceeds an annual average of 100,000
gallons per month.
C. FollO\-ling the interim period set out above
and continuing until expansion of Pat Mayse Raw Water
Transmission Facilities, and subject to the safe avail-
ability of ra>-l water at the Water Treatment Plant the City,
,Jill guarantee to LC'YISD 1,150 million gallons per year
(3,150,000 gallons per annual average day of potable water),
of which not to exceed 1,400,000 gallons per day may be
taken through the City's distribution system. This increased
distribution system requirement of LCHSD shall be met by
City no later than July 1, 1987, unless provisions of the
July 17, 1967, contract as amended by Paragraph I B hereof
are reinstaced. The City may require that all amounts of
water be taken at a uniform rate that does not exceed 21% of
the raw water safely available at the Water Treatment Plane
or 2,188 gallons per minute, vvhichever is greater. In the
event the City has the safe capacity to deli.ver to its
customers and other customers an amount i.n excess of
15,000,000 gallons of potab le water per day, the City will
make available to LCWSD an amount not to exceed 21% of such

that the Cicy may limit the total amount to 5,000,000

D. Follo\ving expansion of Pat Hayes Raw 1,later

capacity of 20,000,000 gallons per day and continuing until
che 30th day of Harch, 2010, the City will guarantee to
LCWSD 1,340 million gallons per year (3,780,000 gallons per
annual average day) of potable water of which noc to exceed
1, /iOO, 000 gallons per day may be taken through the City's
distrihution system. The City may require chat all amoWlts
of water be taken at a uniform rate that does noc exceed 21%
of the rm, ,vater safely available at the Water Treatment
Plant or 3,500 gallDns per minuce, Ivhichever is greater. The
City may lir.1it the total amount to 5,000,000 gallons per
d<:1.y.
Both parties agree that ic is prudenc to delay
cOiTipletion of the aforementioned Pat Hayse Raw Water Trans-
mL;sion Facilities until it appears that water demand will
exceed the reliable amount available.
If at any time, LCWSD
does not agree with the City's schedule for completing the
expansion of Pat Hayse Ra\<l Water Transmission Facilities to
the minimum amOlmt specified above, it may notify che City
of such disagreement and provide the City a list of chree

analyzj.ng future water need.
The City shall within thirty
(30) days of receipt of such notice select one (1) of such
Engincering firms and notify LCWSD of such selection. In
the event the selected Engineering firm provides the City
v...ith an analysis that substantiates the need to complece chc
aforementioned expansion vlithin twenty-four (24) months from
the date of the Ci.ty' s receipt of such analysis, the City
shall complete such expansion vvithin twenty-four (24) months
after receiving such analysis.
In the event the City fails
to select an Engineering Consulting firm within the time
limit provided herein, LCWSD may select such firm And such
seleccion shall have the same effect as if the City had made
th(~ selection.
If the Engineering study shows thac City
would need cxpanded facilities vlithin thirty (30) r.1onths of
the day LCWSD notifies Cicy of ics disagreemenc, then the
City shall pay the cost of such Engineering firm and if such
study shm...s improvement are not needed vdthin such thirty
(30) month period then LCHSD shall pay such Engineering
firm.
E. From and after the 1st day of April, 2010,
until the 30ch day of Harch, 2025, the City agrees co sell
LCWSD treated water in such quantities and at such price as
shall be mutually agreeable.
F. Upon LCHSD's request at any time after
October 1, 2006, for modification to this contract setti.ng

out the additional quantities, if any, it desires after
April 1, 2010, the City will within ninety (90) days give
LCWSD a proposal of any modifications desired by City in
contract as to quantities and price. If such proposal is
submicted che parties will in good faith attempt to
negotiate quantities and price for the period from April 1,
2010, to March 31, 2025, and failing to reach such agreement
within six (6) months this contract shall come to an end on
March 31, 2010. LCWSD may also give City a quantity and
price proposal at any time after April 1, 2007, to be
effeccive during the last fifteen (5) years of the con-
trace. Should LCWSD not propose a different quantity and
price proposal by December 31, 2007, and should City not
respond to a request from LCWSD within the ninety (90) days
specified, then it shall be conclusively deemed that this
contract shall remain in full force and effect to March 31,
2025.
IV.
WATER AVAILABILITY TO LCWSD
FOLLOWING INITIAL TER}!
It is agreed that LCWSD shall have the right to
purchase a total of 16.779 million gallons of water per day
from the City. This total includes any potable treated
water purchased by LCWSD under the terms of this contract.
In the event LCWSD desires to purchase water in excess of

che amounts set out in Sectiop, III, it shall at least thircy
(30) months prior to vlancing delivery of such additional
',-later request the City to make contract amendments to
provide for such purchase. LCWSD shall agree to pay any
additional capital recovery charge which may be required to
maintcd:n the ratio that its maximum authorized consumption
rate is of 133.3% of the ,-later production syscem' s normal
operating capacity. If the City does not agree to such
contract ap1Cndrnents within six (6) months of receiving such
request, LCWSD may purchase raw water from the City in an
amount equill to che difference between such requested ilmO\mt
and the amount set out in Seccion III.
Raw water purchased by LCWSD shall be on the
following terms:
1. LCWS]) will have the right to bring the
rau water purchased under this section to the
City's treatment plant at its cost if the City
agrees to treat such raw water. The City agrees
that the cost co treat such raw water for LC\oJSD
will be the City's actual cost including capital
amortizacion (35 years straight line depreciation)
and interest cost to City on capitalized items and
a 6.5% administrative fee plus 10%.

2. LCWSD will have the right to treat such
water itself if the City does not agree to do so
ac an annual cost as set out in paragraph I above.
3. For raw water taken which is delivered
to the City for treatment or which is not treated
by the City, LCWSD will pay the City its Pat Mayse
storage costs including applicable debt service
therefor plus 6.5%.
4. Raw water may be purchased by LCWSD in
the least increments permissible by the U.S. Corps
of Engineers or its successor, if any, in the
operation of Pat Mayse Reservoir.
5. The Debt Service for such water will
include all interest accrued for the increment
purchased, the incremental original construction
costs and interest thereon. The amortization of
accrued interest and original construction cost
shall be completed on/or before the expiration of
this contract.
V.
CHARGE FOR TREATED WATER DELIVERED TO LCWSD
A. This water will be charged by the City to
LCWSD and LCWSD will pay to the City the following:
1. A capital recovery charge will be made
by City in the sum the annual Water Production

System depreciates as hereinafter set out plus the
annual interest and fiscal agent's fees associated
with the City \Vater Production System debt as
hereinafter defined multiplied by the percentage
that LCWSD's maximum authorized consumption rate,
5,000,000 gallons, is of 133.3% of the \Vater
Production System's normal operating capacity. It
is agreed that with the completion of the Wate:t.
Treatment Plant expansion contemplated and cur-
rently proposed, the Wacer Treatment Plant shall
have a normal operating capacity of 18,000,000
rn~llion gallons per day, and that at such time the
capital recovery charge will be 21% based on the
ratio expressed herein.
Water Production System as used herein
includes Raw Water Pumping Stations, Raw Water
Lines and appurtenances thereto used to transport
raw _-later to the \Vater Treatment Plant for the
purpose of treating, the Water Treatment Plant,
Clear Wells, Pumps and appurtenances thereto used
to treat and deliver water to the Distribution
System. Facilities and equipment beyond the point
of connection to the LC\VSD System and facilities
thac may in the future be cons eructed for the
purpose of conveying raw ,later for any purpose

other than converting it to treated water are not
for the purpose of this contract to be considered
to be a part of the Water Production System. For
the purpose of computing this capital recovery
charge, it is agreed:
(a) that as of October 1, 1984, the capital
value of the City Water Production System was
$2,535,336.94 and that such amount shall be
depreciated on a straight line basis as set
out in Exhibit C, and
(b) that all capital items added to the City
Water Production Syscem subsequent to October
1, 1984, shall be depreciated on a straight
line basis over a thirty-five (35) year
period, and
(c) that the proceeds of any grant-in-aid
received by the City shall not be capitalized
unless such be a requirement imposed by the
grantor, or is necessary to comply with (i) a
judgement or order issued by a court or
administrative agency of competent jurisdic-
tion, (ii) applicable federal or state
statutes or agency rule or regulation, (iii)
bond or debt covenant(s), or (iv) bond rating
agency requirement.

2. The operation and maintenance charge will be
the actual cost of water production multiplied by the
percentage that water delivered to LCWSD's system is of
the total water treated at the Water Treatment Plant
exclusive of such water used in the production process.
Pumping and maintenance costs beyond the point of
connection to LCWSD's facilicies are noC to be
included.
The City's debt service and cost for Pac
Mayse storage are to be considered a part of the cost
where applicable. The City will continue to segregate
and identify water production costs in substantially
the same manner as currently followed.
Billing costs
will not be included. The City agrees that with regard
to cost items over which it has control, i.e., labor
costs, except those labor costs caused by statutory or
court required changes, if any, will not increase in
excess of the cumulative increase in the Consumer Price
Index for All Urban Consumers (CPI-U) U. S. City
Average (1967~100) published by the United States
government during the term of this contract.
It is
agreed that the base month for this contract is October
1984 which has an index value of 315.3.
3. An administrative fee equal to 6.57. of
the sum of 1 and 2 above.

4. Profit in the amount of 10% of the sum
of 1, 2 and 3 above.
5. Within 7 days after the adopcion of the
City's annual budget, the City will calculate the
charges as established herein for the succeeding
fiscal year and provide LCWSD a copy of such
calculations. The amounc so calculated shall be
the initial price for the ensuing year. As an
example of how the changes will be made to LCWSD
by City for water, see Exhibit D hereto attached.
6. The City shall determine by audit or its
books and records prepared in accordance with
generally accepted accounting methods and prin-
ciples, its actual water production costs during
each fiscal year. The actual cost shall be used
to calculate adjustments from the cost paid to the
City during the completed fiscal year. The City
shall provide LCWSD a copy of the calculations and
they shall be subj ect to review and challenge by
LCWSD.
7. In the event charges paid by LCWSD
exceed the charge that would have been made based
on actual costs the City shall credit its account
for such amount. In the event the charges paid by
LCWSD are less than the charges that would have

been made based on actual costs, LCWSD shall,
within 60 days of receipt of the calculations of
actual charges, pay to the City the amount of the
deficiency.
B. Following the interim period set out above
:md continuing until the 30th day of Barch, 2010, LCWSD
shall at a minimum pay the City an amount equal to the
capital recovery charge set out herein plus an administra-
tive fee equal to 6.5% thereof, plus profit in the amounc of
10% of the sum of such charge and fee.
VI.
DISTRIBUTION CHARGES FOR WATER TREATED
BY CITY FOLLOWING INITIAL TERM
The distribution charges for water delivered
through the City's distribution system will be the actual
cost of Water Distribution Operation/Maintenance less
judgments, damages, maintenance associated with meters,
meterboxes, service lines, hydrants and valves plus debt
service, capital costs associated with water storage, water
pumping stations, water mains eight inches (8") and over,
and administrative costs in the amount of 6.5% of the above,
plus 10% of the sum of such amounts which represents profit,
multiplied by the percentage that water delivered to LCWSD
through the City's distribution system is of the total water
delivered through the City's distribution system (it is

agreed that water delivered to Campbell Soup is not
delivered through the City's distribution system.) See
Exhibit D hereto attached as an example of how this charge
will be calculated.
VII.
MIS C ELL A N E 0 U S
A. LCWSD will construct a ground storage
facility at a location near the City's Water Treatment Plant
and will connect such facility to the City's water system in
such a manner that will eliminate its present North, North-
east and East meters. Except for emergency short term use
due to such things as LCWSD's transmission lines breaking,
power failure, mechanical failure and Act of God, City will
control the use of meters at these locations by LCWSD.
City will deliver potable water to a point of connection to
LCWSD's facility and at a minimum pressure of 30 pounds.
B. In the event of short term non-recurring
emergencies and shortages, the City retains the right to
reduce water quantities identified herein in the same ratio
as it reduces the amount delivered to other system users.
C. Both parties agree that LCWSD will not expand
its water services to property and users in the gray area
without permission of the City. Other than as provided by
law, the City will have no right to purchase LCWSD's water
facilities in the gray area added during this contract

period with permission of the City for a period of 30 years
after its installation.
D. The City agrees to submit to LCWSD prior to
formulating its final plans and specifications its proposals
for any capital improvements it contemplates making during
the life of the contract, a portion of which is to be placed
in LCWSD' s cost, for LCWSD' s review and comment, provided
the estimated cost of such improvement(s) exceeds $50,000.00
and that no emergency exists. City also agrees to build
such capital improvements in a cost efficient manner and to
send LCWSD a notice for bid on such capital improvements.
E. Each party hereto is in charge of and solely
responsible for the water covered in this contract while it
is in the respective party's possession.
F. This contract shall inure to and be binding
on each party's successors and assigns.
G. This contract is subject co approval by
Farmers Home Administration's State Director and Texas
Department of Water Resources Executive Director.
H. Notwithstanding the termination dates set out
in this contract, the parties recognize that both the City
and LSCSD are governmental entities that sell and distribute
water to the region which Pat Mayse Reservoir serves and it
is contemplated by the parties that at the expiration of
this contract by lapse of cime that parties will in good

faith attempt to negotiate another contract pertaining to
purchase of water from City by LCWSD. The City agrees, upon
request by LCWSD at anytime after April 1, 2020, to enter
into such negotiations and for such negotiations to be
completed within nine (9) months from the time the request
is received from LCWSD by City to coomence negotiations for
a new contract.
