WHEREAS, the City Council of the City of Paris, did at
its special meeting on August 27, 1984, approve the taking
of solicitations for furnishing of all equipment necessary
for the providing telephone service for the City of Paris,
Paris, Texas, which solicitations were presented to the City
Council on the 2nd day of May ,1985; and,
WHEREAS, the best solicitation for such equipment for
telephone service was made by Northern Telecom Finance
Corporation, 545 Mainstream Drive, Nashville, Tennessee
37228; and,
WHEREAS, as directed, the City Manager of the City of
Paris did execute contracts for such equipment on June 13,
1985, which execution should be in all things ratified; NOW,
THEREFORE,
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF
PARIS, That the acceptance of the proposal of Northern
Telecom Finance Corporation in the form of the contract
attached hereto as Exhibit A is hereby ratified and the form
of such contract is approved; and,
BE IT FURTHER RESOLVED; that the execution of the
contract attached hereto as Exhibit A with Northern Telecom
Finance Corporation by the City Manager of the City of Paris
on the 13th day of June, 1985 is hereby ratified.

4. PRE.CUTOVER CHANGES
In the event that additions and lur deletions to the System are
made prior to the commencement of the term of the Agree-
ment with respect 1(1 the Syslf,m, Supplier shall prot1lptly
upon Supplier's acC(~ptimcc of (l wrltter1 chan9C Neier i~sucd
by Lessee pursuant te, the Pmchase Aweelllent ("Job Change
Order") transmit,J cOP'1 thereof to NTFC. Supplif:r shall promptly
furnish to NTF~C (l revised ar'!c! current list of Equipnlcnt and
Software iJS modified l)y edch JiJb Change Or'der, wllich list
shall specify any change in the price payable to Supplier which
results from any such Job Ch;ll)gC Circler. Supplier clnd Lessee

5. LIMITATIONS ON ASSIGNEE'S LIABILITY
As between Lessee and NTFC nothin~i contained herein or

rights, disclaimers of wiJrrilntie~;, rell1cdic~;, li(lbiiitie~; and/or
any lirntti:ltiorls thereof which oj re conti1ined in the Ag:'l:enlenl.

This AssiOl'1ment constitutes the final iJgreenlellt of the parties
hereto with respect to the subject matter hereof. and supersedes
all previous negotiations, proposals, commitments, vvritings,
advertisements, publications and understandin~Js of any na-
ture whalsoPvcr. Except a~:~ specifieJlly provided herein, any
changes to this Assi:~nrne!1t shall only become effective if
mutually 2lwocd upon in writing by duly Duthori7ed represen-
tJtivcs of all the; panies hereto. This Assionrncnt shidl roDt be
rnodified or amended Of' any rights of a porty to it waived
except by such a viritinfJ. This Assignment shall be 90verned
