STATUS OF ISSUE: Due to the magnitude and complexity of this project, City management and staff have determined construction administration and observation are essential components for successful completion of the treatment facility through on-site, real-time construction observation and inspection services. This contract amendment allows for inclusion of these construction services to protect the City from defects and/or deficiencies in work performed by the Contractor. Also included in this contract amendment are SCADA programming services for implementation of facility -wide process control of the individual treatment components, as well as training of staff and technical support. Itemized services in this contract amendment are Construction Administration - $1,206,242.52; Construction Observation - $600,288.00; and SCADA Programming - $388,973.00, for a subtotal of $2,195,503.52 in additional services. idem With this amendment, the total contract fee for professional engineering services is not to exceed $8,836,142.52. OPTIONS: 1. AMENDMENT TO AGREEMENT FOR PROFESSIONAL SERVICES City of Paris Paris, Texas Project No. 19WO5100 CONTRACT AMENDMENT NO.2 This Contract Amendment No. 2, effective on the date last written below, shall amend the original contract between the City of Paris (Owner) and GARVER, LLC (GARVER), dated June 11th, 2019, referred to in the following paragraphs as the original contract. The total hourly amount paid to Garver under this Agreement is estimated to be $1,206,243, not to exceed this amount. For informational purposes, a breakdown of Garver's approximate current hourly rates for each employee classification is included below. The agreed upon rates will be increased annually with the first increase effective on or about July 1, 2023. Direct cost for travel, wireless communications, outside reproduction and presentation material preparation, and mail/courier expenses. 2. Direct cost-plus ten percent (10%) for subcontract/subconsultant fees. 3. Charges similar to commercial rates for reports, plan sheets, presentation materials, etc. 4. The amount allowed by the federal government for mileage. The original contract fee was $371,978. The contract fee after Amendment 1 was $6,640,639. The total contract fee is amended via Amendment 2 to $8,836,143, not to exceed. The designs developed underAmendment 1 were developed with the intention of being constructed under two construction contracts: Construction Package 1 and Construction Package 2. The scope of services for Amendment 2 includes only the construction phase services for Construction Package 1. The planned improvements in Construction Package 1 include the modification and refurbishment of existing facilities as well as construction of new facilities atthe existing WWTP to meet the targeted capacity and treatment criteria for baseline improvements to the existing WWTP and to prepare for Construction Package 2. The improvements in Construction Package 1 include the rehabilitation, modification, or construction of the following: • Influent splitter box • Primary clarifiers • Primary sludge pump station • Aeration basins, aeration basin blowers, and electrical building • Mixed liquor splitter box • Final clarifiers • RASNVAS pump station • Sludge dewatering building and equipment • Recycle flow pump station • Non -potable water pump station • Sludge holding tanks and blowers The project includes an associated array of piping enhancements and civil/yard enhancements, together with electrical, instrumentation, and control enhancements to develop a complete and functional facility capable of treating 7.25 MGD permitted design flow. 1. Construction Phase Services for Construction Package 1 1.1. Construction Administration During the construction phase of work, Garver will accomplish the following: • Issue a Notice to Proceed letter to the Contractor and attend preconstruction meeting. • Prepare for and attend utilities coordination meeting. • Attend progress/coordination meetings with the Owner/Contractor. • Evaluate and respond to construction material submittals and shop drawings. Corrections or comments made by Consultant on the shop drawings during this review will not relieve Contractor from compliance with requirements of the drawings and specifications. The check will only be for review of general conformance with the design concept of the project and general compliance with the information given in the contract documents. The Contractor will be responsible for confirming and correlating all quantities and dimensions, selecting fabrication processes and techniques of construction, coordinating his work with that of all other trades, and performing his work in a safe and satisfactory manner. Consultant's review shall not constitute approval of safety precautions Appendix A - Scope of Services Amendment 2 1 of 6 Version 3 City of Paris WWTP Improvements or constitute approval of construction means, methods, techniques, sequences, procedures, or assembly of various components. When certification of performance characteristics of materials, systems or equipment is required by the Contract Documents, either directly or implied for a complete and workable system, Consultant shall be entitled to rely upon such submittal or implied certification to establish that the materials, systems or equipment will meet the performance criteria required by the Contract Documents. Consultant will review up to 550 submittals. • Issue instructions to the Contractor on behalf of the Owner and issue necessary clarifications (respond to Request for Information (RFIs)) regarding the construction contract documents. Consultant will respond to up to 300 RFIs. • Review the Contractor's progress payment requests based on the actual quantities of contract items completed and will make a recommendation to the Owner regarding making a monthly partial payment. Consultant's recommendation for payment shall not be a representation that Consultant has made exhaustive or continuous inspections to (1) check the quality or exact quantities of the Work; (2) to review billings from Subcontractors and material suppliers to substantiate the Contractor's right to payment; or (3) to ascertain how the Contractor has used money previously paid to the Contractor. • When authorized by the Owner, prepare up to ten (10) change orders for approved changes in the work from that originally provided for in the construction contract documents. If redesign or substantial engineering or surveying is required in the preparation of these change order documents, the Owner will pay Consultant an additional fee to be agreed upon by the Owner and Consultant. • Conduct a classroom training session for operations staff for the new processes. This training will provide operations staff normal operational strategies for the aeration basins and the belt filter presses. This training will be up to 8 total hours in duration conducted across two consecutive days and will be conducted by up to two Garver members. One digital (PDF) and one hard copy of the classroom materials will be provided. • Prepare and furnish record drawings. • Participate in final project inspection, prepare punch list, review final project closing documents, and submit final pay request. 1.2. Construction Observation Resident construction observation services will be provided by Consultant's Resident Project Representative(s) for the twenty-four (24) month (720 day) construction contract performance time. The proposed fee is based on one (1) full time observer working approximately eight (8) hours per day, five (5) days per week. Construction observation services will be provided by Consultant's Resident Project Representative(s), who will provide or accomplish the following: • Consult with and advise the Owner during the construction period with significant changes/issues during the construction period. • Coordinate with the Owner's contracted firm that is providing construction materials quality assurance testing under separate contract with the Owner. • Maintain a file of quantities incorporated into the work, test reports, certifications, shop drawings and submittals, and other appropriate information. • Maintain a project diary which will contain information pertinent to each site visit. In performing construction observation services, Consultant will endeavor to protect the Owner against defects and deficiencies in the work of the Contractor(s); but Consultant cannot guarantee the performance of the Contractor(s), nor be responsible for the actual supervision of construction operations or for the safety measures that the Contractor(s) takes or should take. However, if at any time during construction Consultant observes that the Contractor's work does not comply with the construction Appendix A - Scope of Services Amendment 2 2 of 6 Version 3 City of Paris WWTP Improvements contract documents, Consultant will notify the Contractor of such non-compliance and instruct him to correct the deficiency and/or stop work, as appropriate for the situation. Consultant will also record the observance, the discussion, and the actions taken. If the Contractor continues without satisfactory corrective action, Consultant will notify the Owner immediately, so that appropriate action under the Owner's contract with the Contractor can be taken. The proposed fee for construction services is based on a 720 -calendar -day construction contract performance time. If the construction time to substantial completion extends beyond the time established in this agreement, and the Owner wants Consultant to continue the applicable Construction Phase Services, the Owner will pay Consultant an additional fee agreed to by the Owner and Consultant. 1.3. SCADA Programming Garver will provide SCADA Application Engineering services to implement plant -wide process control of the Construction Package 1 WWTP improvements designed under Amendment 1. Services include new SCADA system software configuration, programming of programmable logic controllers (PLCs), development of human machine interface (HMI) graphics, and on-site startup support as described below. • Develop new graphic screens using FactoryTalk View Site Edition software to monitor and control the wastewater treatment plant from a central location in the control room. Screens will be developed with features as identified in the construction documents. Some systems will be provided with manufacturer supplied vendor control panels and associated local graphic screens. For these systems, Garver will develop FactoryTalk graphic screens to capture key variables to be monitored from the central SCADA system. Anticipated screens to be developed include: a. Overview b. Alarms — maximum of 200 Develop PLC programming to implement process control strategies as defined in the construction documents for the Main Plant PLC, Blower Facility PLC, and Sludge Tanks Blower Facility. Configure and test redundant server configuration for SCADA software. Appendix A - Scope of Services Amendment 2 3 of 6 Version 3 City of Paris WWTP Improvements • Implement remote access to the new WWTP SCADA system via remote login software, for remote view capabilities over an internet connection. Coordinate with City for network, firewall, and security configuration for remote access. • Develop a maximum of twenty (20) new graphic screens that are optimized for viewing process status and control data on a mobile device. • Assist with configuration and setup of applications on mobile and tablet devices for remote access to SCADA graphics. • Implement remote alarming via a software -based alarm notification system to notify plant personnel of critical alarms via phone call, text, or email. • Participation and coordination of two (2) virtual SCADA workshops. • Participation and coordination of Factory Acceptance Testing. • Provide onsite services for integration, startup, and testing of plant control systems. Eight weeks of on-site startup time is expected. Additional on-site startup time due to circumstances beyond the control of Garver shall be treated as extra work. The following identifies the anticipated onsite services: a. Participation and coordination of scheduling for the control panel site acceptance testing to be performed by the Contractor as required in the contract specifications. b. Refinement of initial PLC programming and HMI development for site conditions. c. Interface with vendor supplied control systems. d. Startup and functional testing of control systems for each process. e. SCADA configuration including historical data collection, SCADA application security and remote alarm notification. This scope is based upon the responsibilities of the Contractor to provide the following as outlined in the construction contract documents, including but not limited to: • SCADA hardware components and software licensing. • Vendor supplied control systems. • PLC hardware, control panels, networking equipment, and system testing. • Variable Frequency Drive (VFD) and instrumentation calibrations and commissioning. • Plant -wide communications network • Troubleshooting and correction of wiring errors or equipment failures This scope is based upon the following responsibilities of the Owner: • Remote access for Garver to login to the SCADA system network for remote support. • Reliable high speed internet connection at the WWTP. • Provide I.T. support to configure remote connectivity. • Communication system for desired remote alarm notification method (cellular, phone line, email, etc.) Deliverables: Two (2) complete copies of all programming will be provided to the Owner on USB flash drives.
