1984-080-RES WHEREAS, the City of Paris, has need for professional services and Black & Veatch Engineers-Architects, RESOLUTION NO. 84-080 WHEREAS, the City of Paris, has need for professional services and Black & Veatch Engineers-Architects, P. O. Box 802004, Dallas, Texas 75380-2004 has made a proposal for engineering service and design for master lift station rehabilitation; and, WHEREAS, it is deemed to be in the best interest of the City of Paris that such proposal be accepted and that a professional services contract in the form of Exhibit A attached hereto and made a part hereof, be, and the same is hereby approved; NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF PARIS, That the proposal of Black & Veatch Engineers- Architects for professional engineering service and design described in Exhibit A attached hereto, be, and the same is hereby accepted. BE IT FURTHER RESOLVED, That the Mayor of the City of Paris, Joe Graham, be, and he is hereby authorized and directed on behalf of the City of Paris to execute the Professional Service Contract attached hereto as Exhibit A. TEXAS 7':1380-2004 CONTRACT FOR ENGINEERING SERVICES THIS CONTRACT, between the City of Paris, Paris, Texas, hereinafter called the CITY, and Black & Veatch Engineers-Architects, hereinafter ca11ed the E~G 1NEER: SECTION I - SCOPE OF SERVICES The CITY hereby agrees to employ the ENGINEER to perform engineering services in connection with the following improvements to the Master Lift Station at the City's sewage treatment plant: o Replace three existing pumps with larger units - 2 variable speed drive and 1 constant speed drive. o Replace motor control center to accommodate increased electrical load. o Replace standby generator to accommodate increased electrical load. o Telemeter pump operational status to treatment plant control room. o Replace discharge piping and valves. o Replace metal landings and stairs. The ENGINEER agrees to perform engineering services for the project including preliminary investigations; a basis of design memorandum; construction drawings and specifications; construction phase services; and supplemental services as requested. Description of the services to be performed is provided in Appendix A. SECTION II - COMPENSATION For the services covered by this Contract, the CITY agrees to pay the ENGINEER as follows: A. For the Scope of Services covered in Appendix A, Items A and B, salary times a multiplier of 2.75. C-I EXHIBIT "A" B L. A C K a v rE"A T C H Expenses wil1 be billed on the basis of actual out-of- pocket travel, subsistence, telephone, printing, and other miscellanp.ous costs incurred in connection with the services. The maximum amount billed shall not exceed $38.900 without written authorization. The ENGINEER will bill the CITY monthly based on actual time and expense charges. B. For supplemental services, actual salary times a multi- plier of 2.75 plus expenses. Each item of Supplemental Services shall be specifically authorized by the-ENGINEER" ~\,v\,,' ~{ in writing. and a bil1ing limit established before work is started. C. It is mutually agreed and understood that the above schedules do not include any allowance for local city taxes, license fees, or special state fees or taxes (excluding state income tax) which may apply to such schedule of fees. Should local taxes or fees be ap- plicable in any regard, it is understood that amount of such fees or taxes will be added to the above schedule of fees. SECTION III - CITY'S RESPONSIBILITIES The CITY will furnish, as required for the work, and not at the expense of the ENGINEER, the following items: A. Property descriptions when such information is required. B. All maps, drawings, records, audits, annual reports, and other data that are available in the files of the CITY and which may be useful in the work involved under the Contract. C. Access to public or private property, as necessary, when required in conduct of field investigations. SECTION IV - OTHER MATTERS It is mutually understood and agreed: A. That the ENGINEER shall not be liable for delays resulting from causes beyond the reasonable control of the ENGINEER. B. That the ENGINEER has made no warranties, expressed or im- plied, which are not expressly set forth in this Contract. C. CONSTRUCTION DRAWINGS AND SPEC1F1CATIO~S 1. Make necessary preliminary field studies and investigations. 2. Prepare a Basis of Design Memorandum which describes the pro- posed improvements including physical requirements, equipment performance requirements, control philosophy, and other appropriate design criteria. 3. Submit Basis of Design Memorandum to the City and to the Texas Department of Health (TDH). 4. Prepare detailed drawings and specifications for the proposed construction work and for all equipmend required. 5. Prepare an opinion of probable construction costs for the proposed work covered by the drawings and specifications. 6. Submit drawings and specifications to the Texas Department of Hea lth. 7. Attend one meeting in Austin to discuss the project with State officials and answer questions, as necessary. 8. Incorporate incidental (i.e., minor) modifications to the drawings and specifications necessary to meet TDH regulations. 9. Prepare bid forms and notice to bidders. B. CONSTRUCTION PHASE SERVICES I. Reproduce drawings and specifications and issue to prospec- tive bidders. 2. Prepare and issue addenda during the bidding period. A-I ~ BLACK a VEATCH '" ~~ 3. Assist in evaluation of bids and make recommendations concerning award of contracts. 4. Prepare conforming copies of contracts. 5. Review drawings and data submitted by construction contractors for general conformity to the contract drawings and specifications. 6. Make periodic visits to the site of the work during construction and consult with the City concerning progress, and administer the project both in the office and in the field. 7. Interpret the meaning of the contract documents) as necessary. 8. Prepare change orders to the contract documents, as necessary. 9. Act as initial arbiter in disputes between City and construction contractor. 10. Revise drawings to conform to construction records and furnish one set of reproducible revised drawings to the City. C. SUPPLEMENTAL SERVICES 1. Any additional work requested by the City that is not in- cluded in one of the items listed in this Appendix A will be classified as supplemental services. 2. Supplemental services shall include but are not limited to: o Additional meetings with State or Federal agencies to discuss the project. o Supplemental engineering work required to meet the requirements of regulatory or funding agencies that become effective subsequent to the date of this agreement. o Special consultants requested or authorized by the City. o Assistance with bid protests, preparation for litigatio~, appearance in court, or other legal actions. o Laboratory testing during construction.
