21-23 - TIRZItem Nos. 21-23 Memorandum TO: Mayor, Mayor Pro Tem & City Council FROM: Grayson Path, City Manager Stephanie Harris, City Attorney SUBJECT: Tax Increment Reinvestment Zone (TIRZ) DATE: March 27, 2023 BACKGROUND: On October 28, 2019, November 11, 2019, and February 24, 2020, a prior City Council met and approved the creation of a Tax Increment Reinvestment Zone (TIRZ), authorized under Texas Tax Code Chapter 311. As Section 1. 1, "Authority and Purpose", of the approved Project and Financial Plan states, which is supported by TAC 311, the purpose of the TIRZ is: "...to promote development of the area if the governing body of the City determines that development would not occur solely through private investment in the reasonable foreseeable future, that the zone is feasible, and that creation of the zone is in the best interest of the City and the property in the zone. The purpose of the zone is to facilitate such development by financing the costs of public works, public improvements, programs, and other projects benefiting the zone, plus other costs incidental to those expenditures, all of which costs are authorized by the Act. " The City at that time worked with a third party consultant to develop documents to create this zone. On November 11, 2019, the City Council approved Ordinance 2019-045 — designation of a Reinvestment Zone, establishing the boundaries (ordinance is attached). On February 24, 2020, the City Council approved a Project Plan and Financial Plan (attached). A board was also selected. The final document that was needed but sent back for revisions was the board bylaws. Due to significant turnover and other priority projects at the time, the bylaw revisions were never completed and brought back and the zone was never shared with the Lamar County Appraisal District (LCAD), thus the funds did not begin to accumulate. It was thought that these were all being done or had been done, but this was a series of miscommunications due to the challenges the city was going through at that time. It was also discovered that there were two conflicting TIRZ maps, and that the legal description as approved in the Ordinance 2019-045 did not support either one of these maps. The TIRZ Board itself has since then termed out and is currently vacant. These issues were realized this last Fall of 2022 and City Staff went to work to correct this. Thisagenda item is strictly clean u, we have not proposed any edits of substance to the documents as they were approved and/or intended to be approved in late 2019 and early 2020, other than to complete the revisions of the bylaws as directed by the City Council on February 24, 2020, to clean up the boundary description in the ordinance, and to create a new board. STATUS OF ISSUE: Upon discovering the issues stated in the Background section above, City Staff have performed the following tasks: 1. Engineering Department reviewed and revised the legal description that was approved in Ordinance 2019-045, not to change the boundaries, but to more correctly describe the boundaries that then allowed us to produce an accurate TIRZ map (attached), ruling out both of the older conflicting maps. The City Attorney Department has prepared an amendment to Ordinance 2019-045 to revise the legal description of the TIRZ zone, for your review and approval tonight. 2. Attorney Department has revised the Board Bylaws as was directed by the City Council on February 24, 2020 and has prepared those for your review and approval tonight. 3. Finance Department has worked with LCAD to determine the amount of funds that would have been contributed to the TIRZ fund account had it been filed back in 2020. The LCAD provided us the valuation increases and City Staff performed the calculations as determined in Sections 12 and 13 of the Project and Financial Plan (see the Budget section below). An amount of $97,420.92 was determined as the current value. The City Manager directed that this amount be transferred to the TIRZ fund to make it whole as if it had been funded since the passing of this ordinance. 4. Community Development Department has reviewed the board appointment language requirements. The bylaws call for five board members, all being residents of Lamar County, and two being City employees. The City Council is tasked with determining the three non -city employees while City Staff would like to recommend 1) Rob Vine, Assistant City Manager, and 2) Thomas McMonigle, Fire Chief, as the two city employee seats. As far as the three remaining positions, we recommend that the City Clerk advertise for these positions along with all other board positions for the Council to review and consider this summer. 5. The City Manager has designated Andrew Mack, Director of Planning and Community Development to serve as the staff liaison to this board, with the assistance of Cheri Bedford, Main Street and Historic Preservation Officer. The mission of this board best lines up with the responsibilities and duties of these two positions. 6. Attorney Department will, assuming completion of the items on tonight's agenda, notify the State Comptroller's Department of the creation of the TIRZ Fund. The goal of tonight is to: 1. Review and consider approving an amendment to Ordinance 2019-045 to revise the legal description establishing the boundaries of the TIRZ. 2. Review and consider approving the revised TIRZ Board Bylaws as were determined by the City Council in early 2020. 3. Review and consider approving the appointment of Rob Vine and Thomas McMonagle as city staff appointments to the board, and to authorize the advertisement of three non- employee positions to serve on the TIRZ Board. The remainder of the Ordinance, Project Plan and Financial Plan remain unchanged by tonight's recommendations. As a point of interest, the TIRZ calls for these funds to be used as identified in Exhibit D of the Project Plan. In summary, they are dedicated to public improvements of the downtown area. Upon creation of the new TIRZ Board, a deeper dive in to the procedures for accessing these funds will be done at that time. BUDGET: The TIRZ is funded as described in Sections 12 and 13 of the Project Plan, which state: Section 12 — "The captured taxable value of the Zone — taxable by the City for a year is the total taxable value of the Zone for that year less the tax increment base of the Zone. The tax increment base of the Zone is the total taxable value of the Zone for the year in which the Zone was designated. " (The year designated was 2019.) Section 13 — "Project costs will be financed through loans advanced by Developers, property owners, the City of Paris or by bonds which may be issued and utilize tax increment funds for either direct reimbursement or to support bond debt service as those funds are available. The revenue sources will be the real property taxes captured by the TIRZ, which will account for 100% of revenues used to fund Project and Administrative Costs or bond debt service. For the TIRZ Fund, the City of Paris will contribute 50% of its tax rate on incremental taxable value as shown in Exhibit C. " The Zone will be in place until December 31, 2048 or the date on which all project costs, bonds, and other obligations have been paid in full (Section 14). As was mentioned in the Status of Issue section above, we determined that a current balance, had the fund been filed and started back in 2020 as planned, would have been $97,420.92. Given these funds are collected via our normal property tax, and given they were intended to be diverted to the TIRZ fund had one been created, and given we have had surplus revenue each of the past three years, the City Manager has authorized the transfer of these funds from reserve to the TIRZ account, unless otherwise ordered not to do so by the City Council. Going forward, we will include in our annual budgets a line item to account for the transfer of estimated TIRZ funding from the General Fund to the TIRZ fund each year. LCAD will provide the City with the valuation figures needed for City Staff to perform the calculation each year to determine the exact amount that should be transferred. OPTIONS: 1. Approve the amendment to Ordinance 2019-045, revised TIRZ Board Bylaws, Rob Vine and Thomas McMonagle as city employee members to the TIRZ Board, and authorize the advertisement for three new non-employee board members. 2. Request edits to any of the above items, request different city employees to serve on the board, or for more information to be brought back. 3. Reject this item and advise staff. RECOMMENDATION: Approve the amendment to Ordinance 2019-045, revised TIRZ Board Bylaws, Rob Vine and Thomas McMonigle as city employee members to the TIRZ Board, and authorize the advertisement for three new non-employee board members. That the facts and recitations contained in the preamble of this ordinance are hereby found and declared to be true and correct. Section 2. That Ordinance No. 2019-045 is hereby amended by replacing Exhibit A thereto, the property description of the Zone, with the attached new Exhibit A, and by replacing Exhibit B thereto, the map of the Zone, with the attached new Exhibit B. Both Exhibit A and Exhibit B are incorporated herein by reference for all purposes. Section 3. That if any section, paragraph, clause or provision of this Ordinance shall for any reason be held to be invalid or unenforceable, the invalidity or unenforceability of such section, paragraph, clause or provision shall not affect any of the remaining provisions of this Ordinance. Section 6. That the repeal of any ordinance or part of ordinances affected by the enactment of this ordinance shall not be construed as abandoning any action now pending under or by virtue of such ordinance or as discontinuing, abating, modifying, or altering any penalty accruing or to accrue, or as affecting any rights of the municipality under any section or provisions of any ordinance at the time of passage of this ordinance. Section 7. That it is the intention of the City Council of the City of Paris that this ordinance, and every provision hereof, shall be considered severable, and the invalidity or partial invalidity of any section, clause, or provisions of this ordinance shall not affect the validity of any other portion of this ordinance. Section 8. This Ordinance shall take effect immediately from and after its passage and the publication of the caption, as the law and charter in such cases provide. Section 9.
