<br />ORDINANCE AUTHORIZING THE ISSUANCE AND SALE OF CITY OF PARIS,
<br />TEXAS, TAX NOTES, SERIES 2025; PROVIDING FOR THE PAYMENT O.F SAID
<br />NOTES; APPROVING THE OFFICIAL STATEMENT; PROVIDING AN EFFECTIVE
<br />DATE; AND ENACTING OTHER PROVISIONS RELATING TO THE SUBJECT

<br />WHEREAS, the City Council (the "Council") of the City of Paris, Texas (the ""City"')
<br />hereby finds and determines that it is necessary, useful and appropriate for the City's public
<br />purposes to authorize and provide for the issuance and sale of a note of the City for the purposes
<br />hereinafter set forth, as authorized by Chapter 1431, Texas Government Code, as amended; and
<br />WHEREAS, it is officially found, determined, and declared that the meeting at which this
<br />Ordinance has been adopted was open to the public and public notice of the time, place and subject
<br />matter of the public business to be considered and acted upon at said meeting, including this
<br />Ordinance, was given, all as required by the applicable provisions of Texas Government Code,
<br />Chapter 551;
<br />NOW, THEREFORE, BE IT ORDAINED BY THE CITY COUNCIL OF THE CITY
<br />OF PARIS, TEXAS:
<br />Section 1. RECITALS, AMOUNT AND PURPOSE OF THE NOTES. The recitals,
<br />set forth in the preamble hereof are incorporated herein and shall have the same force and effect
<br />as if set forth in this Section. The City of Paris, Texas, Tax Notes, Series 2025 (the "Notes") are
<br />hereby authorized to be issued and delivered in the aggregate principal amount of $_ for the
<br />purpose of paying all or a portion of the City's contractual obligations incurred in connection with
<br />(i) the purchase and equipment of an Aerial Apparatus, Pumper Truck, Brush Truck and Command
<br />Vehicle-, (ii) the purchase and equipment of a Rescue Dive Boat; (Iii) the purchase of materials,
<br />supplies and equipment including Breathing Apparatus Equipment; (iv) the purchase of a tractor
<br />and mower for the Code Enforcement department-, (v) -the purchase of vehicles and equipment :for
<br />the police department; (vi) the purchase of vehicles and equipment for the Emergency Medical
<br />Services department; (vii) paying fees for legal, fiscal, engineering, architectural and other
<br />professional services in connection with such projects (collectively, the "Projects"); and (viii)
<br />paying the costs incurred in connection with the issuance of the Notes.
<br />Section 2. DESIGNATION, DATE, DENOMINATIONS, NUMBERS, AND
<br />MATURITIES AND INTEREST RATES OF NOTES. Each Note issued pursuant to this
<br />0 TE, SERIES 2025 and
<br />Ordinance shall be designated. "CITY OF PARIS, TEXAS, TAX NO
<br />initially there shall be issued, sold, and delivered hereunder one fully registered Note, without
<br />interest coupons, dated July 1, 2025, in the principal amount stated above and in the denominations
<br />hereinafter stated, numbered T-1, with Notes issued in replacement thereof being in the
<br />denominations and principal amounts hereinafter stated and numbered consecutively from l-1
<br />upward, payable to the respective Registered Owners thereof (with the initial Note being made
<br />payable to the Purchaser (defined below) as described in Section 10 hereof), or to the registered
