1994-056-RES WHEREAS, WITH THE INSTALLATION OF THE NEW RAW WATER TRANSMISSION PUMPS AND MOTORS SERVICING
RESOLUTION NO. 94-056
WHEREAS, with the installation of the new Raw Water Transmission Line and
pumps and motors servicing the same from the Pat Mayse Pumping Station to the Water
Treatment Plant, being Project No. 92- WSRB-02-92, it is anticipated there will be an
increased peak of electric use; and,
WHEREAS, TV Electric Company requires an agreement for all customers over
500 kw of demand and it is necessary for the City of Paris and TV Electric to enter into
an Agreement for Electric Services; and,
WHEREAS, TV Electric Company's form of agreement for such electric service
for Pat Mayse Pumping Station is attached hereto as Exhibit A and should be accepted,
and City Manager, Michael E. Malone, should be authorized to execute the same; NOW,
THEREFORE,
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF PARIS,
that the Agreement for Electric Service for Pat Mayse Pumping Station is hereby accepted
conditioned upon said TV Electric Company meeting all of the terms and conditions
included in the agreement attached hereto as Exhibit A.
BE IT FURTHER RESOLVED, that the City Manager of the City of Paris,
Michael E. Malone, be, and he is hereby, authorized and directed to execute on behalf
of the City of Paris the Agreement for Electric Service with TV Electric Company for
the Pat Mayse Pumping Station in the form shown in Exhibit A attached hereto.

hereinafter called "Customer," and Texas Utilities Electric Company, a Texas Corporation, hereinafter called "Company", in
consideration of the mutual convenants and agreements herein contained, and of the mutual benefits to be derived herefrom, hereby
convenant and agree as follows:
1. Company agrees to provide and Customer agrees to take and pay for all electric power and energy required by Customer
for the operation of Customer's business or activity at the premises owned or occupied by Customer at:

Electric Power and energy provided under this agreement will be furnished by Company to Customer under and
pursuant to such Rate Schedule and Service Regulations of Company as may from time to time be fixed and
approved, in Company's Tariff for Electric Service, by, regulatory authorities as may have jurisdiction at the above referenced
premises. SAID RATE SCHEDULE AND SERVICE REGULATIONS ARE PART OF THIS AGREEMENT m THE SAME
EXTENT AS IF FULLY SET OUT HEREIN AND ARE ON FILE AND AVAILABLE AT COMPANY'S OFFICES.
2. Company shall provide electric power up to a demand of 850 kw. The electric service to be delivered
hereunder will be of the character commonly described as 480 volt, 3 phase, at 60 hertz, With
reasonable variation to be allowed. The electric power and energy to be delivered by Company to Customer shall be provid-
ed in accordance with terms and conditions of Rate Schedule MP-Municipal Pumping , which
may from time to time be amended or succeeded. The term of this agreement shall be for One Year
from June 25,1994 , or from date of initial 'service hereunder, whichever shall be earlier. This
agreement shall be continued thereafter, unless indicated otherwise in the applicable rate schedule/rider, until
terminated by either party hereto by written notice served not less than 30 days before the desired termination date.
3. Customer agrees to grant or secure for Company, at Customer's expense, any rights-of-way on property owned or controlled
by Customer and to provide suitable space on said premises for installation of facilities where such rights-of-way and space

4. This agreement supersedes all previous agreements, written or verbal, between Company and Customer for the service
described herein and shall inure to the benefit of and be binding upon the respective heirs, legal representatives, successors
and assigns of the parties hereto, but no assignment by Customer shall be binding upon Company until accepted in writing
by Company. This agreement is subject to all laws and governmental regulations and to the provisions of Company's fran-
chises now in effect or which may hereafter become 'effective.
