RESOLUTION NO. 98-056
WHEREAS, the City Council of the City of Paris did, on the 20th day of April, 1998,
accept the retirement of the City Attorney, T. K. Haynes, effective December 31, 1998; and,
WHEREAS, it is deemed appropriate that the retirement agreement, attached hereto as
Exhibit A, be, in all things, approved, and that the Mayor, Eric S. Clifford, be authorized to
execute the same; NOW, THEREFORE,
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF PARIS, that the
form of the retirement agreement with T. K. Haynes, attached hereto as Exhibit A, be, and the
same is hereby, approved; and,
BE IT FURTHER RESOLVED, that the Mayor, Eric S. Clifford, be, and he is hereby,
authorized and directed to execute, on behalf of the City of Paris, the retirement agreement with
T. K. Haynes, under the terms and conditions and in the form shown in Exhibit A, attached
hereto.

THAT, the CITY OF PARIS, PARIS, TEXAS, a municipal corporation, acting by and
through its Mayor, Eric S. Clifford, duly authorized, hereinafter called CITY, and T. K. Haynes,
KNOW ALL MEN BY THESE PRESENTS:
hereinafter called HAYNES, do hereby contract and agree as follows:
1. That, effective April 4, 1998, and continuing until December 31, 1998, CITY shall pay
HA YNES salary equal to his current grade, step 5, with all fees, allowances, and travel
expenses to continue through December 31, 1998.
2. That HAYNES shall continue to serve as City Attorney until the appointment and
confirmation by the City Council of the City of Paris of a permanent or interim City
Attorney, and, thereafter until December 31, 1998. The obligation to pay HAYNES'
salary through December 31, 1998, shall be an obligation owing to HAYNES' estate,
should he pass away prior to that date. HAYNES shall serve as a consultant with regard
to pending litigation and all legal matters relating to the Housing Authority of the City of
Paris, with legal assistant to be assigned as appropriate, subject to the approval of the City
Attorney. The compensation for serving as consultant shall be at the salary as described
above.
3. At CITY's election, it may continue to utilize HAYNES' services as a fee consultant after
December 31, 1998, with legal assistant to be assigned as appropriate, subject to the
approval of the City Attorney. The compensation for such services shall be at a rate to be
agreed upon between HAYNES and CITY.
4. That CITY shall, on January 1, 1999, make a lump sum payment to HAYNES, at the
hourly rate of pay being received on December 31, 1998, or date of death, if sooner, for

all accumulated sick leave, compensatory time, and vacation time. HAYNES shall be paid
sick leave, compensatory time, and vacation time through April 20, 1998. HAYNES shall
accrue additional sick leave and vacation time for the remainder of 1998, with no
additional compensatory time accumulating after April 20, 1998.
5. That, from December 31, 1998, CITY shall furnish to HAYNES and his spouse, under
CITY's plan, health insurance to age 65, with supplemental insurance to age 70.
6. By signing this agreement, HAYNES releases the CITY and its employees, agents, and
elected officials from any and all other claims he may have of any nature and, specifically,
for any other employment benefits.
