1998-039-RES WHEREAS, CITY COUNCIL HAS BEEN MADE AWARD OF THE RED RIVER
RESOLUTION NO. 98-039
WHEREAS, the City Council of the City of Paris has been made aware of the Red River
Valley Surgical Center's need for ambulance service, and the City of Paris Emergency Medical
Service is able to provide such service; and,
WHEREAS, in order to furnish such ambulance service, it is necessary for the City of
Paris and the Red River Valley Surgical Center to enter into an Agreement for Ambulance Service;
and,
WHEREAS, the form of the Agreement for Ambulance Service, attached hereto as Exhibit
A, should, in all things, be approved, and the Mayor, Eric S. Clifford, should be authorized to
execute the same; NOW, THEREFORE,
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF PARIS, that the
form of the Agreement for Ambulance Service with the Red River Valley Surgical Center,
attached hereto as Exhibit A, be, and the same is hereby, approved; and,
BE IT FURTHER RESOLVED, that the Mayor, Eric S. Clifford, be, and he is hereby,
authorized and directed to execute, on behalf of the City of Paris, the Agreement for Ambulance
Service, under the terms and conditions and in the form shown in Exhibit A, attached hereto.

KNOW ALL MEN BY THESE PRESENTS:
THAT, the CITY OF PARIS, PARIS, TEXAS, a municipal corporation, acting by and
through its Mayor, Eric S. Clifford, duly authorized, hereinafter called CITY, and the Red River
Valley Surgical Center, acting by and through its Executive Director, Carol Ohmes, duly
authorized, hereinafter called CENTER, do hereby contract and agree as follows:
1. CITY agrees to furnish transportation of patients to or from the Red River Valley
Surgical Center at CENTER's request.
2. CITY will bill CENTER at the customary rate for transport and supplies, with
CENTER being entitled to a twenty percent (20%) discount if payment to CITY is made within
fifteen (15) days of the billing date. In the event CENTER has not paid its bill within thirty (30)
days of the billing date, one hundred percent (100%) of the bill will accrue interest at the statutory
limit.
3. It is hereby mutually agreed that either party hereto may unilaterally terminate this
agreement at any time after having given thirty (30) days written notice to the other party.
