WHEREAS, the City Council of the City of Paris did heretofore, on December 9,
1996, in Resolution No. 96-137, approve the execution of the Airport Project Participation
Agreement, TxDOT Project No. AP PARIS 4, TxDOT CSJ No. 9601PARIS with the State
of Texas through the Texas Department of Transportation; and,
WHEREAS, the terms of the Airport Project Participation Agreement are in need
of revision and Amendment No. 1 in the form of Exhibit A attached hereto should be
approved; NOW, THERE}'ORE,
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF PARIS, that
Amendment No.1 to the Airport Project Participation Agreement, TxDOT Project No. AP
PARIS 4, TxDOT CSJ No. 9601PARIS, attached hereto as Exhibit A, be, and the same is
hereby, approved; and,
BE IT FURTHER RESOLVED, that the City Manager of the City of Paris,
Michael E. Malone, be, and he is hereby, authorized and directed to execute, on behalf of
the City of Paris, Amendment No. 1 to said Airport Project Participation Agreement in the
form of Exhibit A attached hereto.

WHEREAS, the CITY OF PARIS, TEXAS, hereinafter referred to as the "Sponsor", and
the TEXAS DEPARTMENT OF TRANSPORT ATlON, hereinafter referred to as the "State,"
have entered into an Airport Project Participation Agreement TxDOT CSJ Number 960 IP ARIS,
executed by the Sponsor on September 19, 1995 and by the State on October 12, 1995, for the
development of Cox Field Airport~ and
WHEREAS, the project is described as follows: reconstruct and overlay hangar access
taxiwa~ install segmented circle~ construct drainage improvements~ construct tenninal building~ install
erosion/sedimentation controls~ and associated appurtenances at Cox Field ~ and
WHEREAS, it is in the mutual interest of the Sponsor and the State to amend said Airport
Project Participation Agreement at this time to increase the total estimated project costs based on
the receipt of construction bids and increase the amount of State financial assistance~ and
WHEREAS, Part II - Offer of Financial Assistance, estimates total project costs to be
$630,000.00~ and
WHEREAS, financial assistance is currently limited to $200,000.00 in state funds and
$200,000.00 in local sponsor funds for the construction of the terminal building and $207,000.00
in state funds and $23,000.00 in local sponsor funds for project items as described above other
than the construction of the tenninal building~
NOW, THEREFORE, in consideration of the parties' mutual promises, the following
amendment to the Airport Project Participation Agreement shall become effective upon execution
of this Amendment by the Sponsor and the State.

The Airport Project Participation Agreement is hereby amended to:
1. On page 2, Part II, paragraph 1 of the Agreement, change Amount A, estimated eligible
project costs, and any further references in the Agreement to Amount A, to $750,000.00. It is
estimated that $480,000.00 of Amount A is for the construction of the tenninal building and will be

eligtble for. state financial assistance. State financial assistance will be for fifty percent (500,10) of the
eligtble project costs for this project item not to exceed $240,000.00. It is also estimated that
$270,000.00 of Amount A is for the construction of the descnbed project items other than the tenninal
building and will be eligIble for state financial assistance. State financial assistance will be for ninety
percent (90%) of the eligIble project costs for those work items not to exceed $243,000.00.
2. On page 2, Part IT, paragraph 1 of the Agreement, change Amount B, Sponsor's share of
eligible project costs, and any further references in the Agreement to Amount B, to $267,000.00.
3. On page 2, Part IT, paragraph 1 of the Agreement, change Amount C, State's share of
eligible project costs, and any further references in the Agreement to Amount C, to $483,000.00.
All other terms and conditions of the agreement are unchanged and remain in full force
and effect.
The above amendment to the Airport Project Participation Agreement between the City of
Paris, Texas, and the TEXAS DEPARTMENT OF TRANSPORTATION is hereby mutually
agreed to and accepted by,
