1990-022-RES WHEREAS, the Chamber of Commerce of Lamar County Paris Visitors and Convention Committee is

WHEREAS, the Chamber of Commerce of Lamar County and the
Paris Visitors and Convention Committee is desirous of
constructing a civic center in the City of Paris, Paris,
Texas and has requested the use of Hotel/Motel taxes to help
fund said construction and the City of Paris is agreeable in
accordance with state law; and,
WHEREAS, in order to use the Hotel/Motel taxes for the
construction of a civic center it is necessary for the City
of Paris, the Chamber of Commerce of Lamar County, Inc., the
Paris Visitors and Convention Committee to enter into a
contract, the form of which is attached hereto as Exhibit A;
and,
WHEREAS, it is deemed to be in the best interest of the
citizens of Paris, to encourage increased tourism and
conventions; NOW THEREFORE,
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF PARIS,
That the form of contract between the City of Pairs, the
Chamber of Commerce of Lamar County and the Paris Visitors
and Convention Committee, attached hereto as Exhibit A, is
approved; and,
BE IT FURTHER RESOLVED, That the Mayor of the City of
Paris, Eric S. Clifford, be, and he is hereby authorized and
directed to execute on behalf of the City of Paris the
contract in the form of Exhibit A attached hereto.

COUNTY OF LAHAR
That the CITY OF PARIS, PARIS, TEXAS, a municipal
corporation, acting by and through its Mayor, Eric S. Clifford,
duly authorized, hereinafter called CITY, the PARIS VISITORS AND
CONVENTION COMMITTEE, by its Chairman, E. A. Hernan, hereinafter
called V&CC, and the CHAMBER OF COMMERCE OF LAMAR COUNTY, INC., a
corporation, acting by and through its President, David Denney,
duly authorized, hereinafter called CHAMBER, hereby contract and
agree as follows:
1. The CITY shall deliver to CHAMBER in accordance with
state law, Hotel/Motel tax collected by CITY, so long as
Hotel/Motel tax is collected by CITY and is permitted to be
collected by state law.
2. CHAMBER agrees to receive Hotel/Motel tax and place the
same in an account controlled by V&CC.
3. V&CC agrees to use tax funds in accordance wi th state
law, contract between CITY and CHAMBER DATED April 13, 1987, and
this agreement.
4. V&CC agrees to dedicate 42.85/0 of the Hotel/Motel tax
to the civic center construction project and upon its completion
to rebate this amount back to the CITY for the operatIon of the
civic center.

EXHIBIT A
5. That CHAMBER shall submit for approval a proposed
annual program of work and budget for the same, which shall
include dedicating three-sevenths (3/7th) of the total budget to
a convention capital improvement fund to be used for the
construction of a civic center, to a committee composed of the
Mayor of the City of Paris, one City Councilman and the City
Manager each year on or before April 1, and shall submi t for
approval to said committee any proposed amendment to said program
of work a minimum of thirty (30) days before the proposed
effective date of such amendment.
6. V&CC agrees to construct to completion a civic center
1n accordance with plans and specifications as determined by the
CHAMBER and V&CC on or before December 31, 2000. The City
Engineer shall approve all plans and specifications as to
compliance with all City codes and ordinances. It is expressly
provided that location of the civic center shall be solely
determined by the CHAMBER and V&CC. V&CC currently recommends
construction of the civil center upon the property described in
Exhibit A attached hereto.
7. Upon completion of the civic center the CITY shall
ace e p t tit 1 e and 0 per ate the c i v i c c en t e r . Fur the r, the CITY
agrees to operate the civic center or contract for its operation
with the CHAMBER or any other entity as determined by the CITY.

8. V&CC and CHAMBER must protect tax funds heretofore
delivered to them and the expenditure of the same by appropriate
insurance coverage or return the same to CITY for safe keeping.
