1998-181-RES WHEREAS, CITY COUNCIL DID HERETOFORE ON THE 8TH DAY OF JUNE
RESOLUTION NO. 98-181
WHEREAS, the City Council of the City of Paris did heretofore, on the 8th day of June,
1998, in Resolution No. 98-076, authorize the execution of a letter of commitment for city
services to Panda Energy International, Inc.; and,
WHEREAS, the City Council of the City of Paris did heretofore, on the 16th day of
September, 1998, in Resolution No. 98-141, authorize the execution of a Water Supply Agreement
with Panda Paris Power, L.P. (Panda), in which Panda agreed to construct the pipeline necessary
to deliver raw water to its operation and then transfer title in the same to the City upon
completion; and,
WHEREAS, prior to Panda's beginning construction of such pipeline, it is deemed
appropriate that the City of Paris grant to Panda an easement through its property, same being the
Center Street Pump Station; and,
WHEREAS, the form of the Utility Easement, attached hereto as Exhibit A, should, in
all things, be approved, and the Mayor, Charles H. Neeley, should be authorized the execute the
same; NOW, THEREFORE,
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF PARIS, that the
form of the Utility Easement to Panda Paris Power, L.P., attached hereto as Exhibit A, be, and
the same is hereby, approved; and,
BE IT FURTHER RESOLVED, that the Mayor, Charles H. Neeley, be, and he is
hereby, authorized and directed to execute, on behalf of the City of Paris, the Utility Easement,
under the terms and conditions and in the form shown in Exhibit A, attached hereto.

KNOW ALL MEN BY THESE PRESENTS:
COUNTY OF LAMAR ~
That the City of Paris, Paris, Texas, a municipal corporation, of Lamar County, Texas,
having an address at P. O. Box 9037, Paris, Texas 75461 ("Grantor"), acting by and through its
Mayor, duly authorized, for and in consideration of the sum of Ten Dollars ($10.00) cash, and other
good and valuable consideration, to it in hand paid by Panda Paris Power, L.P., a Delaware limited
partnership, having an address at 4100 Spring Valley Road, Suite 1001, Dallas, Texas 75244
("Grantee"), the receipt and sufficiency of which is hereby acknowledged, does hereby sell, give,
and grant unto the said Panda Paris Power, L.P., a utility easement for the purpose of laying,
constructing, maintaining, altering, inspecting, operating, repairing, relocating, changing the size of,
removing, and replacing one (1) underground pipeline and the appurtenances thereto, including
pumps and pumping equipment, fittings, corrosion control equipment, and other above-ground and
below-ground apparatus and equipment (collectively, the "Pipeline "), for the transportation of water
and water related products which can be transported through pipelines, through the land owned by
Grantor, situated in Lamar County, Texas, and more particularly described on Exhibit A, attached
hereto, and does further give and grant a temporary construction easement described as follows:
BEING a strip of land fifty (50) feet in width situated within the corporate limits of the
City of Paris, County of Lamar and State of Texas, a part of the Redding Russell
Survey, Abstract No. 786, and being a 30 foot wide waterline easement across City
of Paris property described in deed recorded in Volume 353, Page 257, Deed Records,
Lamar County, Texas, said fifty-foot (50) foot temporary easement beit:lg fifty (50)
feet south of the south boundary line of said permanent easement.

TO HAVE AND TO HOLD the above property unto the Grantee for the purposes aforesaid,
with the right and privilege at any and all times to enter said premises, or any part thereof, and
maintaining any and all utilities facilities placed therein; provided that Grantee will, after doing any
work in connection with the construction, reconstruction, relocating, or maintenance of said utilities,
restore the surface to the condition to which said surface was found when such work was undertaken
insofar as permitted under the plans and specifications approved for projects to be located within the
herein-described easement, and that in the use of said rights and privileges herein granted, Grantee
will not create a nuisance or do any act that will be detrimental to said premises; and further provided
that the Grantee will, in accordance with Section 5.01 of the Water Supply Agreement between the
City of Paris, Paris, Texas, and Panda Paris Power, L.P., dated September 16, 1998, transfer title
and ownership to the Grantor, upon completion, of the Pipeline.
Grantor does hereby binds itself, its successors and assigns, to warrant and forever defend,
all and singular, said premises unto the Grantee against every person whomsoever lawfully claiming
or to claim the same or any part thereof.
