A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF PARIS, PARIS, TEXAS, APPROVING AND AUTHORIZING A PERSONAL AND PROFESSIONAL SERVICES AGREEMENT WITH A PERSONNEL CONSULTING FIRM TO CONDUCT A PERSONNEL SEARCH FOR CITY MANAGER CANDIDATES FOR THE POSITION OF CITY MANAGER OF THE CITY OF PARIS, TEXAS; MAKING OTHER FINDINGS AND PROVISIONS RELATED TO THE SUBJECT; AND DECLARING AN EFFECTIVE DATE. WHEREAS, the City Council desires to enter into a personal and professional services agreement with a personnel search firm to provide special services to the City of Paris in identifying qualified candidates for the position of City Manager of the City of Paris; and, WHEREAS, it is deemed to be in the best interest of the citizens of the City of Paris that the City of Paris enter into a professional services agreement with a personnel search firm and the Mayor be authorized to execute said agreement on behalf of the City of Paris, and the same should be approved; NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF PARIS, PARIS, TEXAS: Section 1. That the findings set out in the preamble to this resolution are hereby in all things approved. Section 2. That the City Council of the City of Paris, Paris, Texas, does hereby authorize the Mayor to execute and the City Clerk to attest to a personal and professional services agreement, as said agreement shall be negotiated by the Mayor and shall be in the form attached hereto as Exhibit A, by and between the City of Paris and The Pace Group to perform a professional personnel search for qualified candidates to serve as the City Manager of the City of Paris, Texas. E~ECUTIVE SEARCH AGREEMENT THIS AGREEMENT is m~de and entered into as of the 8th day of January, 2007, by and between THE PACE GROUP, (hereinafter "PACE"), and City of Paris, Texas (hereinafter Corporation) WITNESSETH . WHEREAS, the Corporation is seeking to fill the position of City Manager WHEREAS, PACE desire~ to provide assistance to the Corporation in the identification and selecti~n of one individual qualified to serve as City Manager; and . WHEREAS, the parties hQldto desire to set forth their mutual understandings and agreements regarding the\services to be performed by PACE. NOW, THEREFORE, in cCDnsideration of the mutual covenants and agreements contained herein, and ott'1E!lr goods and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties hereby agree as iollows: EXECUTIVE SEARCH ~ PACE will conduct an In-depth search for qualified candidates, which shall include the following steps. a) CLIENT NEEDS ASSESSMENT: PACE personnel will meet with each member of the City Council Ito review the requirements and to discuss the desired background, expeqtlnca and personality of the desired candidates. b) POSITION SPEC'~ICATION: PACE will prepare and submit to the City Council the approval of a jdb specification sheet for this position. The purpose of the approval of a jOb specification sheet is to assure that PACE and the Corporation is in agreement as Ito the resutts of the Client Needs Assessment. c) RESEARCH: PAdE will identify sources likely to produce candidates who will meet the needs of tha Corporation for this position. d) CONTACTS AND INTERVIEWS: PACE will conduct telephone discussions and personal interview~ with a broad spectrum of potential candidates who have been identified thrqugh the research of PACE. 1 EXHIBIT .A. r - e) PRESENTATION: PACE will present candidates deemed worthy by PACE of consideration. PACE will present three to five individuals for the position to the selection committFle following the completion o'f the contact and interview efforts. In the event the c~ndidates presented are not acceptable, PACE will continue its search until an acCeptable candidate is confirmed by the City Council. f) CLIENT INTERVIEWS: PACE will schedule interviews between the City Council and candidates selected for the position. g) REFERENCE CH,-CKING: PACE will provide an in-depth reference check of each of the final candidates chosen by the selection committee prior to the final interview by the selection committee and extension of an offer to said candidate. Said reference checking shall consist of telephone or personal interviews by PACE personnel of former supervisors, subordinates, peers and others having knowledge of eacH of the selected candidates. PACE will conduct full financial and Criminal Backwound Checks on candidates that the selection committee requests. h) PERSONALITY Tl:STING: Because a "good fit" between the people of the staff, selection committee and the future City Manager is required, The PACE Group recommends that ~ thorough personality test be administered by us for each candidate. From the test results, a complete personality work profile will be developed. This profile will delineate the management style of each candidate and his or her pre1~rred working environment. We will present this information to you prior to the ca~didate inteNiews. i) OFFER: PACE will work closely with the selection committee in developing a responsible offer to the candidate selected. STAFFING: The exedutive search provided by PACE will be conducted by PACE President John M. LoV).)rn, Jr., Daniel Logan, Chief Operating Officer, and Allison Morris, Vice President FEES: PACE fee for cionducting an Executive Search for the City Manager herein provided is 33.33%. of the first year base salary of the selected candidate plus direct out-of-pocket expense!:> as set forth below. We request that our fee be paid according to the followIng schedule: a) $10,000 upon completion of the needs assessment interviews. b) $10,000 urhn completion of the candidate profiles. Payment of this amount is Que upon the presentation of the selected candidates in written form to the selection committee. c) The balance of 33.33% upon acceptance by the candidate. 2 TIMING: The initial three to five candidates for this position will be presented in written form to the sel~{;tion committee within 60 days of the acceptance of this contract. INDEMNITY: PACE ~Qrees to indemnify and hold the Corporation harmless from any and all claims, lia~i1ities, losses and expenses arising out of, or rssulting from, any and all activities cbnducted by PACE. Guarantee- The PAqe Group will provide a one year guarantee should the successful candidot~ leave for any reason. We would request expenses should this happen. Example- Should Mrs. Jones be employed as the new City Manager and decides to leave the organization within 365 days of the start 01 employment or should she be terminated by the organization then the PACE Group would conduQt the search 101' no f8e. We would request ex:penses. OUT-Of-POCKET ExlPENSES: At the end of every month, PACE will invoice for direct out-of-pocket exjpenses incurred by PACE during the search process. Payment for direct out~of-pocket expenses shall be due by the 15th day of the following month. Not to exceed $1,500. Should the search 190 over 3 months we will adjust this fee to be fair to all parties. We will work the dhairman on this issue. We charged the PEDC for two months on their recent search. 4) RENTAL CAR: we usa Budget and would rent a mid-sized car. 5) PERSONAL VEH'~LE MILEAGE: We charge 48.5 cents per mile when we use our vehicles. 6) FINALIST NOTEBOOKS: We charge our exact costs of supplies and administrative fees. 7) PERSONAL ASSSSSMENTS: For each candidate selected for a ,final interview, The PACE Group 'f...ill provide assessments at $40 per candidate. 8) BACKGROUND ~HECKS: We will do the reference checks at nd charge. The Board of Directors appointed Daniel Chief Operating Officer in 2005. Daniel has conducted CEO searches in 16 states. He specializes in economic development, chamber of commerce, non-profit, government, private industry, and healthcare executive search, strategic planning, and marketing consulting. Prior to joining The PACE Group, Daniel was the President of the Franklin County, AL Development Authority. The Franklin County Development Authority was a start-up organization that hired Daniel to be its first President. During his time in Franklin County, Daniel announced over 600 new jobs with investments totaling over $10,000,000 injust 18 months. Before heading up development efforts in Franklin County, Daniel served under Kentucky Governor Paul Patton of Kentucky as the youngest Director in the Revenue Cabinet.
