SPECIAL MEETING
OF THE CITY COUNCIL, CITY OF PARIS
December 19, 2006
The City Council ofthe City of Paris met for a special meeting at 6:00 P. M. Tuesday,
December 19,2006, at the City Council Chamber, 107 E. Kaufman, Paris, Texas.
Present:
Mayor:

Council Members: Tim Ray; Curtis Fendley; Mary Ann
Fisher, Mayor Pro Tern; Kevin Gray; Jesse
James Freelen; and Don Wilson
City Staff:
John Lestock, Assistant City Attorney; and
Janice Ellis, City Clerk
1. Mayor Manning called the meeting to order.
Ronnie Grooms gave the invocation.
2. Pledge of Allegiance.
Council Member Ray led the pledge.
Prior to convening into Execution Session, Mayor Manning gave an introduction, as
set out in Exhibit "A" (see attached).
3. Mayor Manning convened the Council into Executive Session at 6:06 p.m. pursuant
to Section 551.071 of the Texas Government Code, consultation with Attorney, to
receive advice of legal counsel pursuant to the duty of an attorney to his client under
the Texas Disciplinary Rules of Professional Conduct of the State Bar of Texas,
regarding the following matters:
A. Receive legal advice regarding selection of interim City Manager.
B. Receive legal advice regarding upcoming public hearing requested by City
Manager.
C. Receive legal advice regarding transition of City Manager's employment.

Council Member Wilson and Council Member Fendley wanted to know ifthere could
be discussion. Mayor Manning said discussion ofthe item was not on the Agenda. Council
Member Fendley stated he did not believe it was properly posted. Mayor Manning stated the
law firm hired by Council advised him the Agenda was legal. Council Member Wilson
wanted to know if the firm was at the meeting and the Mayor answered in the affirmative.
Mayor Manning also stated that lawyers from the firm would be in the Executive Session.
Council Member Fendley, Council Member Freelen, and Council Member Wilson did not
convene into the Executive Session. Mayor Manning, Council Member Ray, Council
Member Fisher and Council Member Fisher convened into Executive Session.
Mayor Manning closed the Executive Session at 6:43 p.m.
4. Reconvene in open session to consider and take necessary action, as deemed
appropriate, regarding those matters discussed in the Executive Session.
Mayor Manning reconvened the open session at 6:44 p.m.
A. RESOLUTION NO. 2006-158: A RESOLUTION OF THE CITY COUNCIL
OF THE CITY OF PARIS, PARIS, TEXAS, APPROVING AND
AUTHORIZING A PERSONAL AND PROFESSIONAL SERVICES
AGREEMENT WITH A PERSONNEL CONSULTING FIRM TO
CONDUCT A PERSONNEL SEARCH FOR INTERIM CITY MANAGER
CANDIDATES FOR THE POSITION OF INTERIM CITY MANAGER OF
THE CITY OF PARIS, TEXAS; MAKING OTHER FINDINGS AND
PROVISIONS RELATED TO THE SUBJECT; AND DECLARING AN
EFFECTIVE DATE.
A Motion to approve was made by Council Member Ray and seconded by Council
Member Fisher. Motion carried, 6 ayes - 1 nay, with Council Member Freelen casting the
dissenting vote.
Mayor Manning called a special meeting for Wednesday, December 27th to consider
possible action for selection of an interim city manager. He also stated they would consider
action on a resolution setting forth written charges against the city manager. Council
Member Freelen said he thought the meeting was on December 28th. Mayor Manning said
they were going to have another meeting, one on December 27th and one on December 28th.

Council Member Wilson asked John Lestock' s legal opinion as to whether or not they
could convene into Executive Session without taking a vote to do so. Mr. Lestock said he
did not believe a vote was necessary to authorize Council to go into Executive Session.
Council Member Wilson asked John Lestock to review the issue to see what they had
historically done in the past.
5. Adjournment.
There being no further business, the meeting was adjourned at 6:55 p.m.
