13-B Auction - Surplus Property DRAFT F:A TTORNEY\RESWORKCURRENT Auction Resolution 2007 May 2, 2006 RESOLUTION NO. A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF PARIS, TEXAS, DECLARING CERTAIN PERSONAL PROPERTY SURPLUS; APPROVING AN AUCTIONEER SERVICE AGREEMENT; MAKING OTHER FINDINGS AND PROVISIONS RELATED TO THE SUBJECT; AND PROVIDING AN EFFECTIVE DATE. WHEREAS, the City of Paris has accumulated certain personal property which no longer serves a useful purpose for the City and its operation, and it would be appropriate that said personal property be declared surplus property, a list of said personal property is attached hereto as Exhibit A; and, WHEREAS, it would be appropriate to dispose of said surplus property by auction duly advertised and conducted in conjunction with a larger such auction conducted for Lamar County and various area school districts by CLC Auction Services, 7915 Hwy 82 East, Blossom, Texas, Texas Auctioneer License Number 15039, which firm has heretofore been approved for use by State of Texas agencies; and, WHEREAS a proposed Auctioneer Service Agreement with CLC Auction Services is attached hereto as Exhibit B. NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF PARIS, TEXAS: Section 1. That the findings set out in the preamble to this resolution are hereby in all things approved. Section 2. That the personal property described in Exhibit A, attached hereto, be, and the same is hereby, declared to be surplus property ofthe City of Paris, and the same may be disposed in accordance with the laws of the State of Texas and the Charter of the City of Paris. Section 3. That the form of the Auctioneer Service Agreement with CLC Auction Services, attached hereto as Exhibit B, be, and the same is hereby, approved. Section 4. That the Mayor be, and he is hereby, authorized and directed to execute, on behalf of the City of Paris, the Auctioneer Service Agreement with CLC Auction Services, substantially in accordance with the terms and conditions and in the form shown in Exhibit B, attached hereto. AUCTIONEER SERVICE AGREEMENT This agreement is entered into by CLC AUCTION SERVICES, hereinafter referred to as Auctioneer, of Paris, Texas, and the CITY OF PARIS, TEXAS, hereinafter referred to as Owner, under the following terms and conditions: 1. Auctioneer agrees to conduct a public auction sale or to otherwise sell the property described in Exhibit A, attached hereto, belonging to Owner. The auction sale to be conducted at 7915 Hwy 82 East, Blossom, Texas, beginning on the 12th day of May, 2007. Owner agrees to turn over and deliver to Auctioneer the listed items. 2. Owner will furnish Inventory (Exhibit A) attached to this contract. 3. Auctioneer agrees to prepare all advertising material and publicity necessary to properly advertise and promote the attendance of buyers at no cost to Owner. Auctioneer agrees to perform all services and conduct the auction in compliance with Auctioneer's Proposal for Services presented to Lamar County, a copy of which is appended hereto as Exhibit B and incorporated herein for all purposes. 4. All items will sell without reserves to the highest bidder with the exception of items specified in writing to be protected. No item shall be sold or withdrawn from sale prior to auction except by mutual agreement of the parties. Owner agrees that all items are free of liens and has a clear title to all items requiring a title. 5. Owner agrees to pay Auctioneer for the services rendered by Auctioneer a commission often percent (10%) of the total income from all sales of Owner's property made at public auction. 6. This agreement shall be binding upon the parties for a period of forty-five (45) days after the execution hereof. Executed this 9th day of April, 2007.
