RESOLUTION NO.
A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF PARIS,
TEXAS, APPROVING THE GROUNDS SUBLEASE BETWEEN THE RED
RIVER V ALLEYF AIR ASSOCIATION AND BETTY BRIDGERS FOR THE
BINGO KITCHEN/CONCESSION FOR THE BINGO BUILDING; MAKING
OTHER FINDINGS AND PROVISIONS RELATED TO THE SUBJECT; AND
PROVIDING AN EFFECTIVE DATE.
WHEREAS, the Red River Valley F air Association has requested approval from the City
Council of the City of Paris to enter into a grounds sublease agreement with Betty Bridgers for
the bingo/concession for the Bingo building in the form shown in Exhibit A, attached hereto;
and,
WHEREAS, it would be in the best interests of the citizens of the city of Paris that such
grounds sublease agreement be approved;
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY
OF PARIS, TEXAS:
Section 1. That the findings set out in the preamble to this resolution are hereby in all
things approved.
Section 2. That the Red River Valley Fair Association be, and it is hereby, granted
approval to enter into the grounds sublease agreement with Betty Bridgers for the
bingo/concession for the Bingo building the form shown in Exhibit A, attached hereto.
Section 3. That this resolution shall be effective from and after its date of passage.

Lease agreement between the Red River Valley
Association, Inc., herein called Lessor and
Bridgers herein called Lessee, is executed this
of June 2007, and consists of the following.
1. The area considered in this lease is confined to the
area described by Lessor as kitchen area constructed
within the structure known as Big Time Bingo on the
fairgrounds.
2. Lessee is responsible to Lessor for:
A. Keeping leased area clean at all times to the
satisfaction of Lessor.
B. To keep any use of utili ties, supplies by
Lessor, to minimum cost, such as electric and water.
C. Lessee required to operate all items in a safe
manner at all times.
D. Lessee must meet all rules and regulations
pertaining to food concession as so listed in any and all
ordinances required by the City of Paris and the State of
Texas.
E. Lessee and lessee's employees will be well-
groomed, clean, dressed appropriately, and polite.
F. Area described will not be sub-leased to anyone.
G. Lessee will operate kitchen/concession area the
same hours that Bingo is operating.
3. The Lessee, at LE?ssee's expense, shall maintain a
comprehensive general liability insurance policy on the
described premises in an amount of at least $500,000.00
combined single limits and shall name the Lessor and the
Ci ty of Paris as additional insured on said policy.
Lessee shall provide Lessor with a certificate of
insurance providing for thirty (30) days advance notice
of cancellation.
4. Lessee may terminate lease agreement with thirty days
advance notice, in writing, to Lessor of termination
date.
5. Lessee with signing of lease agreement, agrees to
indemnify, keep and hold harmless Lessor from and against
any and all demands, debts, liabilities, claims, etc.,
for damages or injuries to persons and/or property
occurring on leased property.
6. Lessor responsible to Lessee for:
A. All utilities as needed to operate properly,
consisting of water, electricity, and gas for
kitchen/concession area.
B. Maintaining a clean building inside and outside.
C. Proper place to dispose of trash.

7. Lessor may terminate lease agreement with thirty days
advance notice, in writing, to Lessee of termination
date.
8. Lessor shall have the right to terminate said lease
at it's option in the event Lessee is in breach of any of
the covenants contained herein.
8. With signing of lease, Lessee agrees to pay Lessor
the sum of $135.00 per week, operating with Bingo
operation only. Rental fees payable to the Red River
Valley Fair Association weekly; Sunday session.
9. This agreement of lease is in effect for one year
beginning June 1, 2007. This lease contains an option to
renew, thirty days prior to June 1, 2008 in writing from
Lessee.
