A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF PARIS,
TEXAS, APPROVING AN ENGAGEMENT LETTER FOR
PROFESSIONAL SERVICES WITH THE LAW FIRM OF LYNN PHAM
& ROSS, LLP; MAKING OTHER FINDINGS AND PROVISIONS
RELATED TO THE SUBJECT; AND DECLARING AN EFFECTIVE
DATE.
WHEREAS, the Fire Chief for the City of Paris has requested Ms. Betty Lynn with
Lynn, Pham & Ross to represent the department in a disciplinary matter involving a civil
service employee; and,
WHEREAS, Ms. Lynn has extensive experience throughout the State of Texas
representing management in civil service matters; and,
WHEREAS, is deemed to be in the best interest of the City of Paris that Ms. Lynn be
retained in this matter and that a professional services Engagement Letter in the form of
Exhibit A attached hereto and made a part hereof be approved;
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE
CITY OF PARIS, TEXAS:
Section 1. That the findings set out in the preamble of this resolution are hereby in all
things approved.
Section 2. That the proposal of Lynn Pham & Ross, LLP for professional services
described in Exhibit A attached hereto, be, and the same is hereby accepted.
Section 3. That the Mayor of the City of Paris be, and he is hereby authorized and directed
to execute on behalf of the City of Paris the Professional Services Contract in the form of
Exhibit A attached hereto.
Section 4. That this resolution shall be effective from and after the date of passage.

Re: Engagement Letter
Dear Mr. McIlyar:
We are honored that the City of Paris has decided to retain Lynn Pham & Ross, LLP (LP&R) for
consultation and advice and to assist in the discipline and passible appeal of Eddie Renfro. The
purpose of this letter is to set forth the terms of the City's engagement of the firm.
1) Our representation will be on an hourly fee basis, billed in increments, with the smallest
increment beginning attwo-tenths of an hour. The City will be responsible for all expenses
which are incurred during our representation of the City in this matter. These expenses will
include copying charges ($.20 per copy), postage, long distance charges, faxes, computerized
research, overnight courier service and travel costs. The firm's current billing rates are as
follows:
Bettye Lynn $200.OOlper hour
Associate Attorneys $150-190AOlper hour
2) Normally, our billing cycle ends on the 20~' of the month. We will send you a bill shortly
thereafter, unless no work was performed and no expenses were incurred during the billing
cycle. The invoices for computerized legal research are billed the following month. Our bills
will provide in detail a description of all work performed, and all expenses incurred by the
firm in this matter. If you have any questions about a bill, or if you would like them in a
different format, please contact me and let me know your concerns and we will make every
effort to resolve them to your satisfaction.
