Council Date: 5/27/08 RECOMMENDED MOTION: Motion to schedule training and teambuilding workshops for and workshops to tour city faciliries for POLICY ISSUE(S): Council meering dates BACKGROUND: We need to have a training and team-building workshop for council and department heads as well as take at least the new council members on workshop tours of city facilities. Both workshops will take eight hours each. It has been suggested that we take two full days to do both workshops with the morning dedicated to the training and the afternoon spent on facility tours. Alternatively we can do a full day for each workshop or four half-day workshops. Staff needs to know what dates are available (preferably the first part of July) for Councilmembers so everything can be scheduled. The City Manager recommends using Mike Conduff of The Elim Group to facilitate the teambuilding and training. Consultant Obligations. Consultant agrees to provide the following services: Design, Develop, Facilitate and Conduct a City of Paris Council Retreat focusing on Team Building and Good Governance. Consultant agrees to review cunent documentation prior to the session and to incorporate information as appropriate. Consultant will provide a summary report of the Council's agreements. Consultant agrees to make available on-line DiSC personality profiling for between 10 and 30 individuals on the Council and City Staff. Consultant also agrees to be available for supplemental involvement through the balance of the calendar year via phone and email at no additional charge. 1.l . Dates of on-site service: To Be Determined 1.2. All development, preparation and travel days are included in the financial terms. 1.3. Location: TBD in or in close proximity to Paris. 1.4. Materials: Consultant agrees to provide all presentation materials to be used during this engagement or at his option to send to client original sets for copying. 2. Client Obligations. Client agrees to assume responsibility for the following: 2.1. Designate one contact person far effective communications between Client and Consultant. 2.2. Provide all necessary logistical, site based and communication requirements applicable to this engagement. 2.3. Provide the necessary audio/visual/presentation equipment. 2.3.1. LCD/DLP Projector for laptop and Screen of sufficient size for the group. 23.2. 3-M Self-Adhesive Flip Charts, Easels and Markers. 3. Financial Conditions. 3.1. In return for the services provided by the Consultant as herein specified, Client agrees to pay to Consultant the discounted sum of $3000.00, which will include all expenses except for the DiSC profiles. 3.2. Consultant agrees that any additional on site days will be billed at the discounted rate of $3000.00 through the end of 2008. - May 22, 2008 Page 2 3.3. DiSC evaluations (on-line) will be provided for $60.00 each; and this additional expense will be billed separately. A minimum of 10 profiles and a maximum of 30 profiles are included at this rate. 3.4. Copies of any of Consultant's books utilized or purchased will be discounted 20% from retail. 4. Emergencies and Cancellation. 4.1. In the event of cancellation of this contract by Consultant due to illness or unforeseen emergency, the Client shall have no liability for fees, expenses or losses incurred by Consultant unless the engagement is rescheduled within six (6) months. 4.2. In the event Client is unable to conduct the program or project due to acts of God, Client shall have no obligation for payment for services or expenses except such expenses that may have been incurred by Consultant. 4.3. In the event Client voluntarily cancels the program or project so that participation by Consultant is not required, Client agrees to pay Consultant Fifty Percent (50%) of the agreed upon fee due in accordance with this agreement, plus expenses incurred by Consultant prior to cancellation. Alternatively Client may reschedule the program within six (6) months and otherwise renew its commitment to Consultant under identical terms. 5. Other Provisions. 5.1. It is understood that Consultant executes this agreement as an independent contractor and assumes all responsibility for taxes. 5.2. Consultant shall have exclusive control over the means, methods and details of fulfilling the obligations herein provided. 5.3. This instrument sets forth the entire agreement between Consultant and the Client. This contact shall become effective when accepted and executed by both the Client and Consultant. It shall not be changed, modified or waived in whole or in part except by execution of an instrument in writing signed by the parties.
