A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF PARIS,
PARIS, TEXAS, APPROVING AND AUTHORIZING EXECUTION OF AN
AMENDMENT TO THE PROFESSIONAL SERVICES AGREEMENT WITH
BRINKLEY-SARGENT ARCHITECTS TO PROVIDE ARCHITECTURAL
SERVICES FOR CONVERSION OF THE DARCO BUILDING TO A NEW
POLICE, COURT, AND JAIL FACILITY; AUTHORIZING THE ISSUANCE
OF A NOTICE TO PROCEED WITH THE CONSTRUCTION DOCUMENTS
PHASE OF SUCH SERVICES; MAKING OTHER FINDINGS AND
PROVISIONS RELATED TO THE SUBJECT; AND PROVIDING AN
EFFECTIVE DATE.
WHEREAS, the City Council of the City of Paris did heretofore, on the 1st day of May,
2000, in Resolution No. 2000-058, authorize the execution of a professional services contract with
Brinkley Sargent Architects for the performance of a needs assessment study and plan for a police
and municipal courts center for the City of Paris; and,
WHEREAS, on October 9, 2000, such study was presented to the City Council by
Brinkley Sargent Architects; and,
WHEREAS, the City Council did heretofore, on the 13th day of November, 2000, accept
and approve such study and contract with Brinkley-Sargent Architects to provide preliminary
design and planning services in furtherance of a potential new Police and Municipal Courts
facility; and,
WHEREAS, on December 10,200 I, Brinkley-Sargent presented an architectural rendering
of said project; and,
WHEREAS, the City Council did heretofore, on the 13th day of May, 2002, in Resolution
No. 2002-075, approve a professional services agreement with Brinkley-Sargent Architects to
provide substantive design and construction architectural services for conversion of the DARCO
building to a new police, court, and jail facility; and,
WHEREAS, it is necessary to amend said professional services agreement to provide for
an adjustment of$56,650.00 in the architectural fee, for the addition of Structural Engineering and
Technologies Consulting Services and an increased scope of civil engineering services, for a total
architectural fee of$183,250.00; and,
WHEREAS, the cost of such additional services will be adsorbed in the overall cost of the
project and the total amount of the estimated cost of the project remains unchanged; and
WHEREAS, the form ofthe Amendment to the Professional Services Agreement and the
Notice to Proceed with the construction documents phase of services, attached hereto as Exhibit
A, should, in all things, be approved, and the Mayor should be authorized to execute the same;
NOW, THEREFORE,
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF PARIS, PARIS,
TEXAS:
Section 1. That the findings set out in the preamble to this resolution are hereby in all
things approved.
Section 2. That the Mayor be, and he is hereby, authorized and directed to execute, on
behalf of the City of Paris, an Amendment to the Professional Services Agreement with Brinkley
Sargent Architects, for the addition of Structural Engineering and Technologies Consulting
Services and an increased scope of civil engineering services, and the accompanying Notice to
Proceed with the construction documents phase of services, under the terms and conditions and
in the form shown in Exhibit A, attached hereto, to provide for an adjustment of$56,650.00 in the
architectural fee, for a total architectural fee of $183,250.00, which such costs will be absorbed
in the overall cost ofthe project, and the total amount ofthe estimated costs of the project remains
unchanged.
Section 3. That this resolution shall be effective from and after its date of passage.

to provide civil engineering services for the above referenced project The scope of our
services shall include the following:
A. Construction documents Phase (onsite):
1. Meetings with Architects and/or City to define civil site design parameters.

2. Horizontal Control: A cOmputer genefCIted hori2;ontal control plan will be
prepared by CSM based on the site plan provided by the J\rchitect. The
Architect will prepare bUil?ing footprints in digital f~mnat compatible with
AutoCAD 14 for use by CSM. CSM will' .be responsible for developing
coordinates on all bUildiQg envelope corners for staking purposes.
Horizontal control to be provided for all elements of the site inclUding fences,

~ 3. Utility. Plans: Site plans will be provided to the utility companies (gas,
telephone City designated communication/data conduits, and cable) for their
use and their utilities will be coordinated with water, sewer and storm

shown on the water, sewer and storm drainage plans.

4. Orainaae Area Map and Storm Sewer Plans: CSM will prepare storm sewer
plans in accordance with City requirements. The design of area drains in
open space and amenity areas will be coordinated with the Landscape
Architect This proposal does not Include off-site storm drainage or on-site
detention.
5. PavinQ Plan: CSM will prepare a paving plan showing areas of pavement
including driveway approaches, sidewalks, and construction details. Paving,
sidewalk and stair (not attached to the building) section designs will be based
on recommendations provided by the Geotechnical Engineer. Plans will
indude parking striping, control joint and expansion joint layouts.
6. GradinQ Plan: CSM will prepare a grading plan showing proposed finished
floor, site and paving elevations. All necessary grading and spot elevations
will be induded. All special design detaifs and elevations will be referenced
by civil and detailed by others.
7. Erosion Control Plan/Stann Water Pollution Prevention Plan: CSM will
prepare an erosion control plan/storm water pollution prevention plan in
compliance with City and Federal (EPA) guidelines.
8. Civil Technical Specifications: Specifications for work performed by CSM will
be prepared in a format acceptable to the Architect
9. Perform backwater computations (HEC2) to size proposed box culvert for
new roadway crossing of Big Sandy Creek, Tributary No.4. Backwater
computations will also take into account proposed berm/screening wall
effects on FEMA Flood profile. Existing FEMA Flood model will need to be
acquired from FEMA.
10. Submit CLOMRlLOMR for said project to FEMA on behalf of clients.
B. Public Utility Coordination:
CSM will coordinate with public utility companies (electric, gas and telephon~),
with the assistance of the Architect and MEP consultant, regarding service for
the project and easement requirements. CSM will coordinate service verificationeletters, if required.

C. Construction Administration:
CSM will attend construction meetings as required review and approve
submittals and shop drawings and provide clarifications and interpretation of
contract documents. CSM will perform site visits to monitor construction
progress and participate in final inspection of the project and prepare "punch list"
of items requiring additional attention or correction.
We propose to proVide the services on a lump sum basis as follows:

Reimbursable expenditure (printings, delivery services, city review fees, state sales tax,
long distance communications, authorized travel outside the Dallas/Fort Worth
Metroplex, etc.) will be invoiced at our cost, plus 10%. Review and application fees
shall be paid by developer. Filing fees will be paid by the Client (City of Paris).
Invoices will be submitted monthly for that portion of the work completed through that
period of time, and are due upon receipt.
This proposal is based upon receipt of an Owner. approved site plan and proper zoning
as a basis for design. Owner shall provide boundary and topographic surveys to CSM
for use as a basis for civil design and the LOMR application. Significant changes by the
Owner (after receipt of an Owner approved site plan) requiring plan work revision will be
considered as extra services to this contract.
This proposal excludes environmental impact studies Including, platting, geotechnical
services, traffic studies, preparation of abandonment field notes, landscape architecture

This is a proposal submitted by Kendall + Landscape Architecture (called Landscape Architect), address: The
Meadows Building, Suite 735, 5646 Milton. Dallas, Texas 75206.
Brinkley Sargent Architects, Inc. (called Architect) agrees to employ the Landscape Architect to provide
professional services for the landscape development associated with the Pans Police Clnd Courts Building.
I. PROJECT DESCRIPTION
A. Planting and Irrigation Design at the Interior Courtyard.
B. Planting and inigation at the shrub screening at the parking facing the RO.W.
II. SCOPE OF SERVICES
The Landscape Architect will provide the fOllowing Landscape Architectural services:
A. Schematic Design
1. Conduct a project initiation meeting with Architect to establish the design intent and program
requirements. Obtain all available site information and bUdget considerations.
2. Conduct a site analysis to understand the opportunities and constraints inherent In the site.
3. Prepare a schematic design plan and graphics that include:
a. Planting design
b. Irrigation
4. Prepare preliminary cost estimates for the schematic design solution.
5. Review the plan and estimates with the Architect and other Consultants for input and approval
to proceed.
B. City of Paris, Texas Landscape Ordinance Requirements Plan
1. Prepare required documents for review and ~pproval by the City of Paris, Texas.
C. Construction Documents
1. Prepare final construction documents for the Softscape items:
a. Fln~1 planting plans for the project, including locations and identification of all plant
materials and plant list showing quantities, sizes, varieties and conditions of materials.
b. FInal irrigation plans for the project.
c. Planting and irrigation details
d. Prepare technical specifications, sections for the applicable Softscape elements.
2. Prepare bidding documents.
3. Coordinate work with the consultants.
4. Review all work with the Architect and Consultants for input and approval before issue of
bidding set.
D. Bidding
1. Prepare and solicit bid proposals as part of the architectural package.
2. Make any necessary Addenda for bidding and prior to construction.
3. Assist the Architect In final bid evaluation.
E. Construction Observation
1. Check and approve construction materi~ls samples, shop drawings and any other submissions
for conformance with contract documents and design intent.
2. Make 1 trips to the site to assist the Architect in obselVing the progress, process, and quality of
the installation of applicable Hardscape and Softscape items.
3. Provide the Architect with 1 field reports documenting site activity observed with any
recommendations regarding the construction necessary to assure conformance to contract
documents, desired quality, and design Intent.
III. COMPENSATION
A. See Schedule "A" attached for compensation.
B. Usual reimbursable will be charged at 1.2 times direct cost. Usual reimbursable include such items
as printing, out-or-town travel, lodging and other living expenses while out of town. copies. long
distance phone calls, mileage at 32.5 cents per mile, and other items solely related to the prodUction
of the project.

IV. ADDITIONAL SERVICES
A. Payment for such services will be mutually agreed to prior to initiating the services and will be bl1led
on same monthly basis plus reimbursable expenses.
B. Hourly rates for additional services shalt be billed as shown below:
Principal $120.00 per hour
Draftsman $50.00 per hour
Clerical $25.00 per hour
C. The following additional services may be included in this scope of services if authorized in writing by
the Architect.
1. Revisions to drawings previously approved by the Architect.
2. Services of consultants other than stated above.
3. Preparation of Bs-built drawings.
4. Construction surveying, staking, and verification.
5. Public presentations end additional presentations beyond those outlined above.
6. Assist the Architect in maKing decisions on all claims regarding the applicable Landscape and
site development work.
7. Representation in litigation and/or negotiations.
8. Changes to drawings caused by inaccurate survey information.
9. Change Orders as caused by participants other than the landscape Architect.
10. MC?re than 1 trip to the site.
V. ARCHITECT'S RESPONSIBILITIES
A. The Architect will provide full information about requirements for this part of the project including the
program requirements and layouts of known site features or restrictions.
B. The Architect will furnish the Landscape Architect with a copy of the certified survey of the site
showing information pertinent to this part of the project.
C. If, during any visit to the project, the Architect or his representative observes or otherwise becomes
aware of any defect in this project. prompt written notice will be sent to the Landscape' Architect.
VI. TERMINATION OF AGREEME:NT
A. This agreement Is terminated upon written notification from the Architect. It also may be terminated
by eIther party upon seven (7) days written notice should the other party fail substantially to perform
in accordance with its terms through no fault of the other. .
B. In the event of termination due to the fault of others than the'Landscape Architect, the Landscape
Architect shall be paid for services performed to termination date, Including reimbursements then due,
plus terminal expenses necessary to end these services and send any pertinent documents to the
Architect.
VII. INITIATION
If the Agreement Is satisfactory, the Architect can initiate the services described above by signing both copies and
returning one copy for the Landscape Architect's file. .
The Landscape Architect will Initiate these services upon receipt of that authorization.

2. We propose that we staff this project with the following people:

B. Services to be Provided on the Court Room and Training Room:
1. Internal Acoustics:
a. Determine the acoustical environment needed within each function
space to allow the spaces to operate in a manner consistent with the
program of the spaces.
b. Assist the AlE through the development of project design in the
assignment of such acoustical finishes as are required to meet the
acoustical requirements of the facility.
c. Provide such drawings, sketches and written reports as are required or
requested by the AlE to enable the AlE to include the consuItantts
recommendations into the project documents.

d. Review and comment as required during construction any shop
drawings or submittals concerned with acoustical materials.
2. Mechanical Control of Mechanical Noise Sources:
a. Provide schematic criteria to the AlE regarding mechanical system
noise controL to include as a minimum the following:
Duct air velocities
Duct layout criteria
Diffuser selection criteria
Overall NC requirements
Volume damper location criteria
Duct airflow device criteria
b. Assist the AlE in the development of mechanical system design to meet
criteria.
c. Provide ongoing reviews of mechanical and electrical drawings to
insure criteria are being met.
d. Assist the AlE in review of submittals and shop drawings during
construction as required to insure compliance with project documents.
3. Audio and A V Systems:
a. Evaluate users preliminary Program Report for appropriateness to
budget for the following systems:
Sound Reinforcement Systems - Court RM,
Video Systems - Court RM,
NY Infrastructure - EOC
b. Provide cost estimates at the appropriate times as designated by the
AlE, which may include schematics, design development, construction
documents and pricing packages as designated by the AlE.

systems engineering services for the Paris Police and Courts Facility project located in Paris,

A. Project Description:
The project is an existing building with the interior to be "gutted" to structure
and then re-constructed for the City of Paris. The project is a single level police
and court facility consisting of approximately 38,000 square feet of floor area.
This proposal is based on schematic information received from your office on
June 6, 2003 and our recent telephone conversation with a request for design
services similar in scope to the Thornton Justice Center project. M-E Engineers,
Inc. will conform to the City of Parisi Architect agreement as they pertain to the
special systems scope of work as outlined in this proposal.

2. Communications Rooms: Planning and layout design of communications
rooms including telecommunications entrance facility (TEF), equipment
rooms (ER), telecommunications rooms (TR) and closets, and server rooms.
3. Backbone Communications Infrastructure: Design of backbone
communications infrastructure including cable and terminations.
Infrastructure typically consists of multi-mode and single-mode fiber optic
media, and Category 3 copper media. .
4. Horizontal Communications Infrastructure: Design of horizontal
communications infrastructure including cable and terminations.
Infrastructure typically consists of Category 5E and/or Category 6 UTP
copper media. Additionally, multi-mode fiber optic media may be used in
some high speed/bandwidth applications.
5. Communications Hardware: Design of passive installation hardware
components such as equipment racks, backboard, cable managers, ladder
racks, patch cord managers, d-rings, etc. for telecommunications and data
communications.
6. Telecommunications Grounding: Design of a dedicated telecommunications
ground buses, bonding backbone cables, and raceways.
C. Scope of Services:
Provide electrical special systems engineering services for the design of
communications infrastructure. The design process will ensure the system meets
the Owner's requirements and complies with Building Industry Consulting
Services International (BiCSi) and EIAffIA standards. A BiCSi Registered
Communications Distribution Designer (RCDD) will supervise the design.
The following services have been included in our scope of work:
1. Project Meetings: Attend two project meetings in Texas (Dallas or Paris)
during the design phase with the Owner, Architect and Contractor.

3. Construction Documents:

4. Bidding and Negotiation:
a) Make recommendations to the Client and Owner regarding the bids
or proposal received.
b) Answer questions referred by the Client and assist in the preparation
of addenda deemed necessary b the Client.
5. Construction Administration:
a) Review product data submittals.
b) Review shop drawings.
c) Answer questions during construction phase.
d) Provide one intermediate site observation with written report.

e) Provide one final site observation upon construction completion
including punch with fmal observation or punch-list report.

B. Telecommunications Equipment: Design, specification, coordination,
documentation, and commissioning of any telecommunications equipment
including but not limited to handsets, facsimiles, auto-dialers, and modems.
c. Data/LAN Network Equipment: Design, specification, coordination,
documentation, and commissioning of any active network hardware equipment
including but not limited to hubs, switches, routers, bridges, servers, PC's,
computers, workstations, printers, and any other related network component(s).

commissioning of any wireless radio dispatch system including but not limited to

G. Public Address: Design, specification, coordination, documentation, and
commissioning of any public address including but not limited to cable,
terminals, amplifiers, speakers, microphones, and head-end equipment.
H. Sound System: Design, specification, coordination, documentation, and
commissioning of any sound system including but not limited to cable, terminals,
amplifiers, speakers, microphones, head-end equipment, compact disc player,
tape player and radio receiver.
I. Television: Design, specification, coordination, documentation, and
commissioning of any distributed television, main antenna television system
(MATV), community antenna television (CATV), or digital satellite systems
(DSS) including but not limited to cable, terminals, amplifiers, head-end

C. Additional Services:
Any additional services not included with this proposal and/or items specifically
excluded will be compensated on a time basis at our prevailing hourly rate.
Refer to the attached Hourly Rate Schedule for additional information.
IV. TERMS AND CONDITIONS:
A. Reimbursable Expenses:
Reimbursable expenses will be billed monthly at cost for the following: Long-
distance telephone calls; travel costs in connection with the project, including
transportation and subsistence; messenger service; express mail; printing costs
except for the normal exchange during project.
B. Schedule and Continuity:
Fees are based on the assumption that the project will run without interruption
and is scheduled for design completion on or before December 2003. If there are
extended delays beyond our control, we would expect to negotiate with you for
an equitable adjustment of our compensation.
C. Contract Execution:
The Client may execute an AIA standard contract with M-E Engineers, Inc.,
upon acceptance of this proposal. This proposal, along with any other approved
letters outlining our scope of work, will be an appendix to the contract. All
contracts shall be subject to review by M-E Engineers' legal representative prior
to contractual binding of services and fees.
D. Approval: ---------
We must receive a signed copy of this proposal prior to performing substantial
work.
E. Additional Terms and Conditions:

The foHowing Terms and Conditions and the initials required below are a part of this Agreement.
M-E Engineers, Inc. shall perform the services outlined in this agreement for the stated fee arrangement.
Access To Site:
Unless otherwise stated, M-E Engineers will have access to the site for activities necessary for the performance of the services. M-E Engineers wi\1
take precautions to minimize damage due to these activities, but has not included in the fee the cost ofrestoration of any resulting damage.

BillinglPayments:
Invoices for M-E Engineer's services shall be submitted, at M-E Engineer's option, either upon completion of such services or on a monthly basis.
Invoices shall be payable within 30 days after the invoice date. If the invoice is not paid within 60 days, M-E Engineers may, without waiving any
claim or right against the Client, and without liability whatsoever to the Client, terminate the performance of the service.
Late Payments:
Accounts unpaid 60 days after the invoice date may be subject to a monthly service charge of 1.5% (or the legal rate) on the then unpaid balance. In
the event any portion or all of an account remains unpaid 90 days after bi\1ing, the Client shall pay all costs of coHection, including reasonable
attorney's fees.
Indemnification:
The Client shall, to the fullest extent permitted by law, indemnify and hold harmless M-E Engineers, his or her officers, directors, employees, agents
and sub-consultants from and against all damage, liability and cost, including reasonable attorney's fees and defense costs, arising out of or in any
way connected with the performance by any of the parties above named of the services under this agreement, excepting only those damages,
liabilities or costs attributable to the sole negligence or willful misconduct ofM-E Engineers.
Certifications:
Guarantees and Warranties: M-E Engineers shaH not be required to execute any document that would result in its certifying, guaranteeing or
warranting the existence of conditions whose existence M-E Engineers cannot ascertain.
Limitation of Liability:

Verification of Existing Conditions Clause:
Inasmuch as the remodeling and/or rehabilitation of an existing building requires that certain assumptions be made regarding existing conditions, and
because some of these assumptions may not be verifiable without expending additional sums of money or destroying otherwise adequate or
serviceable portions of the building, (the Client) agrees that, except for the sole negligence on the part ofM-E Engineers, Inc., (the Client) agrees to
indemnify and hold M-E Engineers, Inc. harmless from any claims, liability or cost (including the costs of defense) arising or allegedly arising out of
the professional services provided under this agreement.
Termination of Services:
This agreement may be terminated by the Client or M-E Engineers should the other fail to perform its obligations hereunder. In the event of
