A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF PARIS, TEXAS,
ACCEPTING THE PROPOSAL OF HAYTER ENGINEERING, INC. FOR
EIVGINEERING SERVICES TO DEVELOP A MASTER PLAN FOR THE CITY
OF PARIS WASTEWATER TREATMENT PLANT AND AUTHORIZING THE
EXECUTION OF AN ENGINEERING SERVICES AGREEMENT; MAKING
OTHER FINDINGS AND PROVISIONS RELATED TO THE SUBJECT; AND
DECLARIIVG AN EFFECTIVE DATE.
WHEREAS, on September 17, 2008, the City Council of the City of Paris, Texas,
passed City Ordinance No. 2008-029 authorizing the funding for the development of a
master plan for the City of Paris waste water treatment facility; and,
WHEREAS, the City has received a proposal from Hayter Engineering, Inc. to
provide engineering services to develop a master plan for the City of Paris Wastewater
Treatment Plant, for an amount not to exceed $59,785.00, as described in the proposal
attached here to as Exhibit A; and
WHEREAS, it is deemed appropriate that the proposal of Hayter Engineering, Inc. to
provide engineering services for plans and specifications for these projects be approved
and the City Manager be authorized and directed to negotiate and execute on behalf of the
City of Paris a professional services agreement with Hayter Engineering, Inc. in a form
substantially similar to the form attached hereto as Exhibit B.
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF
PARIS, TEXAS:
Section 1. That the findings set out in the preamble to this resolution are hereby in
all things approved.
Section 2. That the proposal of Hayter Engineering for engineering services for the
development of a Master Plan for the City of Paris Wastewater Treatment Plant for an
amount not to exceed $59,785.00, be, and the same is hereby accepted.
Section 3. That the City Manager be, and he is hereby authorized and directed to
negotiate and execute on behalf of the City of Paris an Engineering Services Agreement
with Hayter Engineering, Inc. for plans and specifications for the above referenced water,
sewer and roadway replacement projects, under the terms and conditions and in a form
approved by the City Attorney.
Section 4. That this resolution shall be effective from and after its date of passage.

owes its location to its original development by the US Army to serve Camp Maxey.

Subsequently the plant was transferred to the City of Paris for a nominal sum, which
made it cost-effective to construct the original 5-mile outfall main from the City to the
plant. The plant location has remained the same since the outfall main and lift station
were existing. The master lift station is now in need of serious rehabilitation and/or
replacement, and the existing plant site is substantially occupied by existing structures. It
may be feasible to move the plant closer to the community, or further down Pine Creek.
This section would explore the pros and cons of relocating the plant to different areas
considering the ultimate service area developed earlier in the report.
6. Future influent stren th. City staff collects data regarding the strength, quantity, and
various constituents of the incoming wastewater. An industrial pretreatment ordinance
penalizes industries which contribute waste which differs significantly from the normal
domestic waste. The report would develop a recommendation for the future wastewater
quality which should be used for design of the treatment facilities.
7. Future ep rmit trends. In the late 1970's when the plant was originally developed, the
TCEQ permit required approximately 85% reduction in BOD and TSS parameters. In
subsequent permits these limits were tightened to require 90% removal, and then 95%
removal, of the BOD. In addition to the original parameters the State now limits ammonia
nitrogen in the discharge_ as well as pH and dissolved oxygen. This portion of the report
would involve contact with the TCEQ permit team to determine any future permit
parameters which may need to be considered in the treatment process.
8. Overview of site alternatives. In this section the scenarios which appear lilcely after
consideration of paragraphs 1 through 7 would be compared. These may include a)
remodeling the existing plant; b) construct a new plant at the existing site; c) construct a
new plant downstream along Pine Creek; d) construct a new plant in some other drainage
basin; e) sludge disposal needs; and 0 power requirements for each alternative and access
during flooding.
9. Once site alternatives have been evaluated, process alternatives will be evaluated. It is
likely that the City will remain with some variation of an "activated sludge" process, but
the various types can involve different pretreatment options, tankage aeration systems,
and other options. A series of alternatives would be considered both for the wastewater
itself, and for sludge processing. Preliminary layouts for each of these alternatives would
be developed, together with life-cycle cost projections.
All of the above would be compiled into a written report with illustrations as necessary. The
draft report would be reviewed with the plant staff and be amplified or revised as necessary to
address their concerns. The draft report would be reviewed with the City Council and a final
report would be developed.

works. Prior to his association with Hayter Engineering, he served as an assistant City engineer
and as project representative for an ENR 500 engineering design firm. Mr. Hayter became
associated with Hayter Engineering in 1976, and, since 1986, has served as President of the firm.

AGREEMENT FOR PROFESSIONAL SERVICES
This AGREEMENT is entered into by the City of Paris, a home-rule municipal corporation
hereinafter called " CITY," and HAYTER ENGINEERING, INC., a Texas corporation, acting herein
through a duly authorized officer, herein called "ENGINEER," because OWNER desires
ENGINEER'S services in connection with engineering services for a Master Wastewater Treatment
Plan.
WITNESSETH:
For the mutual promises and benefits herein described, the parties agree as follows:
1. Term of AGREEMENT: This AGREEMENT shall become effective on the day it is
executed, and shall continue in effect thereafter until the services provided for herein have
been performed, or until terminated as provided herein.
2. Services to be Performed bv ENGINEER: Engineer sha11 diligently and timely perform the
services described in the Scope of Services attached hereto and incorporated herein by
reference as Exhibit A. OWNER may request additional services of any type normally
rendered by ENGINEER. These will be called "Additional Services," and compensation shall
be determined as per Section 3(b) hereof.
Basic services during the construction period, if any such services are included in this
AGREEMENT, are understood to be for the time of completion initially specified in the
corresponding construction contract, and services beyond that time, including services as
expert witness or assisting in litigation, or services due to failure of the CONTRACTOR to
complete on time, will be deemed additional services.
3. Compensation of ENGINEER: Owner shall pay ENGINEER as follows:
(a) Master Wastewater Treatment Plan completed per Exhibit A and Scope -
Compensation of ENGINEER shall be per Exhibit B Fees.
(b) CITY shall pay ENGINEER for additional services requested by OWNER, at the
hourly rates on Exhibit C hereto, plus reimbursable expenses.
(c) ENGINEER may submit monthly statements for basic and additional services. These
will be based upon ENGINEER' S estimate of services completed at the time, and
OWNER shall make prompt payments. If OWNER fails to pay ENGINEER within
sixty (60) calendar days of the receipt of ENGINEER' S statement, the amounts due
ENGINEER shall increase at the rate of one percent (1 a month. ENGINEER may,
after giving seven (7) days written notice to OWNER, suspend services until paid.
EXHIBIT a
(d) In the event of termination by OWNER, ENGINEER shall be entitled to payment for
services rendered through receipt of termination notice.
(e) "Reimbursable expenses" include, but aze not limited to, long distance telephone,
postage, equipment, expendables, mileage, subcontractors or special consultants,
freight, testing fees, copies, and blueprints. Where special consultants or
subcontractors are used as additional services, the ENGINEER' S reimbursement
shall include a service charge equal to 5% of the subcontractor's invoice amount.
4. Services to be Performed bp OWNER: OWNER sha11: (i) designate a specific person as
OWNER's representative; (ii) provide ENGINEER with any previous studies, reports, data,
budget constraints, special OWNER requirements, or other pertinent information known to
OWNER; (iii) ensure access for the ENGINEER to properties necessary for performance of
the ENGINEER' S work; (iv) provide legal, accounting, or insurance consultants, financial
advisors or other similar specialists as required for the project; (v) make prompt payments in
response to ENGINEER' S statements; and (vi) respond in a timely fashion to requests from
the ENGINEER. ENGINEER is entitled to rely upon and use, without independent
verification and without liability, all information and services provided by OWNER or
OWNER's appointees, or with respect to buried utilities, the utility providing service in the
project area.
5. Termination: The obligation to provide further services under this AGREEMENT may be
terminated by either party upon ten (10) calendar days written notice, in the event of
substantial failure by the other party to perform in accordance with the terms hereof.
6. Reuse of Documents: All documents prepared by ENGINEER are instruments of service for
the specific project contemplated under this AGREEMENT. They are not intended for reuse
on extensions of that proj ect, or on any other proj ect. Any reuse without written verification
or adaptation by ENGINEER for the specific purpose intended will be at OWNER's sole risk
and without liability to ENGINEER.
7. Notices: Any notices to be given hereunder by either party to the other may be effected
either by personal delivery, in writing, or by registered or certified mail.
8. Sole Parties and Entire AGREEMENT: This AGREEMENT shall not create any rights or
benefits to anyone except the OWNER and ENGINEER, and contains the entire agreement
between the parties. Oral modifications to this agreement shall have no force or effect.
9. Texas Law to Applv; Successors; Construction: This AGREEMENT shall be construed
under and in accordance with the laws of the State of Texas. It shall be binding upon, and
inure to the benefit of, the parties hereto and their representatives, successors and assigns.
Should any provisions in this AGREEMENT later be held invalid, illegal or unenforceable,
they shall be deemed void, and this AGREEMENT shall be construed as if such provision
had never been contained herein.

10. Other Provisions: The parties hereto further agree as follows:
(a) Indemnification. ENGINEER shall release, defend, indemnify and hold CITY and
its officers, agents and employees harmless from and against all damager, injuries
(including death), claims, property damages (including loss of use), losses, demands,
suits, judgments and costs, including reasonable attorney's fees and expenses, in any
way arising out of, related to, or resulting from the services provided by ENGINEER
and to the extent caused by the negligent act or omission or intentional wrongful act
or omission of ENGINEER, its officers, agents, employees, subcontractors, licensees,
invitees or any other third parties for whom Engineer is legally responsible
(hereinafter "Claims"). ENGINEER is expressly required to defend CITY against all
such Claims.
In its sole discretion, CITY shall have the right to approve defense counsel to be
retained by ENGINEER in fulfilling its obligation hereunder to defend and indemnify
CITY unless such right is expressly waived by CITY in writing. CITY reserves the
right to provide a portion or all of its own defense; however, CITY is under no
obligation to do so. Any such action by CITY is not to be construed as a waiver of
Engineer's obligation to defend CITY or as a waiver of ENGINEER's obligation to
indemnify CITY pursuant to this Agreement. ENGINEER shall retain CITY
approved defense counsel within seven (7) business days of CITY's written notice
that CITY is invoking its right to indemnification under this Agreement. If
ENGINEER fails to retain counsel within such time period, CITY shall have the right
to retain defense counsel on its own behalf, and ENGINEER shall be liable for all
costs incurred by CITY.
(b) Any opinion of the probable construction cost prepared by the ENGINEER represents
only his judgment as a design professional and is supplied for the general guidance of
the OWNER. Since the ENGINEER has no control over the cost of labor and
material, or many other factors, the ENGINEER does not imply nor guarantee the
accuracy of such opinions. If the OWNER elects to redesign or rebid the project to
reduce costs, ENGINEER' S services for such rebidding or redesign shall be
additional services.
(c) The ENGINEER has not been retained or compensated to provide design and
construction review services relating to any construction contractor's safety
precautions or to means, methods, techniques, sequences, or procedures required for
the contractor to perform his work, but not relating to the final or completed
structure. The ENGINEER does not in any manner guarantee the performance of the
construction contractors.
(d) ENGINEER will strive to perform services hereunder in a manner consistent with
that level of care and skill ordinarily exercised by members of the profession
currently practicing in the same locality under similar conditions. No other

representation, express or implied, and no warranty or guarantee is included or
intended in this AGREEMENT, or in any report, opinion, document, or otherwise.
(e) Delivery of Electronic Files - In accepting and utilizing any drawings, reports and
data on any form of electron media from the ENGINEER, Owner agrees that such
files are instruments of service of the ENGINEER, solely for this particular Project.
The Owner agrees not to reuse these electronic files for any purpose other than of the
Proj ect. The Owner agrees to waive all claims against the ENGINEER resulting from
any unauthorized changes to or reuse of the electronic files for any other project.
Electronic files furnished by either party shall be subject to an acceptance period of
sixty (60) days. After the acceptance period, the electronic files shall be deemed to be
accepted and neither party shall have any obligation to correct errors or maintain
electronic files.
In the event of a conflict between the hard-copy construction documents and record
drawings prepared by the ENGINEER and the electronic files, the signed and sealed
hard-copy construction documents shall govern.
In addition, the OWNER agrees, to the fullest extent permitted by law, to indemnify
and hold harmless the ENGINEER, its officers, directors, employees and
subconsultants against all damages, liabilities or costs, including reasonable
attorneys' fees and defense costs,.
(f) Independent Contractor. ENGINEER covenants and agrees that ENGINEER is an
independent contractor and not an officer, agent, servant or employee of CITY; that
ENGINEER shall have exclusive control of and exclusive right to control the details
of the work performed hereunder and all persons performing same, and shall be
responsible for the acts and omissions of its officers, agents, employees, contractors,
subcontractors and consultants; that the doctrine of respondeat superior shall not
apply as between CITY and ENGINEER, its officers, agents, employees, contractors,
subcontractors and consultants, and nothing herein shall be construed as creating a
partnership or joint enterprise between CITY and ENGINEER.
(g) No Assignment. ENGINEER covenants and agrees that during the term of this
agreement, the services to be provided hereunder remain the sole responsibility of
ENGINEER, and that ENGINEER shall not during the term of this agreement assign,
subcontract, or in any other way authorize or retain other parties to provide such
services without the express written consent of CITY.
(h) Venue. The parties agree that the laws of the State of Texas shall govern this
Agreement, and that all aspects of this Agreement are performable in Lamar
County, Texas. Exclusive venue for any claim or lawsuit arising out of or related
to this Agreement shall lie in Lamar County, Texas.

11. Amendments to this contract shall be in writing, and be signed by the appropriate authorized
parties for both OWNER and ENGINEER.
IN WITNESS WHEREOF, the parties, having read and understood this AGREEMENT, have
executed such in duplicate copies, each of which shall have full dignity and force as an original, on
the 26th day of May , 2009.

Exhibit A
SCOPE OF SERVICES
The completed plan will be presented as a bound, written report which will identify the current
wastewater treatment capabilities and future treatment needs of the City, and develop location
and design parameters for expanded facilities. The report will include necessary maps and
drawings in multiple copies as needed. The project will begin in April of 2009, and the finished
report will be delivered by April, 2010. Presentations to the Council or staff will be included as
necessary.
The plan will include information as follows:
1. Introduction.
2. Communitv Settin . A description of Paris and Lamar County, to include data which may
be of use in developing new treatment facilities. Typical information would include
historical growth trends, industrial makeup, climatological data, soils information, air and
water quality, and base mapping.
3. Existing Treatment Facilities. This section would include a history of the plant. The
existing treatment plant was deeded to the City in the 1950's as the US Army
decommissioned Camp Maxey. The plant was upgraded in 1971 and in the 1980's. The
City's permit was originally for a secondary treatment limit, which has been enhanced
over the years as environmental constraints increase. Historical influent data will be
tabulated to show trends and to develop a consistent estimate for the strength of the waste
which must be treated. Historical effluent data would be tabulated to show the range of
flows and the efficacy of the existing treatment process. The plant components would be
analyzed to show the capacity of each under current standards, which will allow
identification of "weak links" in the current process.
The master lift station also dates to the City's acquisition of the plant from the US Army.
This section of the report would include overflow and outage history, as well as
maintenance history on the existing facility, and a condition analysis.
Finally, this section would include a summary of observations from interview with the
current operating staff.

4. Future service area and population. This section of the report will develop future
population estimates, in particular utilizing work done by the Pat Mayse Study
Committee for future population and water demands. Consideration will be given to the
City's historic growth trends to develop an idea of the future wastewater treatment service
area.
5. Physiographic relationship of the plant to the service area. The existing treatment plant
owes its location to its original development by the US Army to serve Camp Maxey.
Subsequently the plant was transferred to the City of Paris for a nominal sum, which
made it cost-effective to construct the original 5-mile outfall main from the City to the
plant. The plant location has remained the same since the outfall main and lift station
were existing. The master lift station is now in need of serious rehabilitation and/or
replacement, and the existing plant site is substantially occupied by existing structures. It
may be feasible to move the plant closer to the community, or further down Pine Creek.
This section would explore the pros and cons of relocating the plant to different areas
considering the ultimate service area developed earlier in the report.
6. Future influent stren h. City staff collects data regarding the strength, quantity, and
various constituents of the incoming wastewater. An industrial pretreatment ordinance
penalizes industries which contribute waste which differs significantly from the normal
domestic waste. The report would develop a recommendation for the future wastewater
quality which should be used for design of the treatment facilities.
7. Future permit trends. In the late 1970's when the plant was originally developed, the
TCEQ permit required approximately 85% reduction in BOD and TSS parameters. In
subsequent permits these limits were tightened to require 90% removal, and then 95%
removal, of the BOD. In addition to the original parameters the State now limits ammonia
nitrogen in the discharge as well as pH and dissolved oxygen. This portion of the report
would involve contact with the TCEQ permit team to determine any future permit
parameters which may need to be considered in the treatment process.
8. Overview of site alternatives. In this section the scenarios which appear likely after
consideration of paragraphs 1 through 7 would be compared. These may include a)
remodeling the existing plant; b) construct a new plant at the existing site; c) construct a
new plant downstream along Pine Creek; d) construct a new plant in some other drainage
basin; e) sludge disposal needs; and f) power requirements for each alternative and access
during flooding.
9. Once site alternatives have been evaluated, process alternatives will be evaluated. It is
likely that the City will remain with some variation of an "activated sludge" process, but
the various types can involve different pretreatment options, tankage aeration systems,
and other options. A series of alternatives would be considered both for the wastewater
itself, and far sludge processing. Preliminary layouts for each of these alternatives would
be developed, together with life-cycle cost projections.

All of the above would be compiled into a written report with illustrations as necessary. The
draft report would be reviewed with the plant staff and be amplified or revised as necessary to
address their concerns. The draft report would be reviewed with the City Council and a final
report would be developed.
