A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF PARIS, TEXAS, APPROVING THE BIDS AND AWARDING THE CONTRACT FOR FURNISHING THE LABOR, MATERIALS, AND EQUIPMENT AND FOR PERFORMING ALL WORK REQUIRED FOR GROUNDS MAINTENANCE (MOWING) ON CITY OF PARIS PARKS AND FACILITIES TO THE LOWEST RESPONSIBLE BIDDER; MAKING OTHER FINDINGS AND PROVISIONS RELATED TO THE SUBJECT; AND DECLARING AN EFFECTIVE DATE. WHEREAS, the City Council of the City of Paris did heretofore, advertise for bids for furnishing labor, materials, and equipment and for performing all work required for grounds maintenance (mowing) of City of Paris Parks and Facilities; and WHEREAS, the lowest responsible bid for grounds maintenance (mowing) for the City of Paris Parks and Facilities as shown on the attached bid tabulation, was made by Ray's Lawn Service, 695 N. Cedar, Blossom, Texas, and the contract should be awarded to Ray's Lawn Services in accordance with the unit prices bid and the other terms and conditions set out in the bid documents attached hereto as Exhibit "A"; and, WHEREAS, the form of the Agreement for such Ground Maintenance, included in Exhibit "A" attached hereto, should in all things be approved, and the City Manager should be authorized to execute the same; NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF PARIS, TEXAS: Section 1. That the findings set out in the preamble of this resolution are hereby in all things approved. Section 2. That the bid of Ray's Lawn Services, Blossom, Texas, for the Grounds Maintenance in the City of Paris is hereby accepted as the lowest responsible bid which provides the best value to the City and the contract for grounds maintenance is hereby let conditioned upon said Contractor executing a contract with City and Contractor meeting all of the terms and specifications included in the bid documents attached hereto as Exhibit „A» Section 3. Kent McIlyar, City Attorney . 144 AGREEMENT FOR GROUNDS MAINTENANCE STATE OF TEXAS § § KNOW ALL MEN BY THESE PRESENTS: COUNTY OF LAMAR § THAT, the CITY OF PARIS, TEXAS, a home rule municipal corporation,1351 st Street SE, Paris, TX 75460, (hereinafter called "CITY"), and CHUCK RAY DB/A/ RAY' S LAWN SERVICE 695 N. Cedar, Blossom, Texas (hereinafter called "CONTRACTOR"), do hereby contract and agree as follows: This Agreement shall become effective upon execution by both parties and the effective date shall be the date executed by the Paris City Manager on behalf of the City of Paris. 2. The following documents attached hereto and incorporated herein as Exhibits A, B& C are made a part of this Agreement and shall be referred to collectively as "Contract Documents". Exhibit A Mowing Specifications Exhibit B Notice to Bidders Exhibit C Bid Form submitted by CONTRACTOR 3. The initial term of this Agreement shall begin on the effective date herein and shall end on December 31, 2011. Therefore, the Agreement may be renewed for up to three (3) additional twelve (12) month terms by written agreement of the parties. 4. CONTRACTOR hereby agrees to provide grounds maintenance services for the City of Paris in accordance with the Mowing Specifications attached hereto as Exhibit A, and any amendment thereto, the Notice to Bidders (Exhibit B), and the Contractor's Bid Form (Exhibit C); provided, however, that in the event of perceived conflict or ambiguity among the contract documents, the provisions of this Agreement, the Mowing Specifications, the Invitation to Bid and the Bid Form shall control, in that order. 5. CONTRACTOR shall invoice CITY for work performed under this Agreement (at least once per month during peak mowing season) using the unit prices provided by CONTRACTOR in Exhibit C attached hereto. The CITY will pay for all work performed in accordance with this Agreement and accepted by the CITY within thirty (30) days of receipt and approval of invoice. 6. CONTRACTOR hereby agrees to satisfy all insurance requirements set forth in the Insurance 1 EXHIB{T ~ - ~ 145 Requirements section and Insurance Checklist section of the Mowing Specifications exhibit, attached hereto as Exhibit A, and to require all subcontractors who perform work for CONTRACTOR under this Agreement to do the same. Before commencing any work or operations under this Agreement, CONTRACTOR shall deliver to the City Clerk for the City of Paris, Texas at 150 1 St SE Street, Paris, Texas 75460, a valid and appropriate Certificate of Insurance naming the CITY, as an Additional Named Insured under the above referenced insurance policies. Such Certificate shall contain a provision that coverage afforded under the policy will not be cancelled until at least ten (10) days prior written notice has been furnished to the City. 7. The CONTRACTOR and his sureties shall indemnify, defend and hold the City, its elected officials, officers and employees harmless from all suits, actions or claims of any character, name and description brought for or on account of any injuries or damages received or sustained by any person, persons or property on account of the operations of the Contractor, his agents, employees or subcontractors; or on account of any negligent act or fault of the Contractor, his agents, employees or subcontractors in the performance of said contract; or on account of the failure of the Contractor to provide the necessary barricades, warning lights or signs during the work; and CONTRACTOR shall be required to pay any judgment, with cost, which may be obtained against the OWNER growing out of such injury or damage. The Contractor likewise covenants and agrees to, and does hereby, indemnify and hold the CITY harmless from and against any and all injuries, loss or damages to property of any third parties during the performance of any of the terms and conditions of this Contract, whether arising out of or in connection with or resulting from, in whole or in part, any and all alleged acts or omissions of officers, agents, servants, employees, contractors, subcontractors, licenses or invitees of the City. 8. CITY may terminate this Agreement for any reason upon thirty (30) days written notice to CONTRACTOR. In the event of early termination CONTRACTOR will be paid for all services performed in accordance with the contract documents up to and including the day CONTRACTOR receives notice of termination. 9. CONTRACTOR covenants and agrees that during the term of this agreement, the services to be provided hereunder remain the sole responsibility of CONTRACTOR, and that CONTRACTOR shall not during the term of this agreement assign, subcontract, or in any other way authorize or retain other parties to provide such services without the express written consent of CITY. 10. The provisions of this Agreement are severable. If any paragraph, section, subdivision, sentence, clause, or phrase of this Agreement is for any reason held to be contrary to the law or contrary to any rule or regulation having the force and effect of the law, such decisions shall not affect the remaining portions of the Agreement. During the growing season, all areas listed below will have maintenance performed on a weekly and biweekly basis or on an as needed basis, as determined by the City of Paris appointee far that property. This will include a estimated of twenty six (26) mows per year every 7 to 10 days or as needed for all "A"properties. Seventeen (17) mowings per year every 11 to 21 days, or as needed for "B" properties and twelve (12) mowings per year every three to five weeks for "C" properties Additional mowings could be requested on any of the individual areas to be mowed. Any partial mow or adjustment of property size will reflect a partial payment of same % of adjustment. The Fountain Plaza will be required to be mowed with a push type mower. This schedule may be adjusted due to weather conditions. 2. The City will give three (3) to five (5) days advance notice far mowing any given location when additional mows are needed or any scheduled change. 3. Contractor is responsible for the following: Mow all existing grass or turf on property; weed-eat around all fence lines, trees, tables, pavilions, playground equipment or other applicable structures on property; edge all applicable concrete including curb and sidewalks; remove all clippings; blow dust, clippings and leaves off hard surface areas; trim applicable hedges and shrubs on property (per specifications by the city appointee); remove weeds, debris and leaves from any applicable flower beds. The contractor is also responsible for mowing, trimming and leaf control through the summer months and on an as needed basis through the winter months. 4. Contractor may use Subcontractors to perform up to fifty percent (50%) of the contract. Contractor will be solely responsible for supervising said subcontractors and for obtaining insurance coverage for all subcontractors performing work under this Contract. All subcontractors and equipment must be approved by the City of Paris prior to any work being performed. Contractor must notify us as to who their subcontractor is and provide with proof of insurance. 5. All litter and debris will be removed by the Contractor prior to mowing. No separate pay item will be allowed for litter control. Any paper, cans, or bottles cut or broken during maintenance operations shall be completely removed from the site immediately prior to proceeding with the maintenance of other areas. Contractor is responsible for any cost as result from damage by their employees, equipment ar procedures to facilities during visits. 6. Any area that contains a creek, drainage area or channel shall be mowed or weedeated to conform with rest of property. Trimming around trees, shrubs, fences and all other obstructions will be performed using mechanical devices and/or hand labor when necessary. Weeds growing in cracks of curbing, sidewalks, pavestone and or concrete shall be removed by contractor. 7. Sidewalks and other pedestrian areas must be swept or blown clean after each cycle. It cannot be blown into streets or sewers, it must be picked up. 8. Mowing and trimming of weeds and grass over the entire area is to be completed to specifications before moving to the next property. - 1 151 9. Shrubs and ground covers shall be hedged, pruned, or trimmed by the Contractor on an as needed basis on all contracted City properties during the mowing season. All resultant debris shall be removed by the Contractor at his/her expense. Trimming of large trees will be performed by Park Department personnel and will not be considered part of the Contractor's responsibilities. 10. Contractor shall remove all weeds from flower beds upon every maintenance cycle. This will include weeding the planters on the exterior sidewalks of the plaza. 11. Bidders should include a list of references for whom they have performed grounds maintenance during the past three (3) years. (Page attached to be completed) 12. This contract shall be effective upon execution by the Paris City Manager and will end December 31, 2012. The City will have the option to renew this contract, with contractor's agreement, for three additional twelve (12) month terms with each renewal period beginning January ] s`. Notice of renewal will be given to Contractor within sixty (60) days of the first of the year. 13. Contractor and all subcontractors shall at all times during the initial term of this Contract ar any renewals thereof maintain a policy or policies of insurance which fully meets the requirements of the Insurance Requirements and Insurance Checklist attached hereto as Exhibit "A" and made a part hereof. 14. Contractor must currently own or operate a landscaping company at time of bid submission; and Contractor must own or possess the equipment necessary to perform the work required. No exceptions. A. The Contractor(s) shall provide his/her own equipment, labor, fuel and any other materials necessary to complete the required work. The Contractor(s) shall be responsible for the maintenance and repair of his/her own equipment and the availability, presence and supervision of his/her own employees. B. The Contractor(s) is required to have a competent and experienced supervisor/foreman, with each work group at all times. The supervisor/foreman referred to herein may be a working foreman operating a mower or other equipment. This supervisor/foreman must be able to communicate effectively with the City Representative. All workers employed by contracting company will be subject to a background search. The contractar will submit a list of all current employees with the bid documents. 15. The City reserves the right to request additional mowings on an individual basis as determined by the City of Paris Representative. The City reserves the right to add ar subtract from the quantity or frequency of areas to be mowed as needed and the monthly payments will be adjusted accordingly. 16. In the event Contractor is requested to perform additional mowings (anything over the designated limit per property/park/median) they shall invoice the City separately for this work. But the same day, hour, or property rate for the additional work shall apply. .15~? 17. Bidders are encouraged to contact the Parks Department or the Director of Public Works at (903) 784-9289 for assistance determining property boundaries for mowing and maintenance. Various changes have been made regarding facility boundaries since the last project. 18. The City of Paris reserves the right to reject any or all bids, to waive any informality in bidding, and to award the bid as may be most advantageous to the City. 19. The mowing of all sites shall include the mowing and trimming of all grass and weeds within each area. 20. All property to be mowed will be on mowing list contained in packet. 21. Alternate mowing service may be revised by the City Representative as conditions warrant. 22. Clippings shall not be blown into the street or roadway. Any excessive grass clippings causing piles or wind rows in parks are required to be raked up and removed 23. Care shall be taken to protect trees and shrubs from damage by mowing and trimming equipinent. 24. Turf type tires will be mandatory on all equipment to avoid turf damage and rutting. 25. A shredder will be allowed on once a month properties only. Bidders must use the attached bid form. A pre-bid conference will be conducted on Tuesday, November 22, 2011 at 2:00 pm in the City of Paris Council Chambers located at 107 E. Kaufman, St., Paris, Texas 75460 (The pre-bid conference is not mandatory.) 153 INSURANCE REQUIREMENTS INSURANCE: Review these insurance requirements and the insurance checklist which follows with your insurance agent prior to submitting the Insurance Affidavit and bid or proposal to the City of Paris. 1. General Insurance Reauirements: 1.1 The Contractor shall not start work under this Contract until the Contractor has obtained at his own expense all of the insurance called for hereunder and in the Insurance Check List that follows and such insurance has been approved by the City; nor shall the Contractor allow any subcontractor to start work on any subcontract until all insurance required of the subcontractor has been so obtained and approved by the Contractor. Contractor must submit appropriate certificates of insurance detailing the required coverage before the Contract can be awarded. In certain instances, properly signed policy endorsements and/or certified copies of insurance policies showing the required coverage will be required. 1.2 The Contractor shall require all subcontractors who work under Contractor to maintain during the term of this agreement, policies of insurance providing the same type and amount of coverage as is required of the Contractor. The Contractor shall furnish subcontractors' certificates of insurance to the City immediately upon request. 1.3 All insurance policies required hereunder shall be endorsed to include the following provision: "It is agreed that this policy is not subject to cancellation, non-renewal, material change, or reduction in coverage until ten (10) days prior written notice has been given to the City Manager of the City of Paris, Texas, P. O. Box 9037, Paris, TX 75461-9037." 1.4 No acceptance and/or approval of any insurance by the City shall be construed as relieving or excusing the Contractor, or the surety, or its bond, from any liability or obligation imposed upon either or both of them by the provisions of the Contract Documents. 1.5 The City of Paris (including its elected officials, officers and employees) are to be named as an additional insured under all insurance policies under this Contract except Workers' Compensation, and the certificate of insurance, or the certified policy, if requested, must so state. Coverage afforded under this paragraph shall be primary as respects the City, its elected officials, officers and employees. - 154 1.6 Contractor shall provide insurance coverage for this contract and/or project as specified in the "Insurance Checklist" attached hereto. Full limits of insurance required by the checklist attached shall be available for claims arising out of this contract and/or project. 1.7 Contractor covenants to save, defend, hold harmless and indemnify the City and its elected officials, officers and employees (collectively the "City") from and against any and all claims, loss, damage, injury, cost (including court costs and attorney's fees), charges, liability or exposure, however caused, resulting from or arising out of or in any way connected with the Contractor's performance or non-performance of the terms of the Contract Documents or its obligations under the Contract. This indemnification shall continue in full force and effect until the Contractor completes all of the work required under the Contract, except that indemnification shall continue for all claims involving products or completed operations after final acceptance of the work by the City for which the City gives notice to the Contractor after the City's final acceptance of the work. 1.8 Contractor shall be responsible for the work performed under the contract and every part thereof, and for all materials, tools, equipment, appliances, and property of any and all descriptions used in connection with the work. The Contractor assumes all risks for direct and indirect damage or injury to the property or persons used or employed on or in connection with the work contracted for, and of all damage or injury to any person or property wherever located, resulting from any action, omission, commission or operation under the Contract, or in connection in any way whatsoever with the contracted work, until final acceptance of the work by the City. 1.9 Insurance coverage required in these specifications shall be in force throughout the Contract Term. Should the Contractor fail to provide acceptable evidence of current insurance within three (3) business days of written notice at any time during the Contract Term, the City shall have the absolute right to terminate the Contract without any further obligation to the Contractor, and the Contractor shall be liable to the City for the entire additional cost of procuring perFormance and the cost of performing the incomplete portion of the Contract at time of termination. 1.10 Contractual and other liability insurance provided under this Contract shall not contain a supervision, inspection or engineering services exclusion that would preclude the City from supervising or inspecting the project as to the end result. The Contractor shall assume all on-the-job responsibilities as to the control of persons directly employed by it and of the subcontractors and any persons employed by the subcontractor. 155 1.11 Nothing contained in the specifications shall be construed as creating any contractual relationship between any subcontractor and the City. The Contractor shall be as fully responsible to the City for the acts and omissions of the subcontractors and of persons employed by them as it is for acts and omissions of persons directly employed by it. 1.12 Precaution shall be exercised by the Contractor at all times for the protection of persons, (including employees) and property. All existing structures, utilities, roads, services, trees and shrubbery shall be protected against damage or interruption of service at all times by the Contractor and its subcontractors during the term of the Contract, and the Contractor shall be held responsible for any damage to property occurring by reason of its operation on the property. 1.13 All required insurance coverage must be acquired from insurers authorized to do business in the State of Texas and acceptable to the City. The City prefers that all insurers also have a policyholder's rating of "A-" or better, and a financial size of "Class VI" or better in the latest edition of A.M. Best, or A or better by Standard and Poors; exceptions to this policy may only be approved in writing by the City Manager or City Finance Director. 1.14 The City will consider deductible amounts as part of its review of the financial stability of the bidder. Any deductibles shall be disclosed in the Checklist and all deductibles will be assumed by the Contractor. ContractorNendor may be required to provide proof of financial ability to cover deductibles, or may be required to post a bond to cover deductibles. 2. Contractor's Insurance - "Occurrence" Basis: 2.1 The Contractor shall purchase the following insurance coverage, including the terms, provisions and limits shown in the Checklist. 2.1.1 Commercial General Liability - Such Commercial General Liability policy shall include any or all of the following as indicated on the Checklist: General aggregate limit is to apply per project. ii.
