2012-019 RES APPROVING/AUTHORIZING PROFESSIONAL SERVICES AGREEMENT WITH MODELS OF THE MAKERRESOLUTION NO. 2012-019 A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF PARIS, TEXAS, APPROVING AND AUTHORIZING A PROFESSIONAL SERVICES AGREEMENT WITH MODELS OF THE MAKER TO PERFORM CERTAIN SPECIALIZED SERVICES TO THE CITY OF PARIS AND ITS CITIZENS; MAKING OTHER FINDINGS AND PROVISIONS RELATED TO THE SUBJECT; AND DECLARING AN EFFECTIVE DATE. WHEREAS, Models of the Maker, hereinafter referred to as Service Organization, possesses certain specialized expertise, personnel, equipment, and training necessary to provide certain community based specialized services unique to said organization and unavailable from any other readily available source; and, WHEREAS, the City of Paris, hereinafter referred to as City, desires to enter into a Professional Services Agreement with the Service Organization to provide partial funding to the Service Organization; and, WHEREAS, the Service Organization will provide certain specialized services to the community that will benefit the City by: 1) providing specialized services to the community for which the City has limited or no expertise; 2) providing specialized services in a more efficient manner and at a lower cost; 3) providing specialized services under a recognized name and as a recognized source in the community for specialized expertise in the area of said specialized services; and, WHEREAS, the City Council finds and determines that contracting with said Service Organization will benefit the general health, safety, and welfare of the citizens of the City of Paris in furtherance of a public purpose; NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF PARIS, TEXAS: Section 1. That the findings set out in the preamble to this resolution are hereby in all things approved. Section Z. That the Interim City Manager is hereby authorized to execute and the City Clerk to attest to a Professional Services Agreement, by and between the City of Paris and Models of the Maker for the performance of certain specialized services as set out in said Agreement, a copy of which is attached hereto and incorporated herein as Exhibit „A„ Section 3. Kent M ity Attorney PROFESSIONAL SERVICES AGREEMENT BY AND BETWEEN THE CITY OF PARIS AND MODELS OF THE MAKER STATE OF TEXAS § § COUNTY OF LAMAR § This Professional Services Agreement, hereinafter referred to as the "Agreement," entered into by and between the City of Paris, a home-rule municipality with its offices located at 135 First Street S.E., in the City of Paris, Lamar Gounty, Texas, hereinafter referred to as "CITY" and Models of the Maker whose offices are located at 777 Bonham Street, P.O. Box 87, in the City of Paris, Lamar County, Texas, hereinafter referred to as "SERVICE ORGANIZATION". WITNESSETH WHEREAS, SERVICE ORGANIZATION possesses certain specialized expertise, personnel, equipment, and training necessary to provide certain community-based specialized services unique to said organiaation and unavailable froin any other readily available source; and, WHEREAS, CITY desires to enter into a Professional Services Agreement with the SERVICE ORGANIZATION to provide such specialized services to City of Paris and its citizens; and, WHEREAS, the Service Organization will provide certain specialized services as described herein and as further described in the Service Organization's mission statement to the community that will benefit the City by: 1) providing specialized services for which the City has limited or no expertise; 2) providing specialized services in a more efficient manner and at a lower cost; 3) providing specialized services under a recognized name and as a recognized source in the community for specialized expertise in the area of said specialized services; and, WHEREAS, the City Council finds and determines that contracting with said SERVICE ORGAMZATION will benefit the health, safety, and welfare of the citizens of the City of Paris in the furtherance of a public purpose; NOW, THEREFORE, FOR AND IN CONSIDERATION OF THESE PREMISES, and the mutual consideration as set out herein, CITY and SERVICE ORGANIZATION agree as follows: 1. Scope of Services SERVICE ORGANIZATION agrees to provide the following services as set forth in more detail in the Request for Funding documents attached hereto and incorporated herein as Exhibit ``A" to CITY and its citizens during the term of this agreement: EXHOT.N Models of the Maker provides food, shelter, essential transportation, life skills training and other related services for needy women and children from the community. II. Funding For and in consideration of these services, CITY agrees to reimburse SERVICE ORGANIZATION for capital expenditures only until a cumulative reimbursement amount of $10,000.00 is reached. SERVICE ORGANIZATION will be reimbursed within thirty (30) days following receipt and approval of a receipt for a verified capital expenditure. Said receipt/invoice shall be in a form and contain such information as CITY shall require. Upon receipt of the aforesaid verified receipts, SERVICE ORGANIZATION shall be obligated to provide said services throughout the term of this Agreement. III. Reporting No later than ninety (90) days prior to the termination of this Agreement as provided herein, SERVICE ORGANIZATION shall provide to CITY the following information in writing: A financial statement, in such detail and containing such information as CITY shall require; 2. A report of the number of citizens of the City of Paris served and directly benefitted by the services provided under this Agreement during the previous nine (9) months of services, or such other similar information as the CITY shall require; 3. A projected scope of services and cost projection for performance for the same or similar services on behalf of CITY for an additional one year of service, should CITY desire to renew this Agreement with SERVICE ORGANIZATION at the end of the contractual term; 4. Any other infonnation which CITY may reasonably require. IV. Agreement Term This Agreement sha11 begin on October l, 2011 and end on September 30, 2012. V. Termination. This Agreement may be terminated by either party hereto at any time upon ten (10) days written notice of termination to the other party. Such notice may be delivered personally to the address shown in this agreement or by forwarding said notice to the other party by certified mail, return receipt requested and shall be effective ten (10) days following receipt thereof by the other party. If the SERVICE ORGANIZATION terminates the Agreement prior to providing all the services required herein, the SERVICE ORGANIZATION shall refund that portion of the funding received ($10,000) on a pro rata basis. VI. Release/Indemnification By entering into this Agreement, the SERVIGE ORGANIZATION expressly agrees to defend, indemnify and hold the City of Paris, Texas and its officers, agents and employees harmless from and against all damages, injuries (including death), claims, property damages (including loss of use), losses, demands, penalties, suits, judgments and costs, including attorney's fees and expenses, in any way arising out of, related to, or resulting from the SERVICE ORGANIZATION"s activities or services provided under this Agreement and/or caused by the negligence, errors, omissions or intentional wrongful acts of the SERVICE ORGANIZATION or the SERVICE ORGANIZATION's owners, officers, employees or agents. VIL Independent Contractor SERVICE ORGANIZATION shall be considered for all purposes under this Agreement an independent contractor, and not an employee, agent, or other representative of CITY. Nothing in this Agreement shall change the SERVICE ORGANIZATION's independent contractor status or create any kind of joint enterprise between the SERVICE ORGANIZATION and the CITY. VIII. Miscellaneous This Agreement may be assigned by SERVICE ORGANIZATION only with the express written consent of City Manager of the City of Paris, Texas. SERVICE ORGANIZATION and CITY agree that the services provided under this Agreement are to be performed in Lamar County, Texas, and venue for any and all legal actions arising under this Agreement, if any, shall lie exclusively in the State Courts of Lainar County, Texas and in the Federal Courts for the Eastern District of Texas. This Agreement, and every provision hereof, shall be considered severable, and the invalidity or partial invalidity of any section, clause, or provisions of this Agreement shall not affect the validity of any other portion of this Agreement. This Agreement shall be interpreted exclusively under the laws and ordinances of the State of Texas and the City of Paris. EXECUTED this 27th day of February, 2012. Implemented in 2004, our transitional housing project is a three-pronged effort to provide homeless women and children with safe, afFordable housing as they are transitioned to independent living. Ryan's Heart Teen Facility, a project focused on homeless teens, was established in 2007. Named after Ryan Fletcher, deceased son of Models of the Maker Founder Cindy Bowlin, the facility was his vision to assist homeless teen boys in rural Northeast Texas. Our facilities provide emergency and long-term housing to low-income women and children in need. This is the first step in breaking the cycle of homelessness in rural Lamar County, Texas. Mission: The mission of our organization is to provide a safe, home-like shelter for homeless women and children. Suppartive services such as education assistance, employment counseling and job placement aid in the goal of empowering each woman to prevent future homelessness by finding a permanent home through basic skills development and independent living. Specific program objectives include: Increase the number of women and their children who are able to maintain a stable living environment after receiving shelter and assistance to find housing. Increase the number of women and their children who obtain and continue employment as a result of agency involvement, Increase the number of women and their children who are provided financial counseling and training and who are maintaining a stable balance and no longer accessing community resources. Increase the number of women and their children who obtain Education Assistance and obtain a GED, Associates Degree, level of training as a result of agency involvement. 1of3 Models of the Maker Organizational Summary Current Programs and Accomplishments: Models of the Maker, the only local shelter open to women and children, provides services through two home-like facilities in Paris, Texas. Last year, Models of the Maker served over 257 women on a long-term basis (more than a week). Additional programs/accomplishments include: • Models of the Maker places strong significance on getting women back to work and finding stable, long-term housing in order to prevent future homelessness. Each Monday, clients create a job/home search plan including contacts they intend to make such as subsidized housing, workforce commission or area schools. Fridays, the clients turn in a list of actuat contacts made to receive incentive tickets to be used once a week in the shelter's incentive store. • Another program implemented to teach responsibility and pride in one's home is the Clean Room Contest. Held each week, the client who best maintains her room, adheres to all house rules and participates in housing work projects receives a$5 Walmart gift card. • Direct assistance to clients includes: shelter, food, employment counseling, mentoring, financial counseling and training, education counseling, parenting skills classes, referrals for medical care and other assistance, transportation, permanent housing placement and referral to agencies who provide government-assisted funding for utilities, rent or mortgages to help prevent homelessness. • In an effort to teach clients about serving others and helping those in need, Models of the Maker has a monthly feeding program and diaper give-away. Additionally, a community closet for fire victims/displaced persons and an annuat coat drive is run by Models of the Maker clients. Also, an in-house choir sings at benefits in the area. • To encourage self-respect in clients and to help them become more well-rounded, the following are offered: Celebrate Recovery, a recovery program designed to help those struggling with emotional hurts and physical addictions by showing them the loving power of Jesus Christ; nutrition classes, cooking classes, beauty shop and chapel. Individuals from the community who are proficient in administration, finance, cooking, housekeeping, counseling, parenting, etc., are catled upon thereby reducing overhead expenses. Extensive financial support comes from the community including churches, organizations, businesses and individuals. The clients themselves pitch in to help to support this much-needed program. Examples of local industry support includes Campbell Soup which provides in-kind food, Kimberly Clark which provides diapers and Ocean Spray which provides juice. Models of the Maker is a current member of the North Texas Food Bank which supplements food for our program. Service Demographics: Our organization is dedicated to serving the `invisible' rural homeless women and children. Many of the women we serve are just coming out of jail/prison, drug rehab or mental health facilities and have no other place to live until they can find a job and get back on their feet. Additionally, many of them are desperately trying to keep custody of their children and must provide a safe, stable environment for them. Models of the Maker is located in Paris, Lamar County, Texas, a small, rural, relatively economically-depressed area. The median household income based on a 2000 U.S. Census Bureau estimate is $34,916 as compared to the national average of $44,334. According to the U.S. Census of 2000, Lamar County has a population of 48,800 persons. Out of this population, 19.6 percent have been classified as living below the poverty threshold . almost a fult three percent above the national average of 16.7 percent. Data indicates that 30.2 percent of Lamar County children live below the poverty threshold, which is over seven percent higher than the national average at 23.6 percent.
