DAMAGES TO ADtTOINING, ABUTTING AND OTHER PROPFRTY, AND FOR EXPENSES IlV CONNECTIOIV
WITH ANY CIAIM OR SUIT THEREdF; AND DECLARING AN EMERGIIVCY AND PROPIDING THAT THIS
ORDINANCE SHALL BE EFFEC2'NE FROM AND AFTER ITS PASSAGE.
WHEREAS, the public convenience, safety and neceaeity of the city, and tha
peopl6 of the city require that the portion of _State Ag.hwa.y-24 .(as- afinmn-on.-tla-. -
serioue in
be constructed. Since the exieting etreet conetitutes a danger and -

convenience to the public, it ie urgently required to be remedied; and
WHEREAS, the city hae requeatdd the State of Texae to contribute finsncial-
ly in the etreet project; and
WHEREAS, thd Statd of Texas hae made it known to the city that it will
assist the city in the etrdet pro,ject by furniahing the neceesary funds for actual
construction, reconstruction and maintdnance; and by eupervising conatruction, pro-
viding the city approvae the plane, gradee and alignment for said project; and
WHFREA,S) the city, in conaideration of the providing of eaid por,ject,
agrees to indemnify the State of Tbxae againet all damagbs or claime for damage to
ad,joining, abutting or other property for which the State is liable, ariaing out
of, incident to, and in any way connected with the install.ation, the __conetruc-
tion, the exiatence, the uee and maintenance of the street project or the paasage
ar.d enforcement of this ordinance.
NOW THEREFORE, BE IT ORDAINED BY THE CITY COUNCIL:
SECTION 1. That since the public eonvenience, eafety and neceeeity of the
city and the people of the city r9quire it, said atreet ahall be _constructed.
SECTION 2. That the State of Texae be and is hereby authorized to enter
upon _ conetruct and naintain the street project at the location and in the manner
ehown on the plane, attached hereto and marked "Exhibit A" and made a part hereof
in all respecte.
SECTIOTd 3. That nothing in thie ordinance shall be construed to obligate
the State of Texae to pay any direct, incidental, or coneequental damages to
adjoining, abutting or other property in en#'orcement of thie ordimmnce or by
reason of the installation, _ _conatruction, existence, uae and maintenance of
the etreet project authorized herein.

SECT20N 4. For and in conAidexation of the mutuel covenante herein con-
tained, the c3ty doea hereby agree to indemnify the State of Texae againet all
damagea and claime for damages to adjoining, abutting, or other property for which
the State of 'Texae ie liable, arieing aut of, incidant to, or in ar~y way connected
with the inetall,ation, the_._,..,,conetruction, exietence, use and maintenance of said
etreat project and does herehy agree to indemnify the State of Texas againet all

SECTION S. Nothing contained herein shall ever be construed to place upon
the State of Texae any manner of liability for injury to or death of pereone or for
damagee to, or loea of property aria ing out of or in any manner connected with the
maintenance or uee of the etreet project and the city will save the State of Texas
harmlese from an,p damagee arieing out of said maintenance and/or uee of eaid etraet
prdJect.
SECTION 6. The Mayor of the city Be and ie hereby authorized to execute
for and an behalf of the city an agreement and contract with the State of Texae in
accordance with and for the purpoee of carrying out the terme and prdviaione of
thie ordinance, in the form attached hereto and marked "Exhibit B", The City
Secretary ie hereby directed to attast tha agrsement and contract and to affix the
proper eea 1 of the city hereto.
SECTION 7. The 14ayor of the cit9, having requested in writing thst this
ordinance take effect f orthwith and there being in fact an amergency and imperative
neceseity that the work herein pravided for be"bagun and carried out promptly and
with expedition and that the contract aforesaid shall be imediately msda, executed
anci delivered to the end that euch work herein provided for may ba begun arld .

A G R E E M E N T
Now therefore, in consideration of the Rremises and of the mutual covenants
and agreemente of the parties hereto te be by them respectively kept and performed
as hereinafter set forth, it ie agreed as follews:
The State, a3 its contribution to the improvement of said street project,
wi11 prepare or provide for the p lans and specifications, advertise for bids, and
let the construction contract, or otherwise provide f or the construction, and will
supervise the conetruction, recongtruction or better•ment work as required by said
plans, and will pay the cost of those iteme indicated on the plans as to be paid
for by the State.
As long ae ±he city street is a designated highway, the Stato will maintain
said_ street project except those portionU as may be made the City's obligation as
mutually agreed to by the parties hereto.
The State will maintain said street project or such portions thereof or
~xtensions thereto as may be indicated on said plans for State maintenance, and
such other portions as may be mutually agreed to by the parties hereto•
The City, in consideration of the mutual r.ovena.nts herein contained, does
hereby agree to and does hereby authorize tha State to impr`ve or assist in the
improvement of said street project at the location, to the grades and in the
manner shown on the plans, which plans wrien approved by bcth partieg hereto will
be attached hereto, marked "Exhibit A" and become a part hereof in a11 respects•
The City will provide for said stre--)t project a right of way free of all
obetructions and of a width sufficient to properl,y provide for the improvements
shown on the plans, without cost to the State and will not, in the future, permit
encroachments on said right of way.
The City will provide at its own expense for the installation, raising,
lowering, removal or other necessary adjustment of any and all utilities or
sArvices, whether publicly or privately owned, as may be necessary to permit
proper improvement, maintenanee and use of said street project, and, failure of
the City to promptly carry out this provision upon the written request of the
^nSineer shall, if such delay results in additional expense to the State, be the
zirect charge and ob1igation of the City:
The City agrees to pa.y to the State promptly the cost of making repairs to
,he subgrade or surfacing made necessar,y by reason of the installation, repair,
raiaoval, or a djustment or an.y such publicly or privately owned utilities or
se.rvi:,es, which ma,y occur after the completion of the street pro ject .
The City agree•s that it will refrain from passing an ordinance fixing a
speed limit on the above rnentioned street pro ject of under twenty (20) rriil.aa per
hour nor will it allow the erection of signs, semaphores and/or signals that will
<ive preference to local routes which intersect with the said street project, ne~•

It is underetood and agreed between the parties hereto that the City by
virtue of the provigions of its charter and the laws of the State of Texas has
exclusive control of and jurisdiction over all streets and public ways within
th-n inccrporate d limits, of such city and that the City has requested and consented
to the constructiori oi the above street project hereiriabove named and the State
in the construction of tllv above street project does so at the specia 1 instance
and request of the City. The locatien, t;rades and manner of construction shown
cn the plarls attachcd he.reto a.nd marked "Exhibit A" are mar'e a part hereof. • In
case c)f conflict between this agreement ;~.nd said plans, the plars shall govern•
Nothin~g in this agreement shall be --onstrued to place any liability on the
Cit.y for personal injury arising out of the construction of such street project.
It is understood and agreed betwoeri the parties hereto that all obligation
of the State, created 1ierein, to mainta.in the here.inabovE dascribed street proj-
~ct shall e.nd and terminate if and when the Stata shall aba,ndony cancel or re-
locate such dasignation.
It is further understood and agreed between the parties hereto that the
ituprovement and/or maintenance of the above project bv tho State is for the sole
purpose of providi:g the travelling public a mora adequate travel facility and
shall never be the laasis of any claim for State assumption, or participation in
the payment, of an,y of the obligations nf the City incurred in the improvemcnt,
past or present, of any street projecte
