83-032 RES COP IS SUCCESSFUL APPLICANT FOR COMM DEV BLOCK GRANT FUNDSRESOLUTION NO. 83-032 WHEREAS, the City of Pari_s, Paris, Texas is a successful applicant for Community Development Block Grant funds which include a portion to be used for housing rehabilitation; and, WHEREAS, the City Council is desirous of contracting for the administration of the housing rehabilitation activ- ities with RIM Enterprises, Inc. upon the terms and conditions contained in Exhibit "A" attached hereto; NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF PARIS, that the Mayor of the City of Paris, Joe Graham, be and he is hereby authorized and directed to execute on behalf of the City of Paris the Professional Services Contract with RIM Enterprises, Inc, to administer the housing rehabilitation activities for Community Development Block Grant B-82-DH-48-0036 for the City of Paris upon the terms and conditions and in t.he form of Exhibit A attached hereto. Jones, Jr., P.O. Box 881, to as Consultant do contract KNOW ALL MEN BY THESE PRESENTS: ~ . _ . The City wishes to procure and the Consultant desires to provide professional services for the purpose of administering the Housing Rehabilitation Activities for Community Development Block Grant B-82-DH- 48-0036, hereinafter referred to as Project, in compliance with the U.S. Department of Housing and Urban Development regulations for which the City agrees to pay as hereinafter stated. 2. The professional services to be provided by the Consultant are as follows: A. Hausing Rehabilitation Admiriistration - The Consultant will provide services necessary for the proper administration of all aspects of the housing rehabilitation c;omponents of the Community Development Block Grant Program. These services will include but are not necessarily limited to the f~ollowing: l. Housing Rehabilitation (Grants) - As defined in the Community Development Block Grant Application, a minimum of 46 (forty-six) owner-occupied housing units shall be rehabilitated to Department of Housing and Urban Development (HUD) minimum housing quality standards. This activity shall be arranged and coordinated by the Consultant regarding solicitation and qualification of applicants, assessment of work required to bring each unit to minimum standards, and acquisition of qualified Contractor(s) for the accomplishment of the work. Attachment A provides a detailed scope of required services. 2. Rental Rehabilitation Loan Leveraging - The Consultant shall undertake all administrative functions to successfully implement the Loan Leveraging Program as specified in Attachment A. 3. Emergency Repair Prograiri - The Consultant shall undertake all administration and rehabilitation functions to successfully implement the Emergency Repair Program as specified in Attachment A. 4. Be available to the City as needed depending on the work load, provide on-site monituring of program to insure proper exe- cution, and shall be r•equired to attend all necessary meetings, hearing, and forum per•taining to appropriate program involvement. 5. Keep the City advised of pertinent regulations and program guide- lines which govern pragram administration. 6. Other related functions as may be required to fulfill the obligations of the CDBG program. 3. Compensation A. The City shall pay, and the Consultant agrees to accept as full compensation for services to.be performed under this contract, fees as outlined below. Owner-occupied Housing Rehabilitation:------- $ 34 500 (46 units at $750 per unit) , Renter-occwpied Housing Rehabilitation------- 8 500 (20 units at $425 per unit) , Emergency Repai rs:------ 3 000 (30 units at $100 per unit) , Total---------- 46,000 B. The maximum amount payable to the Consultant under this contract, without modification shall be a sum not to exceed $46,000 (Forty- six Thousand Dollars), subject to the requirements stated herein. Units in excess of the City's goal for housing rehabilitation, as specified in the City's CDBG application, shall be compensated at the rate as specified above. 4. Method of Payment The Consultant shall submit morithly statements for Services rendered. The statements will be based upon the Consultant's actual record of labor, travel, and miscellaneous expenses which shall be documented and attached to the statement. Statements shall be submitted by the 30th afi the month following services rendered. City will pay statements within 10 days. 5. Termination of Contract A. The contract may be terminated by any of the following conditions: 1. Mutual agreement and consent of both parties thereto. 2. Written notice by the City to the Consultant as a consequence of failure by the Consultant to perform the services herein set forth in a satisfi'actory manner arid within the limits provided, proper allowances being made for circumstances beyond the control of the Consultant. 3. By either party, upon the failure of the other party to fulfill it's obligations as set forth herein. 4. By satisfactory completion of all services and obligations described herein. B. Should the City terminate this contract as herein provided, no fees other than fees due and payable at the time of termination, shall thereafter be paid to the Consultant. Payment for work at term- ination will be based upon work completed at that time. 6. Ownership of Documents Upon completion or termination of this contract, all documents prepared by the Consultant or furnished to the Consultant by the City shall be delivered to and become the permanent property of the City. 7. Personnel, Equipment and Material A. The City shall furnish to the Consultant certain items and services to aid in the performance of administrative services for the Project. More specifically, these are as follows: 1. Office space complete with file cabinet where the Consultant shall keep a duplicate file of all written work performed on the Project. 2. Clerical assistance for• the Project if time and circumstance prohibits performance at Consultants Office. 3. The use of office copy machines as needed for the Project. B. All employees of the Consultant shall have such knowledge and experience as will enable them to perform the duties assigned them. 8. Conference At the request of the City of Consultant, conferences shall be provided at the City's office. 9. Compliances with Law The Consultant shall comply with all Federal, State and local laws, statutes, ordinances, rules and regulations, and the orders and decrees of any courts, or administrative bodies or tribunals in any matter affecting the performance of thas contract, including, without limitation, workmen's compensation laws, minimum and maximum salary ahd wage statutes and regulations, and licensing laws and regulations. When required, the Consultant shall furnish the City with satisfactory proof of his comp- liance therewith. ATTACHMENT A C. D. B. G. SCOPE OF SERVICES A. Housing Rehabilitation: Grants B. C 1. Call Housing Board for review and approval. 15. Process settlements. Conference w/owner, contractor and City representative to sign Rehabilitation contract, notice to proceed - award contract 16. Draw down HUD Funds to City account. 17. Transfer funds to escrow account. 18. Transfer escrow funds to interest bearing account. 19. Perform interim inspection. 20. Perform final inspection with owner, contractor, City Building Inspector. 21. Prepare punch list if necessary. 22. Perform close-out: aid owner in awarding contractor payment after warrantys, releases and certification have been obtained. 23. Perform Post Construction inspection 24. Compliance The Consultant shall comply with the regulations of the Department of Housing and Urban Development as they relate to non-discrimination and other requirements. 11. Successors and Assiqns The City and the Consultant each bands himself, his successors, ex- ecutors, administrators, and assigns to the other party, this agreement and all related convenants. Neither the City or the Consultant shall assign, sublet, or transfer his interest in this agreement without the written consent of the other. 12.
