2095 RES CITY COUNCIL PASSED ORD NO 2569 WITH AUTHORIZED ISSUANCE OF INTEREST BEARING CERTIFICATES OF OBLIGATIONRESOLUTION N0. 2095
WHEREAS, the City Council of the City of Paris did
heretofore pass Ordinance No, 2569, which authorized the
issuance of interest bearing Certificates of Obligation
for the parpose of paying, in whole or in part, contractual
obligations for improvements and extensions to the City's
sewer system and for paying all or a portion of the legal,
fiscal and engineering fees in connection with said project;
and,
WHEREAS, it is deemed advisable by the City Council to
enter into contracts for professional services with Hayter
Engineering, Inc., and Rauscher Pierce Refsnes, Inc., which
contracts will be paid, in whole or in part, from the pro-
ceeds from the sale of the City of Paris Certificates of
Obligation authorized this date by Ordinance i1o,2569 in the
form attached hereto respectively as Exhibit A and Exhibit B.
Said Exhibit A being an addendum to the contract for engineer-
ing services between Robert B. Hayter, d/b/a Hayter Engineering
and the City of Paris dated August 13, 1970; NOW, THEREFORE,
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF PARIS,
That the Mayor of the City of Paris, Michael E. Malone, be,
and he is hereby authorized and directed to execute the
contracts with Hayter Engineering, Inc., and Rauscher Pierce
Refsnes, Inc., for professional services in connection with
improvements and extensions to the sewer system of the City
of Paris, in the form shown in Exhibit A and Exhibit B
attached hereto.

Part I. PARTICS AND PROJECT
A. The term "Engineer", is hereby def.ined to mean
Hayter Engineering, Incorporated, a professional
corporation duly constituted and licensed under
the laws of the State of Texas.
B. The Engineer sha11 perform the basic services as
set forth herein and referred to in The Facility
Plan ~Ste_p1 Wastewater ~F_acili~ty _Im?rovements
1248-and ate anuary 11 , I9$r, as prepared
by hayter Engineering, Inc. for the charges set
forth herein.
It is specifically understood and mutually a~reed
to by the parties tiereto that all or any par of
the cost of these services are to be paid from the
proceeds o f the sale o f Cert if icates of Obl igat ion
authorized to be issued by City of Paris Ordinance
iio. passed April 13, 1981.
C. The services to be performed in this design phase shall
confcrm to tYie buidelines, rules and regulations as set
forth in the City's Step 2 application kit for the grant-
in-aid, CG-188 (Rev. 9/79).
D. '1'he City's acceptance of its Step 2 grant-in-aid offer
from the Environmental Protection Agency shall be the
Engineer's authorization to proceed with his services
herein.
E. The City Coutlcil of the City of Paris has specifically
authorized its Playor to execute this agreement on behalf
of Lhe City at a duly called publ:i.c meeting the 13th day
o f April, 1981.

Part III. TERNIS AND CONDITIONS
Article 1. Engiileers Services
I.I. Basic Services - The Engineer agrees to perform
professional services in connection with the Project,
as set forth below and contained wi.r_hin this Agreement.

structural, mectianical, electrical, architectural, tech-

1.1.1 Consult with the Owner to ascertain the Owner's re-
quirement for tlie Pro ject .

1.1.2 Advise the Owner as to the necessity of his obtaining addi-
tion<i1 services such as described within Article 111.1.2
and 111.2. If Engineer is authorized by the Owner, he
shall provicle or assi.st Uwner in procuring such addi-
tional services.
1.1.3 Design, Construction Plans, Specifications and Documents
(Eligible) - All work items listed in 1.1.3.1 thru 1.1.3.6.
1.1.3.1 Prepare the required contract technical specifications as
typed originals on plain paper (8-2" x 11"). The technical
specifications shall be unrestrictive insofar as the
approved Facility Ylan design concept permits.
1.1.3.2 Yrepare the required contract forms and documents com-
prising the preamble and general conditions of the con-
struction contract documents including proposal forms,
notice to bidders, infarmation for bidders, standard
form of agreement, performance and payment bond forms,
certificate of owner's attorney, general conditions of
agreement, WBE and r1BE requirements, and related.contract
document requirements furnished by governmental author-
ities having jurisdiction over the 1_roject and requiring
the iric lus ion of suctl documents.
1.1.3.3 Prepare detailed contract drawings in pencil and/or ink
on 24" x 36" rlylar film or vellum for the authorized
construction in sufficient detail to allow knowledgeable
contractors and suppli_ers to reasonably ascertairt the
work involved itl the project, including sites, permanent
and construction easernent requirements.
1.1.3.4 Furnistl five copies of the construction plans and con-
tr<<ct documents for the Owner's review, approval and use
in securing approval from appropriate governmental
author ities .
1.1.3.5 Secure 100-year floodplain elevations from the Corps of
Enginecrs.
1.1.3.6 Advise the Owner of airy adjustments to previous Engineer's
opinions af the probable construction cost when changes
in project requirements, general market conditions, or
other cc+nditions so warrant.
1.1.3.7 These services do not include non grant,eligible points
of inflow, constrtiction plans and specifications.
1.1.4 Special Assit,nment
1.1.4.1 Desir;n Field Surveys (Eligible) The Engineer shall
perform the design field surveys necessary for the
preparatioti of the detail on-site condition in the
project areas r_o appropriate scales on 24" x 36" My1ar
reproducible sheets. Aerial photography shall be used
For plan portioris and on-the-ground surveys for the
elevations and specific topographic features.

1 = 20' double plan/profile for city street locations
and 1" = 40' single plan/profile for open areas. All
elevations shall be USGS datum. Al1 on-the-ground
surveys shall bc third order control. All sites shali
have at least one coristruction cont~Iol benchmark and all
lines shall have one such control euery 1,500 feet.
Line on-the-ground surveys shall be along the planned
center line on 100 feet intervals plus intermediate
points.of significant change with ground topography
25 feet either side thereof. He shall provide aerial
and topographic maps of all sites, plus 100 feet out-
side the boundaries thereof, and all access roads.
He shall provide the necessary drainageway crass sec-
tions at each site to permit the Corps of Engineers to
determine the site's respective floodplain elevation.
He shall secure the necessary affected parties per-
mission to perform tt1P_Se surveys as well as any soil and
test borings. He shall transfer all fi.eld information
to ttie drawings and plan/profile sheets, in ink. He
shall compile all project benchmark data. He will rely
on existing records of the City, power, telephone, gas,
oil, and T.V. eompanies for other buried utiliti`es and
pipelines and shall not be obligated to uncover or
field locate same. He shall use existing sewer ease-
rnents wherever practicable.
1.1.4.2 Aerial Plans (Eligible) - The Engineer shall have aerial
photographs flovniof the entire project aeras to
appropriate scales. All aerialsshall be reproduced
on the reverse side o£ My1ar sheets. All aerial photos
shall be "uncontrolled", but Flown at such altitudes to
produce zi 1rorizont:al tolerance of not more than 80 feet
pe:- 30 inches oi plan. Engineer :,hall layout "windows"
on 9" x 9" contacts of the appropriate sections of the
aerials to be enlarged for plan purposes. He shall
provide project indexes of enlarged aerials as is
appropri.ate for the project. He shall provide aerial
enlargements for all lines, sites, and access roads.
Sites and access road aerials shall be to appropriate
scales.
1.1.4.3 Soil Tests and t3orings (Eligible) - The Engineer shall
have performed ten soil borings on the sewage treatment
plant site anci one on each of the lift station sites in
the vicinity oF the major treatment unit structure_and
laboratory analyzed to determine the.soil bearing values
for the.structures. The Engineer shall rely on the data
so obtained in establishing design soil bearing values.
F'urther, each interceptor line in low-lying areas, shall
have borings, as appropriate, to a depth not to exceed
25 feet to gain limited information on groundwater con-
ditions, and soil structure, but these borings are not
to be analyzed bearin4, value and movement due to change
in moisture conteilt. The maximum number of line borings
shall not exceed 28.

1.4.4 Pla n oL Operation (Eligible) - The Engineer shall pre-
pare a preliminary plan of operation following the
guidelines of CG-220 (Rev. 11/1/80).
1.4.5 Industrial Pre-1'reatment (Eligible) - Utilizing Step 1
previously prepared and approved items, (I) an
inventory of industrial and commercial wastes being
introcluced into the treatment works; (2) an evaluation
of legal authority, including the adequacy of enabling
legislation and the selection of inechanisms to be used
fo:~ control and enforcement; and ~4) a determination
of technical inFormation necessary to develop an indus-
trial waste ordinance or other means..of enforcing pre-
trea tment s tanciards , the Engineer sha 11 comple te
development of the Industrial Pre-Treatment Program in
accordance with Appendix A- 40 CFR 35.907 Vol. 43,
No. 123, dated 6-26-78, and particularly, Section S,
Pages 27767 and 2776$.
Engitieer shall develop items (3) Evaluate financial
prograzns and revenue sources to insure adequate fund-
ing to carry out the pre-treatment program; (5) Design
of a monitoring enforcement program; (6) Determination
of pollutaut rentovals in existing treatment works;
) Determinatioil ol the treatment work's tolerance
to pollutants which intcr£ere with its operation or
with sludge or clisposal; (8) Kecommend purchase of
monitoring ancl laboratory equipment for use by the
I'OTW basecl on utilizing thc, City's existing laboratory
at its Water Treatuient Plant, and (9) Design for
construction of facilities necessary to monitor in-
dustrizil wastes.
1.1.4.6 Sewer Users Charge (Elidible) - 2he Engineer shall
develop a user charge to replace the City's present
"step rate volwne discount" UCS. He shall prepare
and present to the gover.ning body For their approval,
a sewer users charge (sewer rates) consistent with
sewer usage and reflecting the antici.pated expenditures
to be incurred as a result of the construction of the
project herein. Ile shall develop surcharges for
excessive strens;th sewage loadings. He shall analyze
the City's niost recent fiscal year's sewerage operating,
maintenance, ancl debt schedules and allocate applicable
cost to fixed month or volume usage. Ile shall analyze
two types of- res icletltial/commercial USC: (a) usage
with a rnLiximum monthly residential charge, .and (b)
annual usage charge, with no residential maximum, based
on winter t-ime usaf,e and paid monthly. He shall
analyzc oue type iiidustrial use. Iie shall analyze all
custumE- r water/sewer usage and types for tne last
12-months in not more than 20 usage ranges to establish
the basi_s for the USC. Ile shall hold conferences with
the City staCf, electcd o£ficials, civic groups, and
industrial users to assiire their participation in the
development of tlie USC, Ile shall hold one public

hearing in the (:ity oC Paris, to present the
cliarges to tlW ri.tiretls. Ile shall malce
any adjustments requested by the City Council as a
result of the hearing. Ile shall pregare revenue/
expense projections using the approved USC and antici-
pared project inlprovements. Ile shall file the
approved study with ttle appropriate regulatory agencies.
Ile shall comply with CG-220 (Rev. 11-30-78).
1.1.4.7 Boundary Survey and Landowners (Ineligible) - The
Engineer sllall have the Wastewater Treatment Plant, six
lift statioris, aiid access road sites property corners
established on the ground. Ile shall furnish the names
of the property owners, and prepar.e the necessary
plates and descriptive field notes. He shall not
prepare the deeds or leases.
1.1.4.8 Easements (Ineligible) - The Engineer shall prepare
descriptive field notes and depict same on plates for
up to 100 tracts of land. Ile shall furnish the names
of the property owners. He shall not prepare the formal
easements. A11 required on-the-ground surveys shall
be £urnished by the City. .
1.1.4.9 Permits (Ineligible) - The Engineer shall prepare the
detailed highway and railroad crossing permit applica-
tions for the Uwner's execution. He shall submit said
permits to the appropriate entities, and coordinate
the processing of same on behalf of Owner. He shall
not pay any permit fees.
1.1.4.10 Compliarice Assistance (Eligible) - The Engineer shall
assist the CiLy in meeting the project's EPA Region VI
goals of 14% to 16% rlinority Business Enterprise
participatian. Ile shall solicit i.nrerest from all
such firms, prepare and furnish to all interested
firms requests for proposal for the selected areas of
participation. Ile shall pravide any interested firm
with technical assistance to prepare its RFP. All
proposals shall be on the "cost reimbursement not-to-
exceed plus a fixed fee" basis. He shall evaluate all
proposals received ancl recommend selection on the
basis of the lowest responsive responsible proposer.
Ile shall prepare letters of intent to contract. Upon
the City's acceptaiice of its Step 2 grant offer, the
Engineer shall prepare and have executed formal con-
tracts or subcantracts for the solicited services. It
i.s estimated that $6,846 ot the Engineer's cost will
be incurred prior to award of the Step 2 grant. He
shall not be liable for the performance of the MBE.
1.1.4.11 Records aiid Accounts (Eligible) - The Engineer shall
review all expenditures of project funds, and shall
assist the Owner in maintaining all expenditure records
on this project. Ile shall furnish a final summary of
the project cost. Ile shall maintain all his eost

records in accordance with the project requirements.
1.4.12 Project Coordination/Application (Ineligible) - The
Engineer sha11 develop ttie Owner's Step 2 grant appli-
cation submittal ($4,581), but shall not be liable
£or its approval. Ile shall assist the Owner in
securing appropriar_e reimbursements of such grant
funds. Ile shall coordinate the application processing
($1,557).
1.1.5 Engineering Service Cost
1.1.5.1 Cost Reimbursement Plus a Fixed Fee - The items of
worlc set fortli in this agreement are separated for
the convenience of tlie parties hereto in ascertain-
inc, esti_nuitecl custs for various items of the work
ana to aicl iri determining the progress payments of
the worlc. Ariy 1 inc i.tem cost may be exceeded,
provided the -ranci total is not exceeded without
amending this agreernent. However, it is understood
that the service agreement covers all items as set
forth in Part III, and that no item ,
ma_y be omitted without the consent of the parties.

1.1.5.3 Effective Date and Performance Period - The Engineer's

1.1.5.4 In event of a change in project scope or requirements
the above rentmieration str.ucture shall be re-negotiabie.

wi11 be billed montlily at the Eng ineer's actual payroll
rates and ap~>1ic~ible i_n~lirecC multiplier during thls

1.2. Additional Services - When authorized by the Owner,
the Engiileer agrees to furnish or obtain from others,
additiorial professional services in conne ction with
the p-roject, as set forth below and contained within
this Agreeiiient:
1.2.1 Services clue to clianges in the scope of the Project
or its original clesign, including but not limited to,
changes in size, locatzon, complexity, schedule or
character of construction.

Article 2. - Owner's l:osponsibility - The Owner shall in a timely
manuer: 2.1. Providc to the Engineer an apprcved Facility Plan.

2.3. Pay directly for title opinions and insurance, re-
cording arid filing fees, site and ROW, field surveys
and acqui_sition cosL, permit fees, and related expenses.

or nou-perCoriuance, negligent acts, or omissions of
iNiinority I3usiness f:nterprise subcontractors
required to nueet EPA Region VI stated goals.
2.5. Provide fiscal, legal, accounting, and insurance
counseling services necessary for the project, legal
opinioils oE adequacy of existing KOW for project reuse
legal review of the Construction Contract Docunients,
and such auditing services as the Owner may require.
2.6. Assurc tlic necessazy lega.l actions, as required to pro-
vide full and free access for the Engineer to enter
upon all property required for the performance of the
Lngincer's scrvices under this Agreement.
2.7. Give prompt written notice to the Engineer whenever
tlie Owncr obse-rves or otlierwise becomes aware of any
changc in the Project Scope or other event which may
substcintially affect the Engineer's performances of
services under this Agreement.
2.8. Compensate the Engineer for services rendered under-
this Ag reement by the 20th of the month in which said services
are f i llcrl .

irticle 3. - llirect 1'ersonnel Lxpense - Direct Personnel
Expense is defined as the direct labor costs incurred
by the En;ineer directly attributable to the project by
payment of the actual salaries and wages to the employees
of the Engineer.
The minimum cliarge<ible t ime shall be one-fourth hour.

Article 4. = Direct Reimbursable. Expenses
4.1. Reimbursable Expenses incltxle expenditures made by the
I;nginecr, his eraployees or his consultants in the
intez-est of tlie project. Reimbursable Expenses include
but arc rlot limited to:
4.1.1 Expense of transportation, subsistence, lodging, and
travel timc outside of Lamar County. Car expenses
are set at IKS allowable rates, currently 2/14 per
mile.
4.1.2 Fxpense of toll telephone calls, telegrams, messenger
service, field office expenses, and fees paid for
securing approval of authorities having jurisdiction
over tlie pro j cc t.
4.1.3 Expensc of a11 equipmer.t rental, reproduction, copies,
postage and handling of drawings, specifications, re-
ports, and other project-related work materials and
supplies.
Article S. - Inclir-ect Lxpenws - t'111 expenses of the
L:ngineer of every kind, type and nature not included
under direct expenses herein shall be allowable under
the terms of r.his Agreement, except those expenses
for er.tertainment, advertising, interest on operating
loans, and bad debts.
5.1 Pragress paynients sliall be riade in proportion to ser-
vices rcridcrecl and as iiidicated within this Agreement
and shall be due aiid payable by the 20th day of the month
in whicli saicl services are billed.
Past due accaunts shall incur a charge at the
annual rate of interest of 18% from the lst of the
month in which the invoice was billed, based on the
amount outs tand ing.
5.2 If thc Owner fails to make monthly payments _due the
En~inet.r, tlie Lngineer may, after giving_ seven days
wrltten notice to the Owner, suspend services under
this Agreement until such payments are made.
Article 6. - Special Pz-uvisioils
6.1 Insurarce anci Indemnity

6.1.1 En~,,_ineer's Insurance - The Engineer shall acquire and
maintaiu statutory workne-n's compensation insurance
coverage, emVloyer's liability_and comprehensive
general liabillty iiisurance coverage, ($250,000/
$500,000/$100,000).
6.1.2 Construction Contractor's Insurance - Prior to the
caminencenient of the construction work planned herein,
the Owner shall require the construction contractor
and any subcontractors to submit evicience that he
(they) tiave obtaitled for the period of the construction
ccntract ancl the guarantee periad, comprehensive
general liability insurance coverage (including -
completed operations coverage). This coverage shall
provide for boclily injury and property damage arising
directly or indirectly out of, or in connection with,
the performance of the work under the construction
contract, and Yiave a limit of not less than $500,000
for all damages arising out of bodily injury, sickness
or death of one person and an aggregate of p,000,000
for damages arising out of bodily injury, sickness
and death of two or more persons in any one•occur-
ence. The property dankzge portion wii 1 provide for a
limit of not less ttian $300,000 for all damages
ari.sing out of injury to or destruction of property
oC otlicrs arisii-ig clxrectly or indirectly out of or
in connection with the performance of the woric under
the Canstruction Cciltract and in any one occurence
including explosion, collapse, and underground
exposure.
Included in sucll coverage will be contractual coverage
sufficiently bzoad to insure the provision of para.
6.1.4. "TndenMit y". '1'he comprehens ive genera? 1 iabil ity
insurancc> will include as additional named insureds:

agents and ci~iployees.
6.1.3 13uilders Kislc "All Risk" Insur.ance - Before commEncement
oL the construction work, the Owner will require that

eviricnce that he (they) have obtained for the pericd
of the construction contract, Builders Risk "Al1 Risk":
Completed Value Insurance Coverage (includir.g earth-
quake and flood) upon the entire project which is the
subJ'ect of tt~e contruction contract". Sucrl insurance
shall iuclude as additional insureds:
The Uwner; this L;ngirieer; and each of their officers,
agents, erapl.oyees atld any othEr persens with an insur-
able interest as may be designated by the Owner.
Such insur.ance may have a deductible clause, but not
to exceed $5,000, excePt that the earthquake deductib'Le
may bc! in acccrclance with generally accepted insurance
practiccs in tl:e 1_ocale wher.e the coverage is issued.

and eac.li of their off icers, agents, and employees from
any anc( all lir_ibility clainis, losses or damage arising

subcoiitractor's) negligence in the performance of the
work describecl in ttie construction contract documents,
but not including liability tliat may be due to the
sole negligence of the Owner, the Engineer, their
consultants or thei.r officers, agents and employees.
6.2. Limitation of LiabiLity - The Owner agrees that the
Engineer shall not be lleld answerable or liable for
real or alleged damages caused by delays in the per-
formance of tllis contract which arise out of events
beyond his coiltrol.
The Owner agrces to liniiL the Engineer's liability
to thc Owner and to all construction contracto'rs and
subcontractors on tlle pro ject, due to the Enpirieer's
professional negligent acts, errors or omissions,
sucYl tliat the total aggregate liability of the Engineer
to tiiose ii<imed stiall Ilot exceed Fifty Thousand Dollars
($50,000) or ttie Enbineer's total design fee for ser-
vices rendered on tliis prvject, whichever is greater.
Providecl turther, tllat if this Engineer does not pro-
vicle the engineer iilg pro ject related Step 3 construc-
tioil scrvices, a»d utl-site observations, the Owner shall
defend and hold him harmless of all real or imaginary
clai_ius wliicli may arise Crom the construction of the
project herein desi.gned.
603. Chwnersliip of Drawings - All drawings, specifications
and otller work product c,f the Engineer for this pro-
ject are instrurnents of service for this project only
and sliall reniaiil the prvperty of tYie Owner whether
the pro ject i.s corripleted or not, Reuse of any of the
instruments of service of the Engineer by the Owner
on extensioc:s uC this project or on any oCher project
without thc wrilten permission of the Engineer shall
bc at the Uwncr's r isk and the Owner agrees to defend,
iriden.nify and hold harmless the Engi.neer from all
cl.aims, damages, ancl expenses, including attorneys'
fees arisin~ out of- such unauthorized reuse of the
Eziginecr's iiistrun;eiits of service by the Otaner or by
other. s acting through the (lwner. Article 7. - Getleral Provi.sions
7.1. Delegation of Duties - Neither the Owner nor the
E'ngiilcer shall delegate his duties under this Agreement
without the written consent of the other.

7.2. Governinb Law - Unless ot~:erwise specif ied within this
Agreement, this Aoreement shall be governed by the law
of thc, principal place of business of the City.
7.3. Ge ne r-l
7.3.1 Sliou].d litigation or arbitration occur between the
two parti.es rclatitlg to the provisions of this Agr.ee-
ment, a11 liti.gation or arbztration expenses, collec-
tion expenses, witr.ess fees, court costs and attorney
fees incuzred by the Prevail.ing party shall be paid
by the non-prcVa111I1g party to the prevailing party.
7.3.2 Neither party shall hol.d the other responsible for
damages or delay in per.formance caused by acts of
C;od, strikes, lockauts, accidents, or other events
beyond the cor.trol of the other or the other's
employees and agents, including the contractor's
failur.e to complete the project on time.
7.3.3 In ttie event any provisions of this Ag reement sha11
be held to be invalid and unenforceable, the remain-
ing Provisions sha11 be valid and bir►ding upon the
Paxtie5. One or nnre waivers by either par_ty of any provision,
term, conditian ur covenant sllall not be canstriied by. the other
party aLS a waiver of a subsequent breach oE the saim by the
other party.
7.3.'+ The Engi-neer has not been retained or compensated to

lating to the c_ontractor's safety precautions or to
means, methocis, tecliniques, sequences, or procedures
required for the contractor to perform his work but
not relating to the final or completed structure;
omitted services include, but are not limited to
stloring, scaffolding, underpinnin~, temporary retain-
ment of excavations and any erecCion methods and tem-
porary brac ing.
7.3.5 TYIe LiZgiriecr intencls to render his services under
this Agreement in accordance with generally acceptecl
professional practices for the intended use of the
pro ject and mal:es no warranty either express or im-
pliea.
7.3.6 Any opinion of the probable constructian or Project
Cost prepared by the Engineer represents his judge-
ment as a design professional and is supplied for
the general guidance of tYie Owner. Since the Engineer
has no control over the cost of labor and material, or
over competitive bidding or market conditions, the
Engineer does not imply nor guarantee the accuracy of
such opinions as compared to contractor bids or actual
project cost to the Owner.

In the event the Engineer's opinion of the probable
construction or Project Cost is exceeded by con-_
struction bids or project overruns, the Owner shall
authorize._the necessary funding required by the
Project, at his expense revise the project scope,
or both as necessary, to reduce the cost as required.
7.3.7 The Engineer shall take reasonable affirmative 4ction
to strive for the use of at least 14% of Minority
Business Enterprise subcontractors on this Project.
However, rhis obligation shall be limited to the
economic availability of qt.ialified MBE firms,
Article 8; U.S. Environmental Protection A ency
Attached hereto, and made a part hereof, is "Appendix
C-1, RPquired Provisions - Consulting Engineering
Agreement", as required by the United State Environ-
mental Protection Agency.
This Agreement executed the day and year written at
the beginning of the Agreement.

Gentlemen :
l.. We understand that you are contemplating the issuance of securities of the kinds, in the amounts,
and for the purposes indicated as follows :
$650,000 City of paris, Texas, Certificates of Ubligation, 5eries 1981
payable from ad.valorem taxes, for the purpose of paying professional
fees in connection with a new sewer disposal plant. and that in connection with the issuance of these securities you desire this proposal from us to perform
professiona] services in the capacity of Financial Advisorfor City of Paris~Texas_____
(hereinafter called "Issuer").
2. By this proposal we offer our professional services and our facilities as Financial Advisor for the
issuance and sale of the above-described securities, and in that capacity we agree to perform the following
duties, and to perform such other duties, as, in our judgment, may be necessary or advisable:
a. We will make a survey of ttie financial resources of the Issuer to determine the extent of its
borrowing capacity. 1'his survey will include an analysis of the existing debt structure as com-
pared to existing and projected sources of income which may be pledged to secure payment of
debt service, and where appropriate, will include a study of the trend of the assessed valuation of
the Issuer, the Issuer's taxing power, and the present and estimated future taxing requirements.
If the revenues of a system or facility are to be pledged to repayment of the securities in ques-
tion, the survey will take into account any outstanding obligat;ions which are payable from the
net revenues thereof, additional net revenues to arise from any proposed rate increase, and the
additional net revenues as pro;jected by your consulting engineers as a result of the improve-
ments to be financed by the securities in question. We will also take into account your future
financing needs and aperations as pro,jected by your staff and/or your consulting engineers and
other experts.
b. On the basis of the infoi-mation developecl by the survey described in the above and foregoing
paragraph, and on the basis of othe,r information and experience available to us, we will submit
our written recommendations on the financing in question. Our plan will include recommenda-
tions as to the date of issue, interest payment dates, schedule of principal maturities, options of
prior payment, and any other necessary additional security provisions designed to make the is-
sue more attractive to investors. AIl recommendations will be based on our best professional
judgment, with the goal of designing securities which can be sold under terms most advan-
tageous to Issuer, and at the lowest interest cost consistent with all other considerations.
c. We will advise you of current bond market conditions, forthcoming bond issues, and other gen-
eral information and economic data which mighti normally be L.xpected to influence the interest
rates or bidding conclitions, so that the date for the sale of the securities can be set a time,
which, in our opinion, will be favorable.
d. If it is necessary to hold an election to authorize the securities, we will, under the direction of the
bond attorzieys, assist in coorclinating the assembly and transmittal to the bond attorneys of
such data as may be i•equired for the preparation of the necessary petitions, orders, resolutions,
notices and certificates in connection with the election.
We will coordinate the preparation and submission of the Official Notice of Sale, the Official
Statement or Offering Statement, and such other market documents which you may require. We
will also supervise preparation of the uniform bid form, con*aining provisions recognized by the
mu:licipal securities industry as being consistent with the securities offered for sale. We will
submit to you all s«ch offering doeuments, including the Official Statement, for your proper
exarriination, approval and certification. After such examination, approval and certification we
will furnish you with a suppl,y of such docaments and shall mail a set of the same to a list of
prospective bidders, a copy of Nvhich list shall be submitted to you upon request. We will also
supply sufficient copies of the Official Statement or Offering Statement to the purchaser of the
securities in accordance with the terms of the Notice of Sale.

We will make recommendations to the Issuer on the matter of bonn rating(s) fcr the proposed
issue and when directed by you shall coordiiiate the preparation of such information as in our
opinion is required for submission to the rating agency(ies). In those cases where the advisa-
bility of personal presentation of information to the bond rating agencies may be indicated, we
will arrange for such personal presentation.
g. If the securities are to be sold at pubiic sale we will disseminate information to prospective bid-
ders, we will organize such information meetings as in our judgment may be necessary, and will
work with prospective bidders to assist them in timely submitting proper uids. We will assist
you at the bond sale for the purpose of coordinating the 1•eceipt of bids, and the fut•nishing of
good faith checks where indicated, and for the purpose of tabulation and comparison of bids, and
will acivise you as to the best bid, and will provide our recommendation as to acceptance or rejec-
tion of such bid. As soon as a bid for t}ie bonds shall be accepted by you, we witl proceed to co-
ordinate the efforts of all concerned to the end that the bonds may be delivered and paid for as
expeditiously as possible. Should the bonds be eligible under Texas laws for purchase by the State
Board of Education, the Financial Advisor will be responsible for the preparation of an Applica-
tion for Purchase or Waiver and its timely submissiori to the Board. We shail assist you in the
preparation or verification of final closing figures, and when requested, will provide suggestions
on a program of temporaxy investment of bond pz•oceeds, in consultation with the Issuer's archi-
tect or consulting engineer, consistent with the construction timetable for the project.
h. We will act as your agent in arranging for the printing of the securities, and will submit same
for execution anc] impi•ession of seal, and we will attend to their deliver,y to the Attorney General
for approval and the Comptroller of Public Accounts for registration, it being understood that
title to and ownership of the printed securities shall be in the Issuer until they are sold and de-
livered to the purchaser.
After closing we will deliver to you and y oiir paying agent (s) definitive debt r•ecords, including a
schedule of annual debt service r•equirements on the obligatiotis being delivered to the purchaser.
3. We agree to direct and coardinate the entire program of financing herein contemplated. In that con-
nection we understand that you have retained or expect to retain Messrs, MGCALL. PARKHURST &
Te_x_asa firm of recognized municipal bond attorie,ys, who will prepare
the proceedings and advise the steps necessary to be taken to issue the securities and who will issue an
opinion approving their legality. We will maintain liason with this firm of bond attorneys and shall assist
in al1 financial advisory aspects involved in the preparation of appropriate ]egal proceedings and docu-
ments.
Where the issuarice and sale of the securities, and construction of the project in question, requires
the approval of any state or governmental agency, we shall assist you in the preparation of all financial
informatioii required for inclusion in applications for such approval, and when requested by ,you, shall
appear on y-our behalf to provide .appropriate testimony at public hearings before state and other govern-
mexital commissions and boards. I;'e will also be available ta participate with ,you in a11y preliminary con-
ferences with the staffs of any state or governmental agencies involved, and we will, for qualified proj-
ects, coordinate the preparation of financial assistance applications required for state involvement.
4. In consideration for the services rendered btl us in connection with the issuance and sale of the
above-described securities it is understood and agreed that our fee will be as follows:
A fee of not to exceed $15,000, based on the following:
$2,500 estimated bond attorney's fee
$9,250 our Fee for financial advisory services
$3,250 for reimbursement of expenses for bond rating,
bond printing, delivery and other incidental administrative
costs,
The Fee of $11,750 is a set charge, the remainder to be on the basis
of reimbursement for expenses which shall be itemized when submitted.
In consideration of the above fee we will assume and be responsible for the following expenses :

our own)
Bond Printing

Our fee and reimbursable expenses shall become due and payable simultaneously with the delivery of
the securities to the purchaser.
5. In the event any bond election be neceasary, if such election shall fail, the fee due us shall be

to election held within months from date hereof, then at our option the agreement covered
by this proposal shall apply to any such securities.
6. It is further understood and agreed that we reserve the right to submit a bid for the securities
when offered for sale.

hereby, whether delivered all at one time, or in installments,
