1581 RES COP COOPERATED WITH TX PARKS AND WILDLIFE DEPT OF ST OF TX IN CONSTRUCTION OF BOAT RAMP AT LAKE GIBBONSRESOLUTION NO. 1581 , WHEREAS, the City of Paris has heretofore cooperated with the Texas Parks and Wildlife Department of the State of Texas in the construction of a boat ramp at Lake Gibbons; and, WHEREAS, the City of Paris did heretofore enter into a Services Contract with the Texas Parks and Wildlife Department, as heretofore authorized in Resolution No. 1524, which contract terminates August 31, 1973; and, WHEREAS, the City Council of the City of Paris deems it to the advantage of the citizens of Paris and Lamar County that said area be properly maintained and is agreeable to the City forces providing such maintenance; NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF PARIS, That the Mayor of the City of Paris, F. D. Mallory, III, be, and he is hereby authorized and directed to execute on behalf of the City of Paris the Services Agreement attached hereto as Exhibit A, which provides for the City of Paris to perform maintenance on a boat ramp area of Lake Gibbons for which the City of Paris is to be paid $350. 00 annually, payable in quarterly installments of $87. 50, the first of which is due and payable the lst day of December, 1973. Operations: The City shall commence said services on the lst day of _ September , 19 73 , and prosecute them diligently and without interruption for the period of said Aqreement, or until the Agree- ment is terminated by the provisions of Article IV or Article V. IV. Defaults: Should the City fail to begin or prosecute the afore- mentioned services with reasonable diligence, without interruption, and in a professional manner, the Department may, at its option, upon giving thirty (30) days written notice to the City , terminate said Agreement. The Department shall remain liable for the expenses and fees under the Agree- ment for said services until such Agreement is terminated or until the _ City has defaulted. The City may, at its option, upon giving thirty (30) days written notice to the Department terminate this Agreement. V. Termination: This Agreement shall be terminated on August 31, 19 74 , unless the Agreement is otherwise terminated as outlined in Article IV. VI. Renewal: This Agreement for the services specified may be renewed annually by mutcual consent of 6oth parti es in wri ti ng . VII. Notice: Notices hereunder shall be sent ta the respectivc adldresses of the parties. Oral communications from the Department to the _ City sha11 be sufficient except as to matters expressly required by this Agreement to be in writing. Fees and Payments: The City promises and agrees to perform all specified and enumerated services outlined in Article II in accordance with the terms and conditions thereof, for the sum of Three Hundred Fifty and No/100 Dollars ($350.00) , payable quarterly in equal payments of Eighty-Seven and 50/100 Dollars ($87.50) , such payments to be due and payable on the first day of December, March, June, and September. The first of such payments shall become due and payable on the first day of December , 19 73 . XI. Interpretation: This Agreement, together with the list of boat ramp facilities, and any other specifications attached or identified separately, constitute the entire Agreement between the parties, and no other conversation, bid, memoranda, or other matter shall vary, alter, or interpret the terms hereof. The subhead captions in this instrument are for convenience of the parties in identification of the several provisions and shall not constitute a part of the Agreement nor be considered interpretive thereof.
