WHIIZEAS, the City of Paris has heretofore cooperated with
the Texas Parks and Wildlife Department of the State of Texas
in the construction of a boat ramp at Lake Gibbons; and,
WHER EAS, it is not feasible for the Texas Parks and
Wildlife Department to maintain said area and is desirable for
said Department to contract said services; and,
WHEREAS, the Texas Parks and Wildlif e Department is de-
sirous of contracting with the City of Paris for maintenance
as provided in the Services Contract attached hereto and made a
part hereof; NOW, THEREFORE,
BE IT RFSOLVED BY THE CITY COLTNCIL OF gI E CITY OF PARIS,
That the Mayor of the City of Paris, James W. Farris, be, and
he is hereby authorized and directed to execute on behalf of
the City of Paris the Services Contract attached hereto as
Exhibit A, which provides for the City of Paris to perform
maintenance on the boat ramp area of Lake Gibbons for which the
City of Paris is to be paid $350.00 annually, which payments
are to be made in quarterly installments of $87.50, tlp first
of which is due and payable on the lst day of January, 1973.

III.
Operations:
The City shall commence said services on the 2nd
day of October , 19 72 , and prosecute them diligently and
without interruption for the period of said contract, or until the contract
is terminated by the provisions of Article IV or Article V..
IV.
Defaults:
Should the City ` fail to begin or prosecute the afore-
mentioned services with reasonable diligence, without interruption, and in a
. ~
professivnal manrer, thu ClEpartment m4y,.at its cption, upo^ giv;ng thirty
(30) days notice in writing to the City , terminate said '
contract. The Department shall remain liable for the expenses and fees
under the contract for said services until such contract is terminated or
until ' the City 'has defaulted.
V.
• Tnrminatinn•
This contract shall be terrninated on August 31, 19 73 i_, unless
the contract is otherwise terminated as outlined in Article IV.
VI.
Renewal:
This contract for the services specified may be renewed annually
by the mutual consent of both parties in writing.
VII.
Notice:
Notices iiereunder shall be sent to the respective adaresses-of
the parties. Oral communications from the Department to the City
shall be sufficient except as to matters expressly required by this contract
to be in writing.

VIII.
Fees and Pav►nents :
The city promises and agrees to perform all specified
and enumerated services outlined in Article II in accordance with the terms ,
dtld C011d1ti0t15 thereof, for the Sum Of Three Hundred Fiftv and no/100
Dollars ($350.00) , payable quarterly in equal payments of
Eighty-seven and 50/100 Dollars ($87.50) , such. payments t0 be due and payable
on the first day of January, April, July, and September. The first of such
payments shall become due and payable on the first day of January ,
19 73 .
XI.
Interpretation:
This contract, together with the list of boat ramp facilities,
and any other specifications attached or identified separately, constitute
the entire agreement between the parties, and no other conversation, bid,
memoranda, or other matter shall vary, alter, or interpret the terms nereof.
The subhead captions in this instrument are for convenience of the parties
in identification of the several provisions and shall not constitute a part
of the Agreement nor be considered interpretive thereof. .
