1512 RES COP WITH CHARTER REQUIREMENTS ADVERTISED FOR BIDSRESOLUTION NO. 1512 , WHEREAS, the City of Paris did, in accordance with Charter requirements, advertise for bid the closed circuit television and intercom system for the Paris Police Building Renovation prior to the regular Council Meeting of the City Council held September 11, 1972; and, WHEREAS, at the regular Council Meeting on September 11, 1972, bids were received and placed in a committee for study; and, WHIIREAS, said committee reported at thesame Council Meeting, recommending the bid of Sound Electronics, a division of Burns Electronic Security Services, Inc., and the bid was awarded in accordance with the recommendation of the committee; and, WHEREAS, thereafter, a contract was prepared between the City of Paris and Sound Electronics, a copy of which is attached hereto and marked Exhibit A; and, WHEREAS, said contract was submitted to Sound E1.ectronics and executed by the same and returned to the City of Paris and executed by the Mayor; NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF PARIS, That the contract attached hereto as Fxhibit A is hereby, in all things, approved, and the execution of the same by the Mayor, James W. Farris, on behalf of the City of Paris, Paris, Texas, on the 22nd day of September, 1972, is hereby ratified and is the act and deed of the City of Paris the same as if said exe- cution was authorized by resolution prior to said execution. THIS AGREEMENT made this 14th day of September in the year Nineteen Hundred and Seventy-two, BY AND BETWEEN THE CITY OF PARIS, Paris, Texas, a municipal body politic and corporate in perpetuity hereinafter called Owner, and SOUND ELECTRONICS, a Division of Burns Electronic Security Services,Inc., hereinafter•called the Contractor, WITNESSETH, that the Owner and Contractor for the consideration hereinafter named agree as follows: ARTICLE l. EXHIBIT A ARTICLE 2. TIME OF COMPLETION The work to be performed under this Contract shall be commenced and completed to allow the owner to place into operation the equipment provided for herein, on or before April 30, 1973. All work required in the base bid shall be completed by Contractor by coordinating his work with M. D. Misso Construction Company and shall be prepared to begin work upon 15 days notice from the Architect and shall complete installation within 30 calendar days. The contract price shall be subject to reductions for any loss in grant awarded by the Law Enforcement Assistance Administration and Criminal Justice Council under which this project is partially funded due to delay or delays beyond the above date which are due in part or totally to the action or lack of action by the Contractor. ARTICLE 3. THE CONTRACT SUM The Owner shall pay the Contractor for the performance of the Contract, cubject to additions and deductions provided therein, in current funds as follows: BASE PROPOSAL: For all labor, materials and equipment necessary for complete installation of closed circuit television and intercom system and all appurtenances thereto for the sum of FIFTEEN THOUSAND SEVEN HUNDRED FIFTY-THREE DOLLARS ($15,753.00). Where the quantities originally contemplated are so changed that application of the agreement unit price to the quantity of work performed is shown to create a hardship to the Owner or the Contrac- tor, there shall be an equitable adjustment of the Contract to pre- vent such hardship. ARTICLE 4. ACCEPTANCE AND PAYMENT Payment shall be due thirty days after completion of -che work provided the work be then fully completed and the ccntlGct fuliy performed. Upon receipt of written notice ~.hat tne wor;c is rcGUv to-r inspection and acceptance, the Architect shaii Nromptiy inspection, and when he f inds the work accepzuL ~e and Z:-:c Can cZuc c -2- fu11y performed he shall promltly issue a final certificate, over his own signature, stating that the work provided for in this Contract has been completed and is accepted by him under the terms and conditions thereof, and that the payment found to be due the Contractor, and noted in said certificate, is due and payable. Before issuance of payment the Contractor shall submit evidence satisfactory to the Architect that all payrolls, materials bills, and other indebtedness connected with the work have been paid or otherwise satisfied. If after the work has been substantially completed, full completion thereof is materially delayed through no fault of the Contractor, and the Architect so certifies, the Owner shall, upon certificate of the Architect, and without terminating the Contract, make payment for that portion of the work fully completed and accepted. Such payment shall be made under the terms and conditions governing payment, except that it shall not constitute a waiver of claims. ARTICLE 5. THE CONTRACT DOCUMENTS The Invitation to Bid, Instructions to Bidders, Proposal, General Conditions, General Requirements, Functional Requirements, Techi- cal Requirements, Addendum #l, together form the Contract and they are as fully a part of the Contract as if fully repeated herein and are attached hereto as Exhibit A.
