1475 RES CITY COUNCIL CONTINUES ITS INTEREST STATED IN RES NO 1360 ON MARCH 9 1970RESOLUTION NO. 1475 WHEREAS, the City Council of the City of Paris continues its interest heretofore stated in Resolution No. 1360 of March 9, 1970, in participating in the TOPICS Program; and, WHEREAS, in order to participate in said Program, it is necessary and required of the City of Paris to furnish design and prepare construction plans and specifications for the in- stallation, revision and/or improvement of traffic si gnal in- stallations at various locations within the City of Paris; and, WHEREAS, it is deemed necessary and advisable to hire an engineering consulting organization to furnish all necessary professional services described in Paragraph 1 of Exhibit A attached hereto; and, WHEREAS, it is deemed to the City's best interest that its Engineering Department provide services described in Paragraph 2a of Exhibit A attached hereto; and, WHEZFAS, the City Manager of the City of Paris has, as in- structed by the City Council on February 14, 1972, received an offer of employment for professional services from the firm of Pinnell-Anderson-Wilshire and Associates, Inc., as set out in the contract attached hereto as Exhibit A and made a part here- of ; NOW, THIIZEFORE, BE IT RFSOLVED BY THE CITY COUNCIL OF THE CITY OF PARIS, That the Mayor, James W. Farris, be, an d he is hereby au- thorized and directed to enter into a contract for professional services with Pinnell-Anderson-Wilshire and Associates, Inc., in the specific form as set out in Exhibit A attached hereto. Engineer Responsibilities: The Engineer shall render all engineering services necessary to the development and design of the Project, excluding those items listed above, which shall include, but not be limited to the following: (1) Using aerial photographs provided by City, prepare signal layout sheets showing location of signal poles, signal indications, conduit runs, con- troller, power source, etc. (2) Prepare original tracings of wiring diagrams for all installations. (3) Prepare original tracings of signal poles and signal head assemblies. (4) Prepare original tracings showing signal phasing and signal system timing plans. (5) Prepare title sheet, general notes, miscellaneous construction details. (6) Prepare estimates of quantities and cost. (7) Define standard and/or special speci- fications of the Texas Highway Department which are to be used to govern project construction; prepare other specifications or special provisions should they be re- quired. (8) Assemble completed plans as prepared by the joint efforts of City and Engineer. Furnish a reproducible tracing of plans to City for transmittal to the Texas Highway Department. The Eh gineer will in- dicate endorsement of the completed plans by affixing his seal of registration as a professional engineer in Texas. c. Standards: The design standards and cri- teria of the Texas Highway Department will be used in the preparation of design plans and specifications. 3. Supervision of Construction: Since the Project is to be bid and construction contract awarded by the Texas Highway Department, construction super- vision will be done by the Texas Highway Department, and the Engineer will not provide any supervision of construction. 4. Fee : The City agrees to pay the Angineer, for such design services, an amount equal to three-fourths (3/4) of the Basic Charge (in percent) times the con- tract pxice as shown by the "C" Curve on attached Curves of Median Coznpensation, taken from the 1972 General IIzgineering Services Manual (TSPE, CEC-T, ASCE). Such compensation shall constitute full payment for the services rendered. An amount equal to ei ghty (80) per- cent of the above fee, based on an estimated Project cost, shall become due and payable upon receipt by the City of plans and specifications which have been re- viewed by and approved by the Texas Highway Department. The remainder of the fee shall become due and payable upon award af a construction contract in a specific amount to a contractor. In the event no contract is awarded within a twelve (12) month period, this portion of the fee shall be based upon the estimated Project cost. . 5. Time of Completion: The Engineer agrees that his work on this Project will be diligently and expe- ditiously performed, in order to meet an April 12, 1972, completion deadline. 6. Successors and Assignments: The City and the Engineer, each binds himself, his partners, successors, executors, administrators and assigns to the other party of this contract to the partners, successors, executors, administrators and assigns of such other party in re- spect to all covenants of this contract. Neither the City nor the Engineer shall assign, sublet or transfer his interest in this agreement without the written con- sent of the other.
