1444 RES CITY COUNCIL ON 27TH DAY OF MAY 1970 AUTHORIZED PARTICIPATION IN COUNTY-WIDE OR REGIONAL WATER POLLUTION ABATEMENT STUDYRESOLUTION NO. 1444
WHEREAS, the City Council of the City of Paris, Paris,
Texas, did heretofore, on the 27th day of May, 1970, authorize
the participation in a County-Wide or Regional Water Follution
Abatement study, to be made by the Engineering Firm of Hayter
Engineering, Paris, Texas; and,
WHEREAS, the City Council of the City of Paris, did, by
Resolution No. 1376, passed on the 8th day of June, 1970, au-
thorize the Firm of Hayter Engineering to make a study with
recommendations as to the City of Paris' requirements for
sewage treatment in order to comply with an order of the Texas
Water Quality Board; and,
WHEREAS, the engineering report and recommendations, pre-
pared by Hayter Engineering, recommending a new 4.61 MGD Sewage
Treatment Plant, to be located on City of Paris property approxi-
mately five miles North of Paris, with the recommendations of
the Sewage Treatment Committee appointed by the Honorable Mayor
for the purpose of reviewing the same, recommending the approval
of said report, should be, in all things, approved; and,
WHER EAS, in order to finance the new Sewage Treatment
Plant, it will be necessary, and Hayter IIzgineering is hereby
authorized, to prepare and submit necessary applications to the
Texas Water Quality Board and Ihvironmental Protection Agency
for PL-660 grants, to Texas Water Quality Board and Texas Water
Development Board for loans, and to Texas Water Quality Board
for an amendment to the Waste Water Permit of the City of Paris;
and,
WHEREAS, in order to complete said project, the Mayor of
the City of Paris, James W. Farris, and his successors, should
be authorized to execute any applications or agreements in
connection with said project; and,
WHEREAS, the City Manager of the Cityof Paris, C. L.
Walker, should be designated Project Representative and be au-
thorized to execute and deliver on behalf of the City of Paris
the necessary communications, instruments and documents necessary
for the completion of said project; and,
WHER EAS, Robert G. Day, of Rowles, Winston & Co., Inc.,
Investment Bankers, shouldbe appointed Fiscal Agent f or the City
of Paris on this project; NOW2 THIIZEFORE,
SE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF PARIS,
PARIS, TEXAS, AS FOLLOWS;
1. That the engineering report and recommendations of
Hayter Engineering, as reviewed and approved by the Sewage
Treatment Committee, providing for a new 4.61 MGD Sewage
Treatment Plant, to be located on City of Paris property approxi-
mately five miles North of Paris, be, and the same is hereby, in
all things, appro ved.
2. That Hayter Engineering is hereby authorized to pre-
pare and submit necessary applications to Texas Water Quality
Board and Environmental Protection Agency for PL-660 grants,
to Texas Water Quality Board and Texas Water Development Board
for loans, and to Texas Water Quality Board for an amendment
to the Waste Water Permit of the City of Paris.
3. That the Mayor, James W. Farris, and his successors,
be, and they are hereby authorized and directed to execute
applications or agreements in connection with said project.
4. That the City Manager, C. L. Walker, be, and he is
hereby authorized and directed to execute and deliver on behalf
of the City of Paris the necessary communications, instruments
an d documents necessary for the completion of sai d project.
5. That Robert G. Day be, and he is hereby authorized
and directed to act as Fiscal Agent for this project, in
accordance with the terms and conditions of his contract of
employment attached hereto as Exhibit A, and the Mayor of the
City of Paris, James W. Farris, is authorized and directed to
execute said contract of employment.

h. In the event you are unable to obtain an agreement from a
local financial institution to purchase the warrants issued
to the contractor at p:~ for 6% warrants and further agree
release th e warrants to you for refundino, if you so elect,
we agree to find a financial institution, corporation or in-
dividual who will agree to so purchase the warrants and agree
to their refunding.
3. We agree to direct and coor6inate the entire program of financing
herein camtemplated and to assume ar.:: pay the expenses above enumerated. It
is specifically understood and agreed, however, that this obligation on our
part shall not cover payment of any local election expenses; nor shall it cover
the cost of publication of notices in newspapers, or other publication costs, or
the expenses of any litigation.
4. As consideration for the services rendered by us and as reimbursement for
the expenses which we are to incur, it is understood and agreed that your City is
to pay and we are to accept a cash fee to be computed as follows:
$4,000 as a retainer fee payable upon execution of tnis agree-
ment and additionally, as warrants are delivered to the con-
tractor, a sum equal to 2% of the par amount of the warrants
delivered. In the event the City decides to issue refunding
bonds for the warrants a separate fee will be due us equal to
the fee set out on Page 11 of the enclosed pamphlet "Standards
of Performance and Recoir,r.iended Minimum Fees" as adopted by the
Municipal Advisory Council of Texas with revisions of April 1,
1970, based on the par value of the refunding bonds so issued.
5. It is further understood anci agreed that we reserve the right to bid upon
the refunding bonds should the City decide to offer sucn bonds for sale.
6. This agreement shall be terminated by the delivery to the purchaser of the
warrants or refunding bonds covered hereby, or by the elapse of 24 months fram
date of your acceptance hereof, whichever snall first occur; however, if the
warrants and/or refunding bonds have not been so delivered within the period
specified, this agreement may be extended by mutual consent.
7. This proposal is submitted in triplicate originals. When accepted by you
it will constitute the entire agreement between your City and the undersigned for
the purpose and considerations herein specified. Your acceptance will be indicated
by the signature of your Mayor,'attested by your City Clerk, on all copies and re-
turning two executed copies to us.
