BACKGROUND:
The City of Paris has periodically received grants from the Texas Department of
Community Affairs that are designed to assist low income residents purchase housing.
Because of the complicated nature of the application and oversight of these grant
programs, the City has utilized third parties to both apply and manage these grants.
The City requested proposals for management services related to the home buyer
assistance program and received one proposal.

A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF PARIS, TEXAS,
ACCEPTING A PROPOSAL FROM PARIS LIVING, INC. FOR MANAGEMENT
SERVICES FOR THE HOMEBUYER ASSISTANCE PROGRAM FUNDED
THROUGH THE TEXAS DEPARTMENT OF HOUSING AND COMMUNITY
AFFAIRS; AUTHORIZING THE CITY MANAGER TO EXECUTE ALL
NECESSARY DOCUMENTS; MAKING OTHER FINDINGS AND PROVISIONS
RELATED TO THE SUBJECT; AND DECLARING AN EFFECTIVE DATE.
WHEREAS, the City of Paris, Texas qualifies for grant funding from the Texas
Department of Housing and Community Affairs for Homebuyer Assistance through the
TDHCA Reservation System; and,
WHEREAS, the City of Paris did heretofore advertise for Management Services for
the City's Homebuyer Assistance Program funded through the TDHCA Reservation Grant
System, said proposals were received until 3:00 p.m., Tuesday the 14th day of August 2012;
and,
WHEREAS, only one proposal was received by the City and that was a proposal
dated August 3, 2012 from Paris Living, Inc., 2800 Lamar Ave., Paris, Texas 75460, a aopy of
which is attached hereto as Exhibit "A"; and,
WHEREAS, the Engineering, Planning & Community Services Departmemt has
reviewed the proposal for Management Services submitted by Paris Living, Inc., and
recommends that the City Council accept the Proposal for Management Services from, Paris
Living, Inc. for the TDHCA Home Buyer Assistance program, TDHCA Contract No. 1001288.
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF
PARIS, TEXAS:
Section 1. That the findings set out in the preamble of this resolution are hereby
in all things approved.
Section 2. That the proposal of Paris Living, Inc. to provide Management services
for the Homebuyer Assistance Program and TDHCA Reservation System under TDHCA
Contract No. 1001288 is hereby accepted.
Section 3. That the City Manager of the City of Paris is hereby, authorized and
directed to execute, on behalf of the City of Paris, all necessary documents with Paris
Living, Inc. substantially in accordance with the Proposal attached hereto as Exhibit "A".
Section 4. That this resolution shall be effective from and after the date of
passage.

General Background and t-Iomebuyer Experience
Founded in 2002, Paris Living is a Texas 501(c)(3) corporation whose primary mission is; to
improve the qualiry of life tlirough community development and revitalization for all the people
of the City of Paris and Lamar, Red River, Delta and Fannin Counties. We accomplish that
prittiarily by buildittg affordable hames and providinb down payment assistance lo low lind
moderate income families throughout Paris and the surrounding counties, stimulating econoinic
growth and restoring neighborhoods. Paris Living lias worked to benefit the community
through several activities, includinb: spearheading the dream and effort to revitalize P,aris
neighborhoods and make the Ciry a desirablc place to Gve and work; building new affordable
housing for families whose incomes are between 40% and 80% of the median household
income for Lamar County; building int'ill homes on donated vacant lots in established
neighborltoods, demolishing burned out and dilapidated inner city houses; provid!,ing
iitforrnation for major area employers regarding employee housing related problems;
stimulating the development in the downtown core area; and bringing other community
organizations together to work toward a common boat.

programs and over nineteen years experience working with programs funded by the Te:aas
pepartment of Housing and Community AFfairs (TDWCA). In that time, he has Iielped
thousands of low incoine families throughout Texas become first time homeowners. lf selected,
Mr. Hunter, on behalf of Paris Living„ will have the primary responsibility for the successFul
completion of the City s contract with TDHCA. He will also be the lead contact between the

City and Paris Living in relationship to an agreement between our two organizations. Mr.
Hunter is a licensed mortgage loan originator through the Nationwide Mortgage Liccnsin$
System and Registry. We have included, in chis packet, a biography of Mr. Hunter for your
review.
Ctirrently, Paris Living is admiuistering s first time homebuyer program funded thmuP,h
TDHCA Resen+ation System Program which will create new low income hoct►eowners in Lamar
County (including the City of Paris), Red River Connty, Fannin and Delta County. T'o
accomplish this task, we have enteced into verbal agreements with other local ageneies
including the City of Paris, Paris Housing Authority, Keep Paris Beauuful ar►d Paris Habitat fur
Humaniry.
As outlined in the Proposed Scope of Work listed below, we anticipate providing the City with
a turnkey operation of its homebuyer assistance program. "The services we propose for the
project include: affirmative marketing, application intake, Iender coordination, individual loan
file review and approval, coordination of homebuyer counseling, coordination ando~rsig~h~t id
the required minimum property code inspections, assistanco with financial manag~
keeping, coordination with local title companies, project document preparation coordination,
administrative and project environmental reviews, on-site client represer►tation during state
monitoring visits, individual file maintenance, pro]~t close-out assistance, and ather assistance
as required by the City to fulfill its obligations with TDHCA.
Proposed Scope of Work
The following is our proposed work product for each of the categories listed in the Request for
Proposals.
➢ Project Management
• In general, Paris Living will completely manage the HOME Program award for the (;ity
including record keeping, file maintenance, submission of documentation to TDHCA,
preparation and submission of all required reports and will serve as liaison f tha~ma~bo
any monitoring visit of TDHCA or HUD staff. in addition to any City staff y'
required to attcnd, representatives of Paris Living will attend any and a11 TDHCA required
grant implementation training.
➢ Financial Mauagement
The HOME Program is a totai reimbursemem program• That is, funds have to be advauiced
by the City to the closing table and after the loan has closeci, thea the Cily will be reimbursed
by TDHCA for ifs expenditures• Because this program is a reimbursement program, no
separatc banking accounts need to be maintained• However, a written journal of expendiwres
and reimbursements including receipts must be kept by the City. We will revicw the loan files
before closing and will notify the individual whom the City has identified as responsible for
funds transfer and approve the transfer of funds to the title company. We w'sll maintain a file
record of the cashier's check or transfer of funds to the Title Company if the City provides that
information to us. The file will also have copies of pertinent invoices related to the closings.

appropriate individual idenlified by the City to do so. Paris Living will interface with TDHCA
to ensure that all projects are comecttY set up and•follow up to ensure that the requested draws
have in fact bcen made. Paris Living wiU maiatain a generat program file, which will contai:n
program legal documents, correspondence and reports. Paris Living will generate aU
administrative draw requests for approval by the City for transmission to TDHCA for paynnent.
At the City's request, periodic program status reports will be made to the City (timiag of said
reports to be determined by the City). Files will be maintained centrally at Paris Living offices
and will be transported to the City's offices for review by state monitors when so desired by the
state and the City. At the end of the program, Paris Living will deliver all the files to the City
for long-term storage in accordance with fND rules and regulations.
➢ Environmental Clearance
. Paris Living will review flood ceztifications and appraisals to detemune whether the
property being financed lies within a floodplain The program design prohibits any property
that lies either within an sirport runway clearance Zone or with a coastal barriers resource area
from being fumded in this program Paris Living will prepare the state environmental forms 1.'or
signature by the appropriate City staff person. Further, Paris Living will prepare lead base
paint notifications and disclaimers on behalf of the City for signature by the prospective buyers
of each house at or prior to closing. Paris Living will require that all prospective homebuyers
receive a lead base pain.t booklet either at the first lien loan application or as par[ of the eamest
money contract.
➢ Client Intake and Qualificxtioa
~ The program design call Eor client intalce and'qualification to be performed by the contract
administrator. Paris Living will undertake, or cause to be undcriaken, this process on behalf
of the City. Paris Living will presenl applications to interested parties, either in persan, by
fax, mail, or email; meet with applicants n a face-to-face setting to finish the application
process; prepare fornns for applicant and City designee signatures, prepare verification<,; of
employment and deposit; review income documentation; review credit rcports, if necessary;
acquire and review first lien documents; prepare and send required disctosures to
bonowers; prepared and send notifications of loan approval or denial; and prepare and se.nd
to TDHCA set up materials for their contract system. Information received will be
compared to application inforntation raceived from the fusl lien mortgage lender. In
addition, Paris Living will provide training to any participating local lender to facilitate the
processing of first, second and third lien loans and to insure that all program niles and
regulations are met. Paris Livings will provide assistance to the mortgage lenders via
tetephone, fax, and email to ensure that all the applicants assisted are properly income
qualified. Paris Living will interface with TDHCA to ensiu'e that all projects arc corcectly
set up and information is sent to TDHCA to prepare for closing.
➢ Affirmstive and Falr Marketiag
. Paris Living will provide general marketing activities as directed by the City to ensure the
success of the program. Paris Living will generate press releases on the program and
disseminate those releases to news media identified by the City. Paris Living will create and
disburse to participating first lien mortgage lenders packets of information regarding the
program including term sheets ar►d copies of forms and documents patinent to the homebuyer
assistance program. Paris Living witl, at the request of the City and individual lenders, visit
arca Realtors with che lenders to explain the progam and to encouraSe Realtors to pacticipate.
Most of the marketing effort will occur ai thc beginning of the program. If the program is not
originariag effectively, additional marketing activities will be performed by Paris Living as
directed by the City. D'uect expenses of any additional marketing efforts are solely the
responsibility of the City.

D Equal Opporlunity/SecNan 504 Reqniremeats
• While Paris Living understands that the City is familiu with federal Equal Employment and
Section 5U4 Regulations, Paris Living will undertake to ensure that those reguladons are met
during the execution of the TDHCA funded program and will be available to advise the City on
issues regarding those rules and regulations. Paris Living understends that the City's
Homebuyer Assistance Pragram is essentially a financial program designed to enable low
income families to become first time homebuyers. However, although rare, there may be
occasions wherein the house being purchasal is new consWction. [n those instances, Paris
Living will tnake itself available, on behalf of and at the request of the City, to homebuilders
and developers whose houses become a part of the program on an as needed basis respond to
equal employment and Section 504 issues, should any arise.
➢ Labor Standards and Moaitoring
• In the instance where monitoring of labor standards becomes a requircment oE this program
and the City, Paris Living understands that the City may have employees tasked with
monitoring Labor Standards. If, however, the City desires Paris Living to perform thosc
monitoring activities, then Paris Living will be pleased to offer monitoring services to the C'ity
for a negotiated flat rate or at the at the Paris Living normal consulting rate of $90.00 per hour.
➢ Section 3 Opportunities
. Paris Living is not a Section 3qualified organization. However, Paris Living will, wherever
possible, erbcourage the hiring of, or cantracting with, local individuals or companies tthat
meet the Section 3 definitions. Pairs Living will compile any peciodic reports on Sectiain 3
activities and accomplishments as may be required by TDHCA for approval and submis.5ion
by the City.
➢ Affordable Housing Down Payment
• Paris Living will continuaily work with the lenders and Realtors to provide the homebuyer
assistance to families at lower median ineornes• Although the program can assist families with
household incomes equal to 80% of the area median income by family size, Paris Liaing
understands the City's desire to assist families in the lower income strata. Paris Living wili
continually encourage participating lenders to assist lower income families. This will be an
ongoing effort throughout the program and will be done through the lender's training and by
telephone. Historically, homebuyer assistance progcams managed by Paris Living's Executive
Director have averaged assisting faznilies at 60% of the area median income.
➢ Contraet Close Out Assistance
• Paris Living will assist the City in its eontract close out process by completing all, the
required forms on behalf of the City, interfacing with TDHCA on any issue that might preclude
an appropriate closure to the program and delivering all the files to the City for long term
storage.
➢ Additional Services
• Paris Living will provide any and all other services as may be required by the City and that
Paris Living has the ability and expertise to perforcn. If any additional services are required,
they will be performed at the specific request and direction of the City. Unless negotiated at a
flat project rate, fees for said additional services will be billed at the Paris Living narmal
consulting rate of $90.00 per hour.

Statement of QualiScations
As mentioned earlicr, Paris Living has over ten years experience in local housing programas.
Specifically, Paris Living has managed several HOME Contracts with TDHCA for homebuyer
assistance and has managed a$rant from the Meadows Foundation. The contract consultant for
Paris Living (who is not an employee of the Corporation) actually has over twenty-two years
managing federally funded programs as well as over eighteen years oF local government
experience. He has successfully managed both HOME Investment Partnership Program and
Community Devetopment Block Grant Program funded homobuyer assistance programs in
Garland Texas and Arlington Texas and has managed over twenry-seven homebuyer assistance
programs for clients receiving HOME Investment Partnership Program funds from TDHCA. In
addition to homebuyer assistance programs, he has helped his clients with new multi-family
construction projects, rental rehabilitation projects, new senior rental housing develogments,
disaster relief programs and conversion of non-housing type buildings into honsing for senior
citizens. He has been involved in the HOME Investment Partnership Program since its
inception. Re has worked on a national housing taskforce at the request of HLTD, has worked
on a HOME Program taskforce for TDHCA and has provided capacity building assistance to
housing related non-profit organizations throughout ihe State of Texas. A more detailed
biography including examples of his accomplishments and a list of his past and currcnt la;al
government and housing related non-profit organization clients is attached for your review.
Proposed Cost of Services
The foliowing proposed cost of services is being presented by scope of work category as
reimbursable by TDHCA as was requested. However, ii should be noted that aclual billing of
administrative fees to TDHCA is limited to the same percetttage as projects completed and
project funds drawn. Therefore the actual invoicing for adtninistrative activilies will be done
immediately following the closing of each project. Additionally, the costs being submitted are
based upon the City completing ten toans per year through ttus program. Total cost msy be
adjusted percentage-wise according to the total amount of grant funds actualty expended and
may be adjusted according to limits imposed by TDHCA throughout the contract temz. Paris
T.iving will endeavor to have all its Fees charged to the City be reimbursed by TDHC;A
wherever possible and will be willing to cap its fees in accordance with caps imposed by
TDHCA for the program. Therefore, Paris Living reserves the right to mend fees on individual
activities performed based upon changes in TDHCA policy and allowances with the
understanding thal Paris Living total fees will not exceed overall TDHCA caps establishad lfor
the program. The following is an example of how fees will be assessed based upon current
TDHCA activities and allowances.

Please Note that activities such as environmental activities, application intake, individ.ual
project document preparation, homebuyer counseling, and home inspections are project ioan
specific and witl be accounted to projecc related soft costs as opposed to adtninistrative casts.
Also please nole that project related soft costs are capped at $1,500 per project completed.
The following are thc proposed project related items and soft costs per loan made. Please note
that while the costs for individual items listed below may adjust prior to implementation, the
total amount per loan for soft costs will not change. Also, while the activities listed below are
normai for the typical project, each project may actually differ in the needs for certain of' the
services listed below. Therefare, not all services listed below may be performed on every
project. Where specific services are not required, the soft costs for that project will be adjusted
accordingly. A[so, TDHCA, under curreni rules, wili oniy reimburse the City $1,500 for soft
costs for each project campleted therefore, not all items listed below can be charged to TDEiCA
for reimbursement on every loan. T1te costs listed below are the actual costs estimate,d to
perform the tasks. 'I'he total soft cost charges made to the City for these services will be $1,500
per project. However, if TDHCA requirements and soft cost cap increase, Paris Living will bill
soft cost services at the rates listed below. Some or all of the items below may be
subcontrected out to other providers. In ihat instance, Paris Living wil] still bill for the total
soft costs per loan and subsequendy pay for any subcontractor costs. Subcontracting any 43r all
of the items listed below is at the sole discretion of Paris Living. Again ptease note that the
aciivitics tisted below are necessary to cach toan closing and the costs arc best eslimales for
completing those tasks. Regardless, lhe total cost to the City, reimbursable by TDHCA will be
$1,500 until the cap is raised.

Again, not all project related soft costs listed above will necessarily go to Paris Living. Fvr
exampie, the Homebuyer Counseling and Inspection fees may go to other agencies which may
be performing those tasks, yet they are still figured ia the total project related soR costs. Under
the above scenario, the totat project related soft costs going to Paris Living, for work that it
pe,rforms excluding homebuyer counseling and home inspections wouid be $1,200. There may
be other costs that might have to be considered which are not figured into the above
calculations. This is based on the knowledge that oflen, TDf-ICA and EiUD change
requirements mid-contract and adjustments might have to be made. In the unlikely case of that
occurring, we would propose a contract amendment to adjust thc fee schedule.
PROPOSEI? BILLING SCHEDULE
Soft costs will be billed at the time funds are requested to be sent to the Title Company for the
loan closing. Administrative costs will be bilted after the loan Eias clased and the Deed of Tnist
filed with the County. Both SoR costs and Administrative costs will be billed on a project
basis.
The City will pay the project related soft costs outside of closing upon receipt of an invo7ce
from Paris Livinb at the same time it advances the project related hard costs to the Ti.tie
Company for the ctosing of each loan. The City will be reimbursed the projcct related soft
costs along with the projecl hard costs by TDHCA. The entire second lien loan amount plus
soft costs paid outside of ciosing will be reimbursed after closing by TDHCA out of the HOM[E
grant. Once that reimbursement has been made, the requisite administrative costs will be
reimbursed by TDHCA.

Development Block Grant Program for the City of Garland for a four-year pertod and, in
that position, helped finance infrastructure repair, a business incubator, park
development and improvement, housing and soctal services. While with the City of
Dallas, he helped create the Housing and Neighborhood Development Department ancf
Office of Public Affafrs and redesigned the Planning and Oevelopment Department. He:
marketed the programs of the City of Dallas through televiston and radio commercials he
produced and by representing the City ak trade fairs. He also worked for First Southwest
Company for three years, where he developed one of the first grants acquisition divisions
of an investment bank in the country. In 1996, he left First Southwest Company and
formed Hunter & Hunter Consultants, Inc. where he currently provides a variety of
services to clients in the housing, economic development, community development and
education fields. He has developed, implemented and managed housing rehabilitation
and down payment and closing cost assistance programs, economic development and
community enhancement projects, infill programs, single family reconstruction, new

As a member of the Texas Rura1 Development Council, Mr. Hunter served as Secretary nf
the eoard and chaired the Council's Texas Resource Team committee. Under that
program teams of federal, state, local and private sector experts assist rural
communities by determining their development needs and identifying and designing
projects to redevelop and market the communities to make them more attractive for
business development, recruitment and retention. Communities that Mr. Hunter
personally assisted through this program include the cities of Hearne, Unden, Winnsboro,
Stephenville, Queen City, Lufkin, Texarkana and Crystal City.
Mr. Hunter is also proficient in developing ieveraging for a variety of types of projects.
He has worked with housing finance coi-parations and economic development
corporations to create leveraging programs for local housing and business development
efforts. Examples include financing infrastructure development, interim construction
financing, multi-family and single-family mortgage bond issues and the development of'
required matching funds for both state and locally managed federally funded programs.
In homebuyer programs, he has extensive experience in working wlth local banks and
mortgage companies in creating effective programs to assist low and very-low income
families.
In addition to planning and managing projects, Mr. Hunter is proficient in training and
presentations. He has made training presentations at regional meetings of the National
Community Development Association, area Council of Government local offitial training
sessions, the Texas Rural Development Council and at state-wide and regional housing
and community development conferences. He has taught courses in leveraging funds,
grant acqulsition, grant management, strategic plan development, developing grant
friendly projects, and on federal rules and regulations.

Linden Economic Development Corporatlon, Cameron County Housing Finance
Corporation, Tyler Community Homes, RockwaN Housing Development Corporation, and
the East Center Community Development Corporation,
Some of the projects that Mr. Hunter has designed, developed, managed or helped
arrange financing for include:
• The development of a medical facility in combination with elderly housing in
Springtown, Texas, which created a viable market for doctors and physician
assistants in the community
• Constructive reuse of a high school building into elderly housing in Port Arthur,
Texas
• Review of program design and develapment of a financial marketing strategy for
an educational and jobs training program for a non-profit corporation in Baltimore,
Maryland
• Development of elderly and special needs duplex complexes in Springtown, Texas

• Rehabilitation of a burnt out apartment complex in Daingerfield, Texas and
rehabi{itation of multi-family complexes in Linden, Texas, bringing construction
jobs to the communities, while eliminating hazardous and crime-ridden eyesores
of the communities
• Management of First Time homebuyer programs in 66 Texas counties and cities,
creating homeownership for thousands of low and moderate income first time
homebuyers
• Development of an investor acquisition strategy for a publicly held import/export
corporation in Dallas, Texas

• Nvn-profit/governmental management: Mr. Hunter has served as Executive
Director of the Garland Housing Finance Corporation and created Regional
Opportunities of Texas, Inc., a nonprofit community development organization
operating in North Central Texas. He has also served as Strategic Planning
Coordinator and Secretary of the Executive Committee of the Texas Rural
Development Council. For that organization, he also served as the private sector
chairman of the rural resource team committee, the rural housing committee, arid
the barriers and impediments committee.
While with the City of Da11as, Mr. Hunter was a member of the Urban Management
Assistants of North Texas, the International Ombudsman Institute, and the Community
Associations Institute, where he served on the Board af Directors. While with the City of
Garland, he was a member of the National Cammunity Development Association and was
president of Region VI of that organization which included the states of Texas, Arkansas,
Louisiana, Oklahoma and New Mexico and he served on the U.S. Department of Housing
and Urban Development National Paperwork Reduction Taskforce and served as
chairman of the financiai and miscellaneous workgroup of that body. While with First
Southwest Company and Hunter & Hunter Consultants, Inc., Mr. Hunter represented
those companies with the Texas Rural Development Council, the National Association of
Housing Finance Agencies and the Texas Association of Housing Finance Agencies, where
Mr. Hunter actively partlcipated in annual conferences and training meetings. He served
on the HOME Prvgram Advisory Task Force for the Texas Department of Housing and
Community Affairs. An accomplished public speaker, Mr. Hunter is oRen asked to
