A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF PARIS, TEXAS,
ACCEPTING A PROPOSAL FROM PARIS LIVING, INC. FOR MANAGEMENT
SERVICES FOR THE HOMEBUYER ASSISTANCE PROGRAM FUNDED
THROUGH THE TEXAS DEPARTMENT OF HOUSING AND COMMUNITY
AFFAIRS; AUTHORIZING THE CITY MANAGER TO EXECUTE ALL
NECESSARY DOCUMENTS; MAKING OTHER FINDINGS AND PROVISIONS
RELATED TO THE SUBjECT; AND DECLARING AN EFFECTIVE DATE.
WHEREAS, the City of Paris, Texas qualifies for grant funding from the Texas
Department of Housing and Community Affairs for Homebuyer Assistance through the
TDHCA Reservation System; and,
WHEREAS, the City of Paris did heretofore advertise for Management Services for
the City's Homebuyer Assistance Program funded through the TDHCA Reservation Grant
System, said proposals were received until 3:00 p.m., Tuesday the 14� day of August 2012;
and,
WHEREAS, only one proposal was received by the City and that was a proposal
dated August 3, 2012 from Paris Living, Inc., 2800 Lamar Ave., Paris, Texas 75460, a copy of
which is attached hereto as Exhibit "A"; and,
WHEREAS, the Engineering, Planning & Community Services Department has
reviewed the proposal for Management Services submitted by Paris Living, Inc., and
recommends that the City Council accept the Proposal for Management Services from Paris
Living, Inc. for the TDHCA Home Buyer Assistance program, TDHCA Contract No. 1001288.
NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF
PARIS, TEXAS:
Section 1. That the findings set out in the preamble of this resolution are hereby
in all things approved.
Section 2. That the proposal of Paris Living, Inc. to provide Management services
for the Homebuyer Assistance Program and TDHCA Reservation System under TDHCA
Contract No. 1001288 is hereby accepted.
Section 3. That the City Manager of the City of Paris is hereby, authorized and
directed to execute, on behalf of the City of Paris, all necessary documents with Paris
Living, Inc. substantially in accordance with the Proposal attached hereto as Exhibit "A".
Section 4. That this resolution shall be effective from and after the date of
passage.

General Background and Homebuyer Experience
Founded in 2002, Paris Living is a Texas SOl(c)(3) corporation tivhose primary mission is to
improve tlte quality of life through community development and revitalization for a11 the people
of tlie City of Paris and Lamar, Rcd River, Delta and Fannin Coanties. We accomplish that
primarily by buildin� affordable hames and providing down payment assistanee to low and
made�ate incume families throughout Paris and the surrounding counties, stimulating economic
growth and restoring ncighborhoods. Paris Living has woticed to benefit the community
through several activities, includin�: spearheading the dream and effort to revitalize Paris
neighborhoods and make the Ciry a desirablc place to i�ve and work; building new affordable
housin� For families �vhose incomes are between 40% and 80% of the median household
income for Lamar County; bailding infill homes o�i donated vacant (ots in established
neighborhoods, demolis{�ing burned out and dilapidated inner city houses; providing
information for major area employers regarding employee housing related problems;
stimulating the development in the downtown core area; and brin�ing other communiry
or�anizations together to work toward a eommon boal.
Paris Living has directty assisted over 60 low +ncome families become first time homeowners
throu�h providin�, down payment assistance to purcliase new and existing homes in tl�e Ciry and
tl�e surrounding four counties of Latnar, Red River, Fannin and Delta. fn ttddition, Paris
Livin�'s contracted consultant has over twenty-two years experience in l�omebuyer assistance
progrdms and over nineteen years experience working with programs funded by the Texas
Department of i-lousing and Community AFfairs (TDI-[CA). In that time, he has lielped
thousands of low income families throughout Texas become first time homeowners. If seleeted,
Mr. Hunter, on belialF oP Paris Living, �vil[ have the primary responsibility for the successful
completinn of the City's contract with TDHCA. He will also be the lead contact between thc
City and Paris Living in relationship to an agreement between our two organizations. Mr.
Hunter is a licensed mortgage loan originator through the Nationwide Mortgage Licensing
System and Registry. We have included, in this packet, a biography of Mr. Hunter for your
review.
C�rrently, Paris Living is administering a first time homebuyer program futaded through
TDHCA Reservation Systern Pro�am which will create new low income homeowners in Lamar
County (including the City of Paris), Red Rivex County, Fannin and Delta County. To
accomplish this task, we have entered into verbal agreements with other local agencies
including the City of Paris, Paris Housing Authority, Keep Paris Beautiful and Paris Habitat for
Humanity. �
As autlined in the Proposed Scope of Work listed below, we anticipate providing the City with
a tumkey operation of its homebuyer assistance program. The services we propose for the
project include: affinmative marketing, application intake, Iender coordination, individua2 loan
iile review and approvai, coordination of homebuyer counseluzg, coordination and oversight of
the required minimum property code inspections, assistance with financial management, record
keeping, coordination with local title companies, project d�ument preparation coordination,
administrative and project envimnmental reviews, on-site client representation durin� state
monitoring visits, individual file maintenance, project close-out assistance, and other assistance
as required by ihe City to fulfilt its obligations with TDHCA.
Propnsed Scope of Work
The following is our proposed work product for each of the categories listed in the Request for
Proposals.
➢ Project Msnagement
• In general, Paris Living will completely manage the HOME Program award for the City
including record keeping, file maintenance, submission of documentation to TDHCA,
preparation and submission of all required reports and will serve as liaison for the City during
any monitoring visit of TDHCA ar HtJD staff. In addition to any City staff that may be
required to attend, representatives of Paris Living will attend any and alI TDHCA required
grant implemcntadon training.
➢ F[nancial Management
• The HOME Program is a total reimbursement program. That is, funds have to be advanced
by the City to the closing table and aRer the Ioan has closed, then the Cily will be reimbtused
by TDHCA for its expendit�u�es, Because this program is a reimbursement progam, no
separate banking accounts need to be maincained• However, a written journal of ezpenditures
and reimbursexnents including receipts must be kept by the City. We will review the loan files
before closing and will notify the individual whom the Gity has identified as responsible for
funds transfer and approve the transfer of funds to the title company. We will maintain a file
record of the cashier's check or transfer of funds to the Title Company if the City Qrovides that
infonnation to us. The file wili ulso have copies of pertinent invoices related to the closings.
Paris Living will interface with TDHCA on the City's behalf regarding reimbursement issues
and will keep the City informed of any and all pmblems of expenditure reimbursement.
➢ Record keeping
• Our contracted consultant has been trained in State and federal record keeping requirements
as they relate to the Homebuyer Assistance Program. Paris Living will maintain all individual
loan files and the dacuments therein for review by the City and TDHCA. Paris Living wil!
create all set up and draw documents for each loan for signature and appraval by the
appropriate individual identified by the City to do so. Paris L,iving will interface with TDHCA
to ensure that aIl proj�ts are conrectty set up and•follow up to ensure that the requested draws
have in fact been made. Paris Living will maintain a general program file, which will contain
program legal documents, correspondence and reports. Paris Living will generate alI
administrative draw requests for approva) by the City for transmission to TDHCA for payment.
At the City's request, periodic pmgram status reports will be made to the City (timing of said
reports to be determined by the City). Files will be maintained centraily at Paris Living offices
and will be transported to the City's offices for review by state monitors when so desired by the
state and the City. At the end of the program, Paris Living will deliver all the files to the City
for long-term storage in accordance with I-ND rules and regulations.
➢ Environmental Cleacance
• Paris Living will revicw flood certifications and appraisals to deternune whether the
property being financed ties within a floodplain. The program design prohibits any property
that lies either within an airport runway clearance zone or with a coastal barriers resource area
from being funded in this program Pari,s Living will prepare the state environmental forms for
signature by the appropriate City staff person. Further, Paris Living will prepare lead base
paint notifications and disclaimers on behalf of the City for signature by the prospective buyers
of each house at or prior to closing. Patis Living will require that all prospective homebuyers
receive a lead base paint booldet either al the first lien loan application or as part of the eamest
money contract.
➢ Ciient Intake and Qualification
The program design call for client intake and'qualification to be performed by the contract
administrafor. Paris Living will undertake, or cause to be undertaken, this process on behalf
of the City. Paris Living will preseni applications to interested parties, either in person, by
fax, mail, or email; meet with applicants n a face-to-face setting to finish the application
process; prepare fornns for applicant and City designce signatures, prepare verifications of
employment and deposit; review ineome documentation; review credit reports, if necessary;
acauire and review first lien documents; prepare and send required disclosures to
borrowers; prepared and send notifications of loan approval or deniaL; and grepare and send
to TDHCA set up materials for their contract system. Information received will be
compared to application information received from the fusl lien mortgage lender. In
addition, Paris Living will provide training to any participating local lender to faeilitate the
processing of first, second and third lien loans and to insure that all program tvles and
regulations aze met. Paris Livings will provide assistance to the mortgage lenders via
telephone, fax, and email to ensure that all the applicants assisted are properly incomc
quaiified_ Paris Living wil! interface with TDHCA to ensure that all projects are correctly
set up and information is sent to TDHCA to prepare for closing.
➢ Affirmative and Fair Marketing
• Paris Living will provide general marketing activities as directed by the City to ensure the
success of tbe program. Paris Living will generate press releases on the program and
disseminate those releases to news media identified by the City. Paris Living will create and
disburse to participating first lien mortgage lenders packets of informadon regarding the
program including term sheets and copies of forrns and documents patinent to the homebuyer
assistance program. Paris Living will, at the request of the City and individual le.nders, visit
area Realtors with the lenders to explain the program and to encourage Realtors to participate.
Most of the marketing effort will occur at the beginning of the program. Tf the pro�am is not
originating effectively, additional marketing activities will be performed by Paris Living as
directed by the City. Direct expenses of any additional tnarketing efforts are solely the
responsibility of the City.
D Equal Opportunity/Section 504 Requirements
• Wlvle Paris Living understands that the City is familiar with federal Equal Employment and
Section SU4 Regulations, Paris Living will undertake to ensure thaf those regularions are met
during the execution of the TDHCA funded program and will be available to advise the City on
issues regarding those rules and regulations. Paris Living understands that the City's
Homebuyer Assistance Progi'am is essentially a financial program designed to enabie low
income families to become first time homebuyers. However, although rare, there may be
occasions wherein the house being purchased is new construction. In those instances, Paris
Living will make itself available, on behalf of and at the request of the City, to homebuilders
and deveIopers whose houses become a part of the program on an as needed basis respond to
equat employment and Section SQ4 issues, should any arise.
➢ Labor Standards �nd Monitoring
• In the instance where monitoring of labor standards becomes a requirement of this program
and the City, Paris Living understands that the City may have employees tasked with
monitoring I,abor Standards. If, however, the City desires Paris Living to perform those
monitoring activities, then Paris Living will be pleased to offer monitoring scrvices to the City
for a negotiated flat rate or at the at the Paris Living normal consulting rate of $90.00 per hour.
➢ Section 3 �pportunities
• Paris Living is not a Section 3qualified organization. However, Paris Living will, wherever
possible, encourage the hiring of, or contracting with, local individuals or companies that
meet the Section 3 definitions. Pairs Living wIIl compile any periodic reports on Section 3
activities and accomplishments as may be required by TDHCA for approval and submission
by the City.
➢ Affordable Iiousing Down Payment
• Paris Living will continually work with the lenders and Realtors to provide the homebuyer
assistance to families at lower median incomes. Althougti the program can assist families with
household incomes equal to 80% of the area median income by family size, Paris Living
understands the City's desire to assist families in the lower income strata. Paris Living wifl
continually encourage participating lenders to assist lower income families. This will be an
ongoing effod throughout the program and will be done through the lender's training and by
telephone. Historically, homebuyer assistance programs managed by Paris L�ving's Executive
Director have averaged assisting families at 60% of the azea median income.
➢ Contract Close Out Assistance
. Paris Living will assist the City in its contract close out process by completing all the
required forms on behalf of the City, interfacing with TDHCA on any issue that might preciude
an appropriate closure to tl�e program and delivering all the files to the City for long term
skorage.
➢ Additional Services
• Paris Living wi.11 provide any and all other services as may be required by the City and that
Paris Living has the ability and expertise to perform If any additianal services are required,
they wilI be perfornted at the spacific request and direction of the City. Unless negotiated at a
flat project rate, fees far said additional services will be billed at the Paris Living nortnal
consulting rate of $90.00 per hour.
Statement of Qualifications
As mentioned earlier, Paris Living has over ten years experience in local housing programs.
Specifically, Paris Living has managed several HOME Contracts with TDHCA for homebuyer
assistance and has managed a grant from the Meadows Foundation. The contract consuliant for
Paris Living (who is not an ecnployee of the Corporation) actually has over twenty-two years
managing federally funded programs as well as over eighteen years of local gavernment
experience. He has successfully managed both HOME investment Partnership Program and
Community Development Block Grant Program funded homebuyer assistance progams in
Garland Texas and Arlington Texas and has managed over twenty-seven homebuyer assistance
programs for clients receiving HOME Investment Partnership Program funds from TDHCA. In
addition to homebuyer assistance programs, he has helped his clients with new multi-family
construction projects, rental rehabilitation projects, new senior rental housing develogments,
disaster relief programs and conversion of non-housing type buildings into housing f�r senior
citizens. �-Ie has been involved in the HOME lnvestment Partnership Program since its
inception. He has wozked on a national housing taskforce at the reqnest oF HUD, has worked
on a HOME Program taskforce for TDHCA and has provided capacity building assistance to
housing related non-proiit organizations throughout the State of Texas. A more detailed
biography including examples of his accomplishments and a list of his past and current local
government and housing related non-profit organizaiion clients is attached for your review.
Proposed Cost of Services
The following proposed cost of services is being presented by scope of work category as
reimbursable by TDIiCA as was requested. However, it should be noted that actual billing of
administrative fees to TDHCA is limited to the same percentage as projects completed and
project funds drawn. Therefore the actual invoicing for administrative activities will be done
immediatety following the closing of each project. Additionally, the costs being submitted are
based upon the City completing ten loans per year throu�h this program. Total cost may be
adjusted percentage-wise according to the total amount of grant funds actuaily expended and
may be adjusted according to limits imposed by TDHCA throughout the contract cerm. Paris
Living will endeavor to have all its fees charged to the City be reimbursed by TDHCA
wherever possible and will be willing to cap its fees in accordance with caps imposed by
TDHCA for the program. Therefore, Paris Living reserves the right to mend fees on individual
activities performed based upon changes in TDHCA policy and allowances with [he
understanding that Paris Living total fees will not exceed overall TDHCA caps established for
the Qrogram. The following is an example of how fees will be assessed based upon current
TDHCA activities and allowances.

The following are the proposed project related itezns and sofr costs per loan made. Please note
that while the costs for individual items listed below may adjust prior to implementation, the
total amount per loan for sofl costs will not change. Also, while the activities listed below are
normal for the typical project, each project may actually differ in the needs for certain of the
services listed below. Therefore, not all services listed below may be performed on every
pinject. Where specific services are not required, the sofl costs for that project will be adjusted
accordingiy. A[so, TDHCA, ander current rules, will oniy reimburse the City $1,500 for soft
costs for each project completed therefore, not all items listed below can be charged to TDHCA
for reimbursement on every loan. The costs listed below are the actuai costs estimated to
perform the tasks. The total soft cosl charges made to the City for these services will be $1,500
per project. However, if TDHCA requirements and soft cost cap increase, Paris Livin�; will bill
soft cost services at the rates listed below. Some or all of the items below may be
subcontracted out to other providers. In that instance, Paris Living will still bil] for the total
soft costs per loan and subsequently pay for any subcontractor costs. Subcontracting any or all
of the items listed below is at the sole discretion of Paris Living. Again please note that the
aciivities listed below are nec:essary to each loan c;losing and the costs are besl eslima►cs for
completing those tasks. Regardless, lhe total cost to the City, reimbursable by TDHCA will be
$1,500 until the cap is raised.

A�ain, not all project related soft costs listed above will necessarily go to Paris Living. For
example, the Homebuyer Counseling and Tnspection fees may go to other agencies which may
be performing those tasks, yet they are still figuc'ed in the total project related soft costs. Under
the above scenario, che toial project related soft costs going to Paris Living, for work that it
performs excluding homebuyer counseling and home inspections would be $1,200. There may
be other costs that might have to be considered which are not figured into the above
calculations. This is based on the knowtedge that ofien, TDfiCA and I-iUD change
requirements mid-contract and adjustments might have to be made. In the unlikely case of that
occurring, we would propose a contract amendment to adjust the fee schedule.
PROPOSED BILLING SCHEDULE
Soft costs will be billed at the time funds are requested to be sent to the Title Company for the
loan closing. Administrative costs will be billed after the loan has closed and the Deed oFTrust
fited with the County. Both Soft costs and Administrative costs will be billed on a project
basis.
The City will pay the project related soft costs outside of closing upon receipt of an invoice
fram Paris Living at the same time it advances the project related hard costs to the Title
Company For the ctosing of each loan. The City will be reimbursed the project related soft
costs along with the project hard costs by TDHCA. The entire second lien loan amount plus
soft costs paid outside of ciosing will be reimbursed after closing by TDHCA out of lhe HOME
grant. Once that reimbursement has been made, the requisite administrative costs will be
reimbursed by TDiiCA.

development; leveraging and funds acquisikion; strategic planning; {and acquisition;
business recruitment, retention and expansion; affordable housing flnance;
infrastructure development and financing; proposal reviews; single family and multi-
family housing construction, rehabilitation and reconstruction; developing infill projects
for vacant lots; housing development design; down payment and closing cost assistance
programs; elderly and special needs housing; acquisition, rehabilitation and resale of
existing properties; and land banking.
Additionally, cfients have access to his experience in project monitoring; construction
management; performing and overseeing environmental assessments; project design;
pavis-Bacon Labor Standards monitoring; federal financial reporting requirements; and
organizational development and management. Under state and federal contracts, Mr.
Hunter has provided technical assistance to new and existing non-profit, Community
Housing Development Organizations ("CHDOs") throughout Texas, He has helped
establish new, charitable, non-profit organizations; has developed active neighborhood
homeowner groups and has successful{y managed non-profit organizations.
Mr. Hunter has extensive experience working on projects funded through HUD and Texas
Department of Housing and Community Affairs. Mr. Hunter managed the Community
Development B1ock Grant Program for the City of Garland for a four-year period and, in
that position, helped finance infrastructure repair, a business incubator, park
development and improvement, housing and social services. While with the City of
Dallas, he helped create the Housing and Neighborhood Development Department and
Office of Public Affairs and redesigned khe Planning and Development Department. He
marketed the programs of the City of Dallas through television and radio commercials he
produced and by representing the City at trade Palrs. He also warked for First Southwest
Company for three years, where he developed one of the first grants acquisition divisions
of an investment bank in the country. In 1996, he IefC First Southwest Company and
formed Hunter & Hunter Consultants, Inc. where he currently provides a variety of
services to clients in the housing, economic development, community development and
education fields. He has developed, implemented and managed housing rehabilitation
and down payment and closing cost assistance programs, e�onomic development and
community enhancement projects, inflll programs, single family reconstruction, new
multi-family and singte-family housing constri.►ction, apartment rehabilitation, energy
eFficiency programs and land acquisition and management programs. He has also
overseen dai�y management of eco�omic development corporations and housing finance
corpvrations on a contract basis.

As a member of the Texas Rural Development Council� Mr. Hunter served as Secretary of
the Board and chaired the Council's Texas Resource Team committee. Under that
program teams of federal, state, local and private sector experts assist rural
communities by determining their development needs and identiFying and designing
projects to redeve(op and market tf�e communities to make them mare attractive for
business development, recruitment and retention. Communities that Mr. Hunter
personally assisted through this program include the cities of Hearne, Linden, Winnsboro,
Stephenville, Queen City, Lufkin, Texarkana and Crystal City.
Mr. Hunter is also proficient in developing leveraging for a variety of types of projects.
He has worked with housing finance corporations and economic development
corporations to create leveraging programs for local housing and business development
efforts. Examples include flnancing infrastructure development, interim construction
�nancing, multi-family and single-family mortgage bond issues and the development of
required matching funds for both state and locally managed federaily funded programs.
In homebuyer programs, he has extensive experience in working with local banks and
mortgage companles in creating effective programs to assisC Iow and very-low income
families.
In addition to planning and managing projects, Mr. Hunter is proficient in training and
presentations. He has made training presentations at regional meetings of the National
Community Development Association, area Council of Government lo�al afficial training
sessions, the Texas Rural Development Council and at state-wide and regional housing
and community development conferences. He has taught courses in {everaging funds,
grant acquisition, grant management, strategic p(an develapment, developing grant
friendly projects, and an federaf rules and regulations.
Mr. Hunter has developed strategic ptans for the Texas Rural Development Council,

• Nan-proft/governmental management: Mr. Hunter has served as Executive
Director of the Garland Housing Finance Corporation and created Regionai
Qpportunities of Texas, Inc., a nonprofit community development organization
operating in North Central Texas. He has also served as Strategic Planning
Coordinator and Secretary of the Executive Cornmittee of the Texas Rura1
Development Council. For that organization, he also served as the private sector
chairman of the rural resource team committee, the �ural housing committee, and
the barriers and impediments committee.
Whi1e with the City of Dallas, Mr. Hunter was a member of the Urban Management
Assistants of North Texas, the International Ombudsman Institute, and the Community
Associations Institute, where he served on the Board of Directors. While with the City of
Garland, he was a member of the National Community Development Association and was
president of Region VI of that organization which included the states of Texas, Arlcansas,
Louisiana, Oklahoma and New Mexico and he served on the U.S. Department of Housing
and Urban Development National Paperwork Reduction Taskforce and served as
chairman of the financial and rniscellaneous workgroup of that body. While with First
5outhwest Company and Hunter & Hunter Consultants, Inc., Mr. Hunter rep�esented
those companies with the Texas Rural Development Council, the National Association of
Housing Finance Agencies and the Texas Association of Housing Finance Agencies, where
Mr. Hunter actively participated in annual conferences and training meetings. He served
on the HOME Program Advisory Task Force for the Texas Department of Housing and
Community Affairs. An accomplished public speaker, Mr. Hunter is often asked to
address organizations, professional associations, conferences and workgroups on a
variety of topics.
