RESOLUTION NO.
A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF PARIS,
PARIS, TEXAS, APPROVINGAND AUTHORIZING THE EXECUTION OF
A CONTRACT WITH R.I.M. ENTERPRISES, INC. FOR
ADMINISTRATIVE SERVICES IN CONNECTION WITH THE BOOKER
T. WASHINGTON COMMUNITY CENTER PROJECT UNDER THE
TEXAS DEPARTMENT OF HOUSING AND COMMUNITY AFFAIRS'
COMMUNITY DEVELOPMENT BLOCK GRANT; MAHING OTHER
FINDINGS AND PROVISIONS RELATED TO THE SUBJECT; AND
DECLARING AN EFFECTIVE DATE.
WHEREAS, the City Council of the City of Paris did heretofore, on the l Oth day of December,
2001, in Resolution No. 2001-194, authorize an application to be made to, and subsequent acceptance
thereof if awarded by, the Texas Department of Housing and Community Affairs for a Community
Development Block Grant to fund the Booker T. Washington Community Center Project; and,
WHEREAS, on Apri19, 2002, the City of Paris received notice of award of said grant and has
executed all necessary documents for acceptance thereof; and,
WHEREAS, Robert Jones, President of R.I.M. Enterprises, Inc., has made a Response to
Request for Proposal for administrative/management consulting services far the project in the amount of
$20,000.00, and it is deemed appropriate that such proposal be accepted; and,
WHEREAS, the form of the Contractfor Administrative Services, attached hereto as Exhibit A,
should, in all things, be approved, and the City Manager should be authorized to execute the same; NOW,
THEREFORE,
BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF PARIS, PARIS,
TEXAS:
Section 1. That the findings set out in the preamble to this resolution are hereby in all things
approved.
Section 2. That the Response to Request for Proposal pf R.I.M. Enterprises, Inc. for
administrative/managementconsultingservicesfartheBookerT. WashingtonCommunity CenterProject,
including administrative fees, in the amount of $20,000.00, funded under the Texas Department of
Housing and Community Affairs' Community Development Block Grant, TCDP Contract No. 721596,
be, and the same is hereby, accepted.
Section 3. That the City Manager be, and he is hereby, authorized and directed to execute, on
behalf of the City of Paris, the Contract for Administrative Services with R.I.M. Enterprises, Inc., under
the terms and conditions and in the form shown in Exhibit A, attached hereto.
Section 4. That this resolution shall be effective from and after its date of passage.

CONTRACT FOR ADMINISTRATIVE SERVICES
PARTI-AGREEMENT
THIS AGREEMENT, made and entered into this 13th day ofMay, 2002, by and between the
CITY OF PARIS, State of Texas (hereinafter called the "CITY"), acting herein by City Manager,
Michaet E. Malone, hereunto duly authorized, and R.I.M. Enterprises, Inc. (hereinafter called the
"Consultant") acting herein by Robert L. Jones, Jr.
WITNESSETH THAT:
WHEREAS, the City of Paris desires to implement a project under the general direction of the
Texas Community Development Program, and;
WHEREAS, the City desires to utilize the services of R.I.M. Enterprises, Inc. to render ceRain
administrative services in connection with the City's Youna vs. Martinez Project funded by the
Office of Rural Community Affairs;
NOW, THEREFORE, the parties do mutually agree as follows:
1. Scope of Services
See Part II
2. Time ofPerformance
The services of R.I.M. Enterprises will commence on May 13 , 2002. In any
event, all the services required and performance hereunder shall be completed no later
than February 25, 2004.
3. Access to Information
It is agreed that all information, data, reports and recotds necessary to carry out the
work described above shall be furnished to R.I.M. Enterprises by the City and its
agencies. No chazges will be made to R.I.M. for such information and the City
will cooperate with R.I.M. Emerprises in every way possible to facilitate the
performance of the work described in the coMract.
EXHIBIT I
4. Compensation and Method ofPayment
The m~imum compensa6on and reimbursement to be paid for the services listed
above shall not exceed Twenty Thousand ($20,000) Dollars. Payment to
Consultant shail be based upon satisfactory completion of identified services listed
under Scope of Services.
Payment shall be made in response to invoices submitted by the Consultant to the
City. A detailed estimate of costs is enclosed as Part III of this agreement.
5. Indemnification
R.I.M. Enterprises, Inc. shall comply with the reqwrements of all applicable laws,
rules and regulations, and shali exonerate, indemnify, and hold harmless the City
and its agency members from and against them, and shall assume full responsibility for
payments of Federal, State and local taxes on contributions imposed or required under
the social securiry, workman's compensation, and income tax lawa
6. Miscellaneous Provisions
a. This agreement shall be construed under and accord with the laws of the State
of Texas, and all obtigations of the parties created hereunder are performable in
Paris, Lamar County, Texas.
b. This agreement shall be binding upon and ensure to the benefit of the parties
hereto and to their respective heirs, executors, administrators, legal
representatives, successors, and assigns where pernvtted by this Agreement.
c. In any case one or more of the provisions contained in the Agreement shall for
any reason be held to be invalid, illegal or unenforceable in any respect, such
invalidity, illegality, or unenforceability shall not affect any other provision
thereof and this Agreement shall not be construed as if such invalid or
unenforceable provision had never been contained herein.
d. If any action at law or in equity is necessary to enforce or interpret the terms of
this Agreement, the prevailing party shall be entitled to reasonable attorney's
fees, costs, and necessary disbursements in addition to any other relief to which
such party may be entitled.
e. This Ageement may be amended by mutual agreement of the parties hereto and a
writing to be attached to and incorporited into this Agreement.
7. Terms and Conditions
This Agreement is subject to the provisions tided "Terms and Conditions" and attached
hereto and incorporated by reference herein.

Termination of Contract 1or Cause. tl, through any cause, the Firm shall fail to fulfill in a
timely and proper manner his/her obligations under this Contract, or it the Firm shall violale
any of the covenants, agreements, or stipulations of this Contract, the City/County shall
thereupon have the right to terminate this Contract by oiving written notice to the Firm of such
termination and specifying the effective date thereol, al lezst five days before the efieci4ve
date of such termination. In such event, all 5nished or un5nished documents, data, studies, _
surveys, drawings, maps, models, photographs and reaorLS prepa(ed by the Firm under this
Contract shalt, at the option o( the Cfty/County, become its property and the Firm shall be
entitied to receive just and equitable compensation tor any work satisfactorily completed
hereunder. . ,
Nohvithstanding the above, the Firm shall no; be relieved of Iiability to 'the City/County for
damages sustained by the City/County by virtue of any breach o( the Contract by the Firm,
and the City/County may withhold any pzymen;s to the rirm tor the purpose of set-oY until

2. Termination for Convenience of the CiN/Countv. Tne City/County may terminate this Contract
at any time by giving at least ten (10) days notice in writing to the Firm. If the Contract is
terminated by the City/County 2s provided herein, the rirm will be paid for the time provided
and expenses incurred up to the termination date. ff this Contract is terminated due to the
fautt, of the Frm, Paragraph 1 hereof relative to termination shail apply.
3. Chanaes. The-City/County may, from time to time, request changes in ihe scope of the
services of the Firm to be performed hereunder. Such chanoes, including any increese of
decrease in the amount of the Firm's compensation, which are mutually agreed upon by and
betwaen the City/County and the Firm, shall be incorporztad in written amendments to tnis
Contract.
4. Personnel.

5. Assiqnabi(itv. The Firtn shall not asslgn any interest on this Contract, and shall not transfer
any interest in the same (whether by assignment or novation), without the prior wrfiten
consent of the City/County thereto: Provided, however, that claims tor money by the Firtn
from the City/County under this Contrad may be assigned to a bank, trust company, or other
financial institution without such approyal, yyrttten notice of any such assianment or trans(er
shall be furnished promptly to the City/County.
6. Reports and Information. The Firm, at such times and in such torms as the City/County may_.
require, shall furnish the City/County such periodic reporLs 2s it may request pertaining fo the
work or services undertaken pursuant to this ConVact, the costs and oblioations incurred or
to be incurred in connedion therewith, and any other matlers covered by this Contract_
7. Records and Audits. The Firm shall maintain accounts and records, including personnel,
property and financial records, adequate to identify and account for atl costs pertaining to the
Contract and such other records as may be deemed necessary by the City/CounN to assure
proper accounting for all projed funds, both Federal and non-Federal shares. These records
will be made availabie tor audit purposes to the City/County or any authorized representative,
and will be retained for three years after the expiration of this Contrad unless permission to
destroy them is granted by tiie City/County.
8. Fndinos Confidential. All of the reports, information, data, etc., prepared or assembled by
the Frtn under this corttract are confidential and the Frm agrees that they shall not be made
available to any individual or organizafion without the prior written approval ot the City/County.
9. Coovrioht No report, maps, or other documents produced in whole or in part under this
Contrad shall be the subject of an apptication for copyright by or on behafi of the Firm.
10. Comoliance with Local l.aws, The Firm shail comply wRh all applicable laws, ordinances and
codes of the State andlocai governments, and the Rrm shali save the City/County harmless
with respect to any damages=arising from any tort done in performing any ot the work
embraced by this Contrac[.

a. The work to be performed under this contract is on a projed assisted under a
program providing direct Federal financial assisiance from the Department of Housing
_ and Urban Development and is subject to the requirements of Section 3 of th=
Housing and Urban Development Ad of 1968, as amended, 12 U.S_C. 1701 U. Sedion
3 requires that to the greatest extent feasible opportunRies tor Vaining and employment
be given lower income residents of the project area and contracls for work in
connedion with the project be awarded to.business concerns which are lo:ated in,
or owned in substantial part by peisons residing in the arez of the project.
b. The parties to this conVact will comply with the provisions of said Section 3 and the
regulations issued pursuant thereto by the Secretary ot Housing :znd Uroan
Development set torth in 24 C.F.R. 235, and all appficable rules and orders of the
Department issued thereunder prior to the execution of this ConVac[. The partie's to

17. Interest of piher Cocal Public Officials. No member of the governing body o( the lo..ality and
no other pubfic official of such locality, who exercises any functions or responsibilities in
connecfion with the planning and carrying out of the program, shzll have any person>I
financial interest, direct or indirect, in this Contract; and the Frm shall take appropriate steps
• to assure compliance.
18. Interest of Firm and Emolovees. The Frm covenants that he/she presentiy has no interest
and shzll not acquire interest, director indire: i, in the study area or any parceis therein or any
other interest which would conflict in any manner or degree with the periormance of his/her
services hereunder. The Firm further covenants that in the performance of this ConVat-t, no
person having any such interest shall be empioyed.

On behalf of R.I.M. Enterprises, Inc., I am please to submit the enclosed Resoonse to Request
for Proposal to the City in providing administrative/ management consulting services in the
provision of acquisition, demolition and construction funded under a(Yvm) Program Grant by
the Texas Department of Housing and Community Affairs. I trust that the enclosed information
provides a full and complete disclosure of my Srm's experience and eacpertise. Overall, R.I.M.
Enterprises has had extensive experience in administering Texas Communiry Development and the
Class Action Suite, Projects and has had experience in all of the areas as specified in the Scope of
Services. The estimated cost of providing the services in confonnance with the City's Request for
Proposals is $20,000. The attached budget page provides a cost justification for this estimate.
Generally, the quality of a consulting 5rm is measured by its references. I feel confident in
requesting you contact our previous cGerns in their satisfaction of services provided. I feel that the
Citys' Texas Community Development/ Young vs. Martinez Fund project can be administered
from initiation to completion with minimal problems. Further, R.I.M. Enterprises pledges to be
available to the City as the project demands to successfully complete and close-out the project.
R.I.M. Enterprises will be responsible to the City until the project is closed out and accepted by
the Texas Department of Housing and Community Affairs.

In undertaking the above activities, R.I.M. Enterprises will conform to all requirements and
regulations of the Texas Department of Housing and Community Affairs, especially as it re(ates to
the Texas Communiry DevelopmenUYvM Program. Attachment A provides a detailed list of the
specific activities to be provided by RI.M. Enterprises. Approval of the City Council will be
required prior to the submission of all close-out documents to the Texas Department of Housing
and Community Affairs.
B. PERFORMANCE
Overall, R.I.M. Enterprises will be availabie to the City from project initiation to project
comp(etion and will be responsible for all administative aspects of the Texas Community
Development Program. As identified above, Robert L. Jones, will be the staffperson assigned to
the City. Resume of Mr. 7ones is attached to the Response to the Request for Proposals. R.I.M.
Enterprises offers the expertise necessary to complete the project with minimai delays. R.I.M.
Enterprises will be available to the City for the duration of the project and will obligate the
necessary time and resources to complete the project within the required time-frame. No
subcontracts or joint ventures will be utilized without the approval of the City. R.I.M. Enterprises
will assume sole responsibility for administrarive duties relative to the Texas Community
Development Program in the City of Paris.
C. PERSONNEL/OUALIFICATIONS
R.I.M. Enterprises is a consulting firm practicing in both Texas and Arkansas. The firm specializes
in the administration of State and Federal programs in wnjunction with or on behalf of local
jurisdictions. RIM is one of the few Management Firms with experience with the Class Action
suite Fund Programs. The attached Qualifications Statement provides detailed insight on the firm's
expertise and references. Robert Jones will be the staff person assigned to the City for the Texas
Community Development Project. R.I.M. Enterprises has over 20 years experience in
administering grants and has supervised a multitude of Texas Community Development Projects
of a similar nature. Please refer to the attached Statement of Qualifications for detailed insight
into the qualifications and references of RLM. Enterprises.
ATTACIiMENT B
R.I.M. Enterprises proposes to provide all required services and activities necessary to implement
the City's TCDP/ Yv project from inception to complation for a total cost of $20,000. R.I.M.
Enterprises will assume full responsibility for the administration of the project on behalf of the
City in full compliance with the grarit agreement between the City of Paris and the Texas
Department of Housing and Community Affairs. The following is a cost estimate by line item for
