to the City of Paris to conduct an executive search for a new City Manager.
We are quite active in the public and private seetors, either currently eonducting or having just
completed searches for positions for several organizations around the country, We have
conducted over 200 executive searches in the last three years, including 87 searches for City
Managers in such communities as: Wylie, TX; Plainview, TX; Boulder, Colorado; College Park,
GA; Daytona Beach, FL; Flint, MI; Northglenn, CO. We have recently completed other searches
in Texas including Director of Aviation for the City of Lubbock, TX, Director of Community
Development for the City of Mesquite, TX and Police Chief for the City of Bryan, TX.

Our Approach
After reviewing written materials provided by the City and meeting with you and others of your
choice to determine their objectives relative to the search, we would conduct the following steps:

Schedule
Our search process normally takes about 90 to 120 days from date of approval of the Position
Profile by the client. The more time we have, within reason, of course, the more effectively we
can conduct thorough evaluation and background checks on finalist candidates.

Our firm is headquartered in the Atlanta Metropolitan area and has branch offices in Dallas,
Texas; Greeley, Colorado; Raleigh, North Carolina; Weimar, California; Phoenix, Arizona; and
Santa Fe, New Mexico. I work from the Dallas office.
The principal consultant to be utilized for this engagement would be Mr. Jim C. Blagg, Senior
Vice President of our firm. Mr. Blagg will be assisted by Mr. James 1. Mercer, President of our
firm. Mr. Blagg has had a distinguished career in both the public and private sectors; serving as
City Manager and Deputy City Manager in municipalities with populations ranging from 7,000
to 200,000; serving as Chief Executive Officer and Chief Operating Officer of private firms with
revenues ranging from $4.0 million to $50.0 million. Jim has been involved in both State and
National professional organizations serving as President of the Texas City Management
Association and Vice-President, Mountain Plains Region, of the International City/County
Management Association. Jim is a recognized leader in local government innovation, being one
of the only City Manager's to ever receive two Program Exeellence Awards in one year from the
International City/County Management Association. Jim has recently served as adjunct professor
of public management at the University of North Texas
The quality of our work is evidenced by the amount of repeat business which we receive from
our clients.
We have a number of minority and women plaeernents in key executive positions and are proud
of that record, In the last two (2) years we have placed seventeen (17) minority candidates in
various positions across the country. Of those placements, three (3) were Hispanics. One was
placed in a City Manager position, one as a Director of Information Services position and one in
a City Engineer position. We have also placed fourteen (14) African American candidates in the
following positions, City Manager, Assistant City Manager, Director of Planning, Solid Waster
Superintendent, Library Director and many other department director level positions. These
placements have been in communities such as District of Columbia, Avondale, AZ, Coral
Springs, FL, Norfolk, V A and Richmond, V A.

Guarantees

We will not recruit the placement for other positions without your pennission.

We will not recruit any of your staff for two years from the date of the
placement, without your pennission.

If the selected candidate leaves your employ within the first two years, we will

Reasonable Fees
Our fees to conduct a search of this type are competitive. An outline of various levels of search
services is detailed below. Since we are conducting other consulting work around the country,
expenses can be kept to a minimum.

~nded in 1886. the City of Wylie is located in Collin County just 24 miles
\3&~m downtown Dallas and situated on Lake Lavon. Wylie (2004 population
25,000) is one of the fastest growing communities in the State of Texas with a 65%
increase since 2000. Possessing an outstanding school district, low crime rates. and an
expanding business climate. Wylie is the ideal place for residents looking for a small
town environment with easy access to big city amenities.
In the 21st century, Wylie has become one of the fastest growing communities in Collin
County. the DFW Metroplex and the State of Texas. In 2003 Wylie issued over 1.400
single family permits. With that growth, the City has made a transition from "bed-
room" community to a "balanced" community combining quality residential living with
a healthy business climate. For the 2002 fiscal year. the City of Wylie had the lowest
crime rate in Collin County for cities with a population greater than 10,000.
The City of Wylie has been cited by North Central Texas Council Of Governments for
its unique, customer friendly approach to development planning. The City works
closely with developers to create unique developments that avoid a "cookie cutter"
appearance. Because of this approach and Wylie's growth potential. representatives
from Chili's, Home Depot and Wal-Mart (for a Super Wal-Mart) indicate that the
City of Wylie is one of the smallest markets in which they have chosen to locate a
facility. Home Depot opened in July 2003, Chili's opened in December 2003 and
Super Wal-Mart is scheduled to open in Summer 2004.
There are approximately 800,000 square feet of facilities and 1,000 jobs through the
, IndustrialJBusiness Corridor. This does not include Sanden, DFW's 14th largest
I-' subsidWy of a foreign company, which is the largest employer in Wylie with

inally adopted on January 19, 1985. The Mayor and six City Council members are
elected at large, by Place for three-year staggered terms. One of the Council Members
is appointed as Mayor ProTem. The City Manager is appointed by the City Council.
The Wylie City Council has one of the longest average tenures per council member,
including Mayor John Mondy, who has served as Wylie's mayor since 1998.
The City of Wylie has been recognized for its planning and zoning efforts to preserve
its commercial downtown (Ballard Street) as a specialty and cultural area. Along with
preserving its downtown commercial area, the City continues its efforts to create a new
downtown commercial area. Building Inspections received the 2002 Texas Municipal
League's Management Innovation Award of Excellence for the first city in Texas to
implement a handheld inspection and printing program. In 2002, the City of Wylie
Fire Department received an ISO class rating of L It became only the fourth Texas
city to receive this maximum rating.

The City Manager is the Chief Administrative Officer of the City and is responsible to
the City Council for the administration of all City affairs as outlined in the Charter.
The City Manager appoints all City employees and administrative officers as set forth
in the Charter. The current management team consists of the Assistant City Manager,
City Engineer. Police Chief. Fire Chief, Human Resource Director, Planning Director,
City Secretary, Finance Director, Library Director, Community Services Director and
Public Information Director. The City has 146 full time employees and a Fiscal 2004
operating budget of$32 million and a capital budget of$8 million. The City has an "A"
bond rating from Standard and Poor's and an "A3" rating from Moody's Investor
Service

Manager in a comparably sized community or an Assistant Manager in a larger
community. A Master's degree in Business Administration, Public Administration, or

on experience and qualifications. The City of Wylie participates in the Texas
Municipal Retirement System (TMRS). Under this tax deferred plan, the
employee contributes 7% of gross salary with the City matches this
contribution on a 2 to 1 basis. The City offers a deferred compensation plan,
fully City-funded employee health insurance. life insurance and long term
disability insurance, plus 50/50 contribution towards dependent medical and
dental insurance. The City also ofTers tuition reimbursement up to $1.000
per year.

Dear Mr. Anderson:
The Mercer Group, Inc. is pleased to submit a letter proposal along with a detailed cost proposal
to the City of Paris to conduct an executive search for a new City Manager.
We are quite active in the public and private sectors, either currently conducting or having just
completed searches for positions for several organizations around the country. We have
conducted over 200 executive searches in the last three years, including 87 searches for City
Managers in such communities as: Wylie, TX; Plain view, TX; Boulder, Colorado; College Park,
GA; Daytona Beach, FL; Flint, MI; Northglenn, CO. We have recently completed other searches
in Texas including Director of Aviation for the City of Lubbock, TX, Director of Community
Development for the City of Mesquite, TX and Police Chief for the City of Bryan, TX.
We are very experienced in City Manager searches, in all size communities. Because we are
doing or have recently completed similar searches, we can also move quickly to meet your
needs. Further, we will be working out of our Dallas office. This allows us to bring total
objectivity to searches such as the one the City of Paris is contemplating and it will allow us to
keep expenses to a minimum. We currently have sufficient staff and time in the Dallas office to
meet all of the requirements of the City of Paris
Our Approach
After reviewing written materials provided by the City and meeting with you and others of your
choice to determine their objectives relative to the search, we would conduct the following steps:

Analyze of the position and draft a Position Profile.
2.
Recruit for the position on a regional and national basis.
3.
Invite potential candidates to apply who meet the criteria established by the client.
4.
Review and screen applications.
5.
Conduct interviews and background checks of selected candidates.
7.
Recommend a list of final candidates with a write up, suggested questions and
fonDs.
Coordinate final interviews, conduct final background checks, negotiation and
follow-up.
6.
Our approach is highly interactive and significantly involves the client in all important steps of
the process.
Schedule
Our search process nonnally takes about 90 to 120 days ITom date of approval of the Position
Profile by the client. The more time we have, within reason, of course, the more effectively we
can conduct thorough evaluation and background checks on finalist candidates.
Firm Qualifications and Staffin!!
Our finD is headquartered in the Atlanta Metropolitan area and has branch offices in Dallas,
Texas; Greeley, Colorado; Raleigh, North Carolina; Weimar, California; Phoenix, Arizona; and
Santa Fe, New Mexico. I work ITom the Dallas office.
The principal consultant to be utilized for this engagement would be Mr. Jim C. Blagg, Senior
Vice President of our finD. Mr. Blagg will be assisted by Mr. James L. Mercer, President of our
finD. Mr. Blagg has had a distinguished career in both the public and private sectors; serving as
City Manager and Deputy City Manager in municipalities with populations ranging ITom 7,000
to 200,000; serving as Chief Executive Officer and Chief Operating Officer of private finDS with
revenues ranging from $4.0 million to $50.0 million. Jim has been involved in both State and
National professional organizations serving as President of the Texas City Management
Association and Vice-President, Mountain Plains Region, of the International City/County
Management Association. Jim is a recognized leader in local government innovation, being one
of the only City Manager's to ever receive two Program Excellence Awards in one year from the
International City/County Management Association. Jim has recently served as adjunct professor
of public management at the University of North Texas
The quality of our work is evidenced by the amount of repeat business which we receive ITom
our clients.
We have a number of minority and women placements in key executive positions and are proud
of that record. In the last two (2) years we have placed seventeen (17) minority candidates in
various positions across the country. Of those placements, three (3) were Hispanics. One was
placed in a City Manager position, one as a Director of Infonnation Services position and one in
a City Engineer position. We have also placed fourteen (14) African American candidates in the
following positions, City Manager, Assistant City Manager, Director of Planning, Solid Waster
Superintendent, Library Director and many other department director level positions. These
placements have been in communities such as District of Columbia, Avondale, AZ, Coral
Springs, FL, Norfolk, V A and Richmond, VA.
Code of Ethics
Both Mr. Blagg and Mr. Mercer are members and subscribe to the Code of Ethics of the
International City/County Management Association. Additionally, Mr. Mercer is a Certified
Management Consultant and subscribes to the Code of Ethics of the Institute of Management
Consultants.
Guarantees
We offer several guarantees of our work. The four most important are:

We will keep working until the placement is made.
2.
We will not recruit the placement for other positions without your pennission.
3.
We will not recruit any of your stafffor two years ITom the date of the
placement, without your pennission.
4.
If the selected candidate leaves your employ within the first two years, we will
redo the search for expenses only.
Reasonable Fees
Our fees to conduct a search of this type are competitive. An outline of various levels of search
services is detailed below. Since we are conducting other consulting work around the country,
expenses can be kept to a minimum.

Expenses are for actual and documented consultant travel, lodging and per diem, telephone,
correspondence, advertising, postage, delivery services and report preparation.
Our ability to carry out the work required will be heavily dependent upon our past experience in
providing similar services to others, and we expect to continue such work in the future. We will,
to the degree possible, preserve the confidential nature of any information received fÌ'om you or
developed during the work in accordance with our professional standards.
We assure you that we will devote our best efforts to carrying out the engagement. The results
obtained, our recommendations and any written material provided by us will represent our best
judgment based on the information available to us. Our liability, if any, will not be greater than
the amount paid to us for the services rendered.
This proposal constitutes the agreement between us. It cannot be modified except in writing by
both parties. Our agreement will be interpreted according to the laws of the State of Texas.
