1. Call meeting to order— Stephen Grubbs, Chair
2. Discuss and possibly take action on Paris EDC Board members (including Ex-
Officio members and Staff) to execute a non - disclosure /confidentiality agreement
pertaining to any and all information obtained in Executive Session discussion.
3. Convene into Executive Session:
a) Pursuant to Section 551.072 of the Texas Government Code to discuss and
deliberate the purchase, exchange, lease, or value of real property.
b) Pursuant to Section 551.087 of the Texas Government Code to discuss or
deliberate: 1) commercial or financial information that the governmental body
has received from a business prospect that the governmental body seeks to have
locate, stay or expand in or near the territory of the governmental body and
with which the governmental body is conducting economic development
negotiations; or 2) to deliberate the offer of a financial or other incentive to a
business prospect.
4. Reconvene into Open Session and possibly take action on item(s) discussed in
Executive Session.
5. Approval of minutes from the July 15, 2014 re- scheduled monthly meeting, called
meetings of July 21, 2014 and August 5, 2014
6. Approval of [July 2014] financials
7. Interim Executive Director's Report:
• Employers and Educators meetings that was held on July 29, 2014
• Status of appraisal on lots located on S. Church Street

8. Discuss and possibly take action on Tax Abatement and Incentive Agreement

9. Discuss and possibly take action on addition to the PEDC policy manual of non -
solicitation clause for PEDC personnel — Rebecca Clifford
10. Discuss and possibly take action on proposed amendments to Paris EDC Bylaws.
11. Discuss and possibly take action on all PEDC contracts. — Rebecca Clifford
12. Discuss and possibly take action on future relationship with Jeff Moore, Attorney,
Brown & Hofineister, LLP
13. Discuss and possibly take action on invoice(s) for legal services from Jeff Moore,
Attorney, Brown & Hofineister, LLP
14. Discuss and possibly take action on Defenbaugh & Associates invoice for June,
2014 in the amount of $6,882.50.
15. Discuss and possibly take action to authorize the Paris City Attorney to release a
copy of the Defenbaugh & Associates preliminary /draft report of June 13, 2014, on
the PEDC forensic investigation to the Paris City Council.
16. Discuss and possibly take action on the next steps by the Paris EDC Board
pertaining to the Defenbaugh & Associates investigation.
17. Discuss and possibly take action on the PEDC line of credit with Capital One.
18. Discuss and possibly take action on the Executive Director short-list of candidates
provided by the Paris EDC Board members to proceed with telephone interviews,
in- person interviews, etc. - David Turner /Stephen Grubbs
19. Discuss and possibly take action on EDSuite invoice for annual license and web
hosting for the Paris EDC in the amount of $2,399.00
20. Discuss and possibly take action on Interim Executive Director's attendance at
upcoming conferences.
