2. Discuss and possibly take action on SEALED BIDS to purchase four (4) lots owned
by the Paris EDC located at 1546 S. Church Street as posted in the Legal Notices of
The Paris News on August 31 and September 7, 2014.
3. Approval of minutes from the September 9, 2014 regular meeting; September 15,
2014 joint meeting with the Paris City Council; and September 19, 2014 called
meeting
4. Approval of [September 2014] financials
5. Interim Executive Director's Report:
• Visit to Kilgore and Tyler on "best practices" pertaining to Tax Abatement
and Incentive Agreement compliance.
• Update from the Workshop that was held in Austin on September 23, 2014
pertaining to the Property Accessed Clean Energy (PACE) Program in
Texas.
• Chamber Banquet 2014.
• Industry Appreciation Week, October 27 -31, 2014.
• Sales Tax Workshop in northeast Texas region by Texas Economic
Development Council in early 2015.
6. Discuss and possibly take action on land acquisition for a future City of Paris EMS
Station to be located in the Northwest Industrial Park. – John Godwin
7. Discuss and possibly take action on Program of Work for FY 2014 -15.
8. Discuss and possibly take action regarding Defenbaugh & Associates' contract and
final payment.

9. Discuss and possibly take action pertaining to Incentive Agreements for T &K
Machine and Potters Industries.
10. Discuss and possibly take action on seeking Statement of Qualifications from local
attorneys to assist with legal issues pertaining to the PEDC organization.
11. Discuss and possibly take action on release of incentive agreement payment to
HWHJRogers Wade that was approved at the August 21, 2014 called meeting.
12. Discuss and possibly take action on addition to the PEDC policy manual of non -
solicitation clause for PEDC personnel — Rebecca Clifford
13. Discuss and possibly take action on invoice(s) for legal services from Jeff Moore,
Attorney, Brown & Hofineister, LLP
14. Discuss and possibly take action on "next steps" pertaining to the search for an
Executive Director. — Stephen Grubbs
15. Convene into Executive Session:
a) Pursuant to Section 551.072 of the Texas Government Code to discuss and
deliberate the purchase, exchange, lease, or value of real property.
b) Pursuant to Section 551.074 of the Texas Government Code: 1) to deliberate
the appointment, employment, evaluation, reassignment, duties, discipline or
dismissal of a public officer or employee; or 2) to hear a complaint to charge
against an officer or employee. Deliberate duties and fringe benefits of Interim
Executive Director.
c) Pursuant to Section 551.087 of the Texas Government Code to discuss or
deliberate: 1) commercial or financial information that the governmental body
has received from a business prospect that the governmental body seeks to have
locate, stay or expand in or near the territory of the governmental body and
with which the governmental body is conducting economic development
negotiations; or 2) to deliberate the offer of a financial or other incentive to a
business prospect.
16. Reconvene into Open Session and possibly take action on item(s) discussed in
Executive Session.
