Assistant Ex- Officio Members Guest(s) Present: None Present: Kelli Mallicote Legal Counsel: None City Council Liaison: Edwin Pickle Stephen Grubbs, Chairman welcomed those present at 9:02 a.m. Confirmed a quorum was present at 9:04 a.m. Citizens' Input: Kelli Mallicote of BodyGuard Truck Accessories addressed the Board and expressed concern about the information needed for incentive compliance that was requested by the PEDC. She did not want private information such as social security numbers, salaries, and job titles to be available to the public due to it becoming public information once the PEDC had received it. Kelli Mallicote had submitted some compliance documentation and told those present that the other required documents could be viewed on site at their business location. The Board also discussed whether the Board would be able respond or have a dialog with whoever makes a comment about the PEDC on this item. The Board will discuss at the next meeting. Discuss and possibly take action on quotes for Commercial General Liability Insurance for the Northwest Industrial Park and Rail Spur Shannon Barrentine told those present that Mid - Continent Group quoted a cost of $781.00 per year. Don Wilson made a motion to accept the quote from Mid - Continent Group for Commercial General Liability Insurance in the amount of $781.00; seconded by John Brockman. Motion Carried 4 -0. PEDC Board Meeting AMENDED Minutes February 18, 2015 Page 2 of 2 Discuss and possibly take action on the PEDC Annual Report to be presented to the Paris City Council on February 23, 2015 The PEDC Board made suggestions and corrections to the Annual Report: Include the number of attendees at the 3 Industrial Managers Meetings; Reference the joint Planning and Zoning Commission and Airport Sub - Committee meeting; and Note that Rebecca Clifford and Stephen Grubbs currently are serving on the Airport Sub - Committee as representatives of the Paris EDC Board. Kelli Mallicote left at 9:59 a.m. The Board convened into Executive Session at 9:59 a.m. Pursuant to Section 551.072 and Section 551.087 of the Texas Government Code to discuss and deliberate on the following: 1. Pursuant to Section 551.072 — Real Property 2. Pursuant to Section 551.087 — Economic Development Negotiations Executive Session ended at 11:26 a.m. The Board reconvened into open session. As a result of executive session discussion the Board took the following action: Rebecca Clifford made a motion to execute the agreement with Potters Industries with amendments as discussed; seconded by John Brockman. Motion Carried 4 -0. Rebecca Clifford made a motion to negotiate and execute the agreement with T &K Machine with amendments and modifications; seconded by Don Wilson. Motion Carried 4 -0. Rebecca Clifford made a motion to discuss the compliance covenant issue with Jeff Moore regarding one incentive agreement; seconded by John Brockman. Motion Carried 4 -0. Confirmed a quorum was present. Discuss and possibly take action on continuing Citizens' Input item for future Agenda items. John Brockman stated that he thought that because the PEDC was a different entity that they would be able to respond to citizens comments. Looking at the Open Meetings Act we aren't allowed to rebut. Don Wilson suggested leaving it on the agenda for a few months and see how it goes. No action was taken on this item. Approval of minutes from the February 10, 2015 regular meeting and February 18, 2015 called meeting Rebecca Clifford made a motion to accept the Minutes, as submitted, for February 10, 2015 and February 18, 2015 meetings; seconded by Don Wilson. PEDC Board Meeting Minutes March 10, 2015 Page 2 of 4 Approval of January 2015 and February 2015 financials Don Wilson made a motion to approve the January 2015 financials, as submitted; seconded by John Brockman. Motion Carried 5 -0. Rebecca Clifford made a motion to table the February 2015 financials due to questions about the Bond payment; seconded by David Turner. Motion Carried 5 -0. Interim Executive Director's Report: Status of the Texas Workforce Commission High Demand Job Training Program through Workforce Solutions of Northeast Texas grant application: Shannon Barrentine told those present that there was a press release in The Paris News about the grant. Dr. Pam Anglin and Shannon Barrentine attended a meeting last month in Mount Pleasant with the other EDC's. The EDC's have not received the money yet. Dr. Pam Anglin stated that they are waiting for the Texas Workforce lawyers to figure out the wording and then the EDC's will get contracts. The Paris and Sulphur Springs EDCs will get a CNC Tool Room and Mill. Status of WorkKeys Assessment for Certified Work Ready Communities Initiative: Paris High School has been tested and North Lamar will be testing soon. Campbell's did a presentation on what they were looking for in new hires. The seniors could see what it takes to work at Campbell's. Of the seniors at Paris High School 65% received gold or silver ratings and less than 10% were rated lower, which is good. Rebecca Clifford stated that it would be interesting to see where they ended up. Dr. Pam Anglin stated that these were students that aren't university bound. PJC tracks students, but don't know if TWC tracks them. We can have them self - report. Update on Lamar County Days in Austin April 7, 8 & 9, 2015: Shannon Barrentine told those present that the packets included an updated budget. Currently, Shannon Barrentine is working on the food costs but it looks like the PEDC will be well within the budget of $6,500. Report on TEDC's Legislative Conference that was held in Austin, February 24 -26, 2015: Shannon Barrentine stated that it was recommended a 3'd party perform the compliance duties. This allows the EDCs and taxing entities to stay neutral. This topic was covered in one of the break -out sessions and she would forward to the Board as soon as TEDC uploaded it to their website. Status of 2014 Tax Abatement and Incentive Aueement Compliance: Shannon Barrentine, Edwin Pickle and Rebecca Clifford will have a meeting on Wednesday, March 11th at 2:00 p.m. PEDC Board Meeting Minutes March 10, 2015 Page 3 of 4 Discuss and possibly take action on invoice for audit services of FY 2013 -2014 by McClanahan & Holmes, LLP, CPAs in the amount of $7,250.00 Shannon Barrentine stated the estimated budget expense for the FY 2013 -14 Audit was $6,600. The Board has to approve the increased amount before we can process for payment. Stephen Grubbs asked what the fees were for the last audit? Shannon Barrentine stated that it was $6,600 which included an additional fee for $800 for corrections. Don Wilson made a motion to approve payment to McClanahan & Holmes, LLP, CPAs in the amount of $7,250.00; seconded by John Brockman. Motion Carried 5 -0. Discuss and possibly take action on proposed website changes by James Wallace of Jazzy Frog Interactive Shannon Barrentine told those present that James Wallace of Jazzy Frog did provide some proposed changes to the existing website. It looks like he copied and pasted what was already on the existing website. We are in the process of changing over to Jazzy Frog and will change the 3 emails first. No action was taken on this item. Discuss and possibly take action on methodology confirming number of jobs created and/or retained for current and future incentive agreements Discussion on the methodology pertaining to job calculations for incentive agreements took place. Shannon Barrentine stated that a 3rd party should do the compliance for tax abatements and incentive agreements so the EDC or the taxing entities aren't seen as the bad guys. No action was taken on this item. Discuss and possibly take action on proposed amendment(s) to the Paris EDC Bylaws pertaining to authorization process of entering into a contract agreement. John Brockman stated that the process will take longer because so many people have to look at it. David Turner stated that the proposed language change was too cumbersome. We need to revisit the Standard Operating Procedures. Don Wilson made a motion to table the item; seconded by David Turner. Motion Carried 5 -0. Discuss and possibly take action on invoice(s) for legal services from Jeff Moore, Attorney, Brown & Hofineister, LLP and/or A.W. Clem, Legal Counsel, The Moore Law Firm There were no invoices submitted for payment. Discuss and possibly take action to re- schedule April 2015 Board meeting date from April 14 to April 1" or 2 °d due to Lamar County Days event occurs the week prior to the 2 °d Tuesday in April Discussion on re- scheduling April's Monthly Board meeting due to Agenda prep time and Lamar County Days event in Austin is April 7 -9, 2015. The Board changed the date to Tuesday, April 21, 2015. Stephen Grubbs stated that he wouldn't be able to attend so John Brockman, Vice Chair, would have to handle the meeting.
